("WRA"). requested me to send this correspondence to your attention to inform you that there is development activity occurring on Lot 47 in the Whistleberry Subdivision and that the property is being marketed for sale by Robert Paul Properties. The WRA requests,that the Town not issue any building permits with respect to Lot 47. Lot 47 was subject to a covenant with the Barnstable Planning Board which precluded the sale or transfer of the Lot until such time as the subdivision infrastructure was satisfactorily completed. The Lot was released from the covenant on September 5, 1984. However, the release of covenant was apparently issued by mistake. In 2002, a Development Agreement between the Planning Board and the developer was executed. The Agreement lists a number of items that the developer was required to address in order to finish the subdivision and to obtain releases of the covenants. The Agreement also specifically refers to Lot 47 on page 3 and states: "Upon execution of the Agreement, new covenant[s] against lots (52), (55) and (64), and easements required under paragraph number 1, a further release of the original covenant against Lot 47 shall be issued to Developers." Upon information, the developer did not provide the easements specified in paragraph number 1 or the new covenants against lots 52, 55 and 64. Similarly, the developer did not address the requirements delineated in the Development Agreement. One Planning Board Member viewed this as a breach of condition of the further release for Lot 47 and indicated that building permits not be issued for Lot 47. The Chair at the time, Felicia Penn, also stated that building permits should not be issued for any of the remaining lots. In addition, there are drainage problems and an unauthorized berm cut on Lot 47 which need to be rectified. The developer has prepared a plan to correct these problems. This plan specifies a new drainage system and requires a drainage easement. Since the drainage affects the Subdivision in addition to Lot 47, the Board of Directors wants the problem addressed before the lot is sold. Based upon the foregoing, it is the position of the Board of Directors of the WRA that Lot 47 is not eligible for a building permit. The WRA has raised this issue to the Planning Board on several occasions, including in my letter to the Planning Board dated May 2, 2013, a copy of which is enclosed. In that letter, the WRA brought to the Town's attention the Town's authority under M.G.L. c. 41, Section 81Y, which provides, in pertinent part, that the Building Commissioner "shall not issue a permit for the erection of a building until first satisfied ... that any condition endorsed [upon the subdivision' limiting the erection of buildings on such lot has been satisfied." (Emphasis added). The Development Agreement contains conditions imposed by the Planning Board on the development of the Whistleberry Subdivision. It is undisputed that the conditions in the Development Agreement have not been fulfilled. Consequently, the Building Commissioner is required to withhold issuing any building permit for Lot 47 (as well the other lots under covenant). The Association is concerned that the Lots that remain under covenant are insufficient to secure the work that remains to be completed. Accordingly, the Association seeks that preserve whatever security is available. To that end, the Association requests that the Town not issue any building permit with respect to Lot #47 until such time as the Planning Board determines that the Development Agreement has been fulfilled. Dear Chairman Teague: Please be advised that I represent the Whistleberry Residents Association, Inc. ("Association"). This letter serves to set forth and elaborate upon the comments that we submitted on behalf of the Association at the Planning Board Hearing on April 22, 2013 regarding (1) the scope of work that is required to fulfill the 2002 Development Agreement and(2) the status of Lot 47 as security. RELEVANT.BACKGROUND Whistleberry is an 80-lot subdivision approved by the Planning Board in 1980. The three roads within the subdivision were constructed in 1981. Two of the roads were paved for their entire length. The third road, Berry Hollow Drive, was only partially paved (600 feet out of 1,400 feet). In 1992, the Planning Board held a public hearing at the request of the Association and approved a plan and profile for Berry Hollow Drive. The developer then entered into a Development Agreement with the Planning Board specifying the details for the construction of Berry Hollow Drive. Further, the Agreement required the developer to complete Whistleberry Drive and Waters Edge. At this time, nine (9) lots were under covenant as security to complete the subdivision. In order to facilitate completion of the work, the Planning Board allowed the developer, Mr. Hostetter, to sell one of the secured lots so that the proceeds could be PHONE: (508) 888-3700 • FACSIMILE: (508) 888-5701 May 2, 2013 Page 2 utilized to pay for the work. The Association participated in this arrangement by offering to have the lot sold the directly to the membership of the Association. Lot 73 was sold on or about September 8, 1992 for $48,780.00, but the money was not escrowed and Mr. Hostetter did not complete the work. Thereafter, Mr. Hostetter was permitted to transfer three more of the secured lots (Lot 54, Lot 77 and Lot 78). He also allowed the"Sales Lot"to be taken by the Town for non-payment of taxes.' As a result of these transfers, it was believed that the security was reduced to only four lots (47, 52, 55 and 64). However, it was subsequently learned that Lot 47 had been, presumably by mistake, released on or about September 5, 1984. In 2002, another Development Agreement between the Planning Board and the developer was executed. This Agreement set forth a list of twelve (12) items that the developer was required to address, including the relocation of a portion of Whistleberry Road that had been constructed outside of the layout on the subdivision plan, and numerous repairs to infrastructure that was deficient or failing. The Agreement also specified that the developer would provide additional security in the form of new performance covenants and financial security. The Agreement specifically refers to Lot 47 on page 3 where it states: "Upon execution of the Agreement, new covenant[s] against lots (52), (55) and (64), and easements required under paragraph number 1, a further release of the original covenant against Lot 47 shall be issued to )Developers." (Emphasis added). Upon information, the developer did not provide the easements specified in paragraph #1 or the new covenants against lots 52, 55 and 64. Similarly, the developer did not address the requirements delineated in the Development Agreement. Indeed, in a Memorandum dated March 9, 2011 from the Director of the Growth Management Department to the Planning Board, Jo Ann Miller Buntich, recommended security in the amount of$340,000 against required improvements that remain to be completed. On July 12, 2009, the developer, Daniel Hostetter, died with the work incomplete. Responsibility for completing the subdivision passed to his heirs. Mr. Hostetter's son, Adam, stepped forward and said that he would be responsible for completing the work. Initially, Adam gave indications that he intended to perform the work. Indeed, he promised the Planning Board that he would start "as soon as the asphalt plants open." But these promises were not honored and no work was performed. 1 The"Sales Lot"was originally part of the security. i May 2,2013 Page 3 At a public meeting of the Planning Board on April 12, 2010, the Planning Board discussed the issue of security for the Whistleberry Subdivision. Member Jackie Esten noted that the developer did not record the new covenants against lots 52, 55 and 64. Member Etsen viewed this requirement as a condition of the further.release for Lot 47 and suggested that building permits not be issued for Lot 47. The Chair at the time, Felicia Penn, also stated that building permits should not be issued on any of the remaining lots. Recently, the Hostetter family revealed that it may transfer its responsibilities to a developer named Craig Larson. This possibility brought to the forefront the issue of the scope of work that will be required to fulfill the 2002 Developer Agreement. Until this time, the focus of the Department of Growth Management, the Legal Department, and the Planning Board had been on securing full compliance with the Development Agreement from the developer, the Hostetter family. After Mr. Larson came forward, there appeared to be a change in focus from full compliance to what the Development Agreement minimally required. The Town Engineer on two occasions prepared lists setting forth items which, if completed, he suggests will fulfill the Development Agreement. (Copies of the two lists are attached). The Association disagrees and has submitted a more extensive list which it asserts must be addressed in order to fulfill the terms and conditions of the Development Agreement. ASSOCIATION POSITION STATEMENT I. Scope of Work to Complete the Subdivision. The Association contends that the developer should be required to fulfill his obligations and complete the subdivision pursuant to the plans that the PIanning Board approved and in accordance with the 1973 Regulations that were in effect at the time of approval. But the Association recognizes that mistakes have been made and that insufficient security exists in order for this to occur. The Association acknowledges that the Developer can now secure releases of the covenants if the Developer satisfies the requirements of the January 24, 2002 Development Agreement. The Legal Department and the Town Engineer have taken the position that completion of the twelve (12) items specifically delineated in the Development Agreement will satisfy the requirements of the Agreement. The Association believes that i May 2, 2013 Page 4 the Development Agreement requires more. The unambiguous language of the Development Agreement on page 3 supports the Association's contention: Upon a finding by the majority of the Planning Board that all requirements of this Agreement have been fully performed, and that any further deficiencies in the work required that may become evident to the Planning Board, have been repaired to the satisfaction of the Planning Board, the Board will release the remaining lots numbered(52), (55) and (64), that are subject to a Planning Board covenant. (Emphasis added). The Developers shall remain responsible for any other defects in the roads and utilities installed as part of the requirements of the subdivision plan approval that may become evident, until such time as the Planning Board finds that the subdivision is fully complete and has released all securities .... . (Emphasis added). This language makes it manifest that the Planning Board intended for the Developer to remain responsible for defects and deficiencies in work that may not be specifically listed in the twelve items in the Agreement. Under separate cover, the Association has submitted a list of items that the Developer should be required to complete in order to satisfy the Development Agreement and obtain release of the covenants. The Association contends that all the items on the list fall with the ambit of the Development Agreement and that the Planning Board would be well within its authority to require the Developer to address each item on the Association's list. 2. Lot 47, Lot 47 was released by an instrument dated April 27, 1984 which is recorded at the Barnstable Registry of Deeds in Book 4237, Page 122. This, however, does not mean that the Town has no legal authority over the Lot. Massachusetts General Laws Chapter 41, Section 81Y provides, in pertinent part, that the Building Commissioner "shall not issue a permit for the erection of a building until first satisfied ... that any condition endorsed [upon the subdivision' limiting the erection of buildings on such lot has been satisfied." Redesign is required because the depth to groundwater appears to be limited which is possibly why the developer installed the system so shallow that the stormwater has been breaking out of the bank. A shallower system needs to be designed, permitted, staked out, inspected, and certified by the Subdivider's Engineer. The Subdivider's Engineer needs to oversee the digging of a test hole to determine the extent of road base reconstruction that is needed. The pavement and inadequate material beneath the roadway will need to be replaced as required to comply with the subdivision regulation standards. 6 Repair roadway failures at Various Locations 6n Whistleberry Drive The roadway is deteriorating at the locations listed on the attachment, indicating that the road base is inadequate. The Subdivider's Engineer needs to oversee the excavation to determine the extent of road base reconstruction that is needed. The pavement and inadequate material beneath the roadway will need to be replaced as required to comply with the subdivision regulation standards. 7 Repair Catch Basin Catch Basins need to be opened and inspected in the presence of the Subdivider's Engineer to determine the extent of repairs necessary. The work was not satisfactorily completed at that time. The Planning Board and the Developer signed a Development Agreement in January 2002 regarding the work remaining to be completed. Some of this work remains incomplete. What follows is a report regarding the status of the subdivision and the work proposed to satisfy the Development Agreement. The developer has also proposed to perform work that is not included in the agreement but that it would be advantageous to complete. Specifically the construction of a paved road along the bog on Berry Hollow Drive and the replacement of a culvert under Whistleberry Drive. Development Agreement Item 1 is complete—The water main installation to the 4 lots on Bevy Hollow Drive is complete and is being maintained by the COMM Water District. Development Agreement Item 2 is two thirds complete—At three locations portions of the pavement on Whistleberry Drive was found to have been constructed partially out of the road layout. Easements have been recorded at two of these locations. At the third location the developer will be adding pavement to the road so that the full 22 foot wide paved road is within the road layout. When this additional pavement is installed this item would be satisfied. Development Agreement Item 3 remains incomplete—the developer is proposing to exceed the requirements contained in the prior agreement-Requires the repair of a section of pavement on Berry Hollow Drive. The developer is proposing to repair the damaged section of road and in addition to relocate and construct a paved road along the bog where the road is currently unpaved. Development Agreement Item 4. The developer has agreed to construct a combination of Swale and subsurface infiltration to accommodate the stormwater from Berry Hollow Drive. Development Agreement Item 5.Concrete Bounds have been installed on Whistleberry Road and on Waters Edge and as-built plans have been submitted for these 2 roads. The developer proposes the installation of road bounds as is required under the subdivision regulations on Berry Hollow Drive upon completion of the repairs to the road as described under items 3 and 4. As-built plans will need to be submitted for Berry Hollow Drive after the final completion of the road. As-built plans have been submitted for Whistleberry Road and on Waters Edge. Development Agreement Item 7 requires the establishment of access to the lots on Berry Hollow Drive. The developer's surveyor has surveyed the road and drawn a concept that shows the relocation of the portion of the road that is outside the layout into the existing road layout. The road will be constructed to a width of 13 feet of pavement with a 1 foot gravel shoulder. One 40 foot long and 20 foot wide section of road will be built to allow a vehicle to pull over to sallow a vehicle to pass. Development Agreement Item 8 is complete-The utility company has identified the utility poles on Berry Hollow Drive as belonging to them. Development Agreement Item 9 is incomplete=The pavement around two catches basins in the cul de sac at waters edge be brought to grade to alleviate some puddles in this area. Drainage will be repaired by the developer to alleviate puddles in this area. Development Agreement item 10- The developer proposes to repair the drainage system on lot 45 located at the southeast comer of the intersection Waters Edge with Whistleberry Drive to eliminate breakout from a leaching pit and a paved waterway both of which discharge onto lot 45 outside of the drainage easement on the lot.. The paved waterway has been determined to discharge outside of the existing easement. The developer has proposed to work with the owner of lot 45 to install a shallow infiltration system and a gravel infiltration basin to drain the water. And to supplement this work as necessary with drainage improvements on lot 47 across the street that is owned by the developer. Development Agreement Item 11 -Requires that the drainage system on lot 37(opposite the drainage system discussed in item 10 above)be inspected and repaired as necessary. This will be done in conjunction with the work under item I 1 to meet the goal of an adequately functioning system in this intersection. Development Agreement Item 12-requires the developer to obtain and record an easement to the Whistleberry Resident Association for drainage that discharges onto lot 47 that is owned by the developer's estate. If drainage needs to be installed on this lot owned by the developer then drainage easement will be granted to the Whistleberry Residents Association. Also if drainage is installed on lot 45 under item 10 then an easement for the drainage will be recorded. Additional Defect—The pavement around the catch basin opposite#50 Whistleberry Drive has settled repeatedly. The pavement has been repaired on three recent occasions. This indicates there must be some latent defect undermining the road,possibly in the brick work under the casting or around the pipe penetrations. This defect needs to be repaired. Additional Work Proposed by the Developer: The developer is also proposing to replace a failing culvert under Whistleberry Road that serves as an outlet for the cranberry bogs. If this culvert fails and the road collapses the only access to 13 homers would be affected.
