Box 2067, Osterville, Massachusetts (02655), a Massachusetts corporation (the"Club" and/or the"Grantor") is the owner of the land described on Attachment 1 as belonging to it(the"Parcels"or"Club Land"). WHEREAS, the Club also is the owner of land described on Attachment R ("Lots" or singularly a"Lot")comprising lots adjoining or proximate to portions of the Club Laud; and WHEREAS, the Club declares that it is for the benefit of the Club Land to impose certain development restrictions on such of the Lots as maybe conveyed by deed expressly reciting that said Lot is conveyed subject to and with the benefit of those development restrictions herein set forth to preserve the ecological integrity and natural beauty of the area surrounding,and to enhance the value of the Club Land and the other Lots in harmony with the Golf Course,hereinafter defined,and the various homes owned by Members of the Club adjoining or near the Golf Course and certain of the Lots; and WHEREAS, the Club intends to subject only its land described on Attachment I to these development restrictions and does not intend that these development restrictions shall,apply to any other land now or hereafter owned by it;however,it reserves the right to impose these development restrictions on such land now owned or hereafter acquired by the Club which by recitation in the deed from the Club expressly indicates that such land is conveyed subject to and with the benefit of these development restrictions. NOW THEREFORE, in consideration of the foregoing, the Club hereby declares, subject always to the express provisions of this instrument set forth in Section 16, that all of the Lots are subject to the following development restrictions which shall operate as covenants running with each Lot for the benefit of each and all of said Lots,the Parcels and their respective owners,present and future,and the Lots shall be held,mortgaged,transferred,leased,encumbered,conveyed,improved and occupied subject to the restrictions hereinafter set forth, which are intended: (i) to create equitable servitudes upon each of the Lots,in favor of the Club Land; and(ii)to create a privity of contract and estate between the grantees of the Lots, their heirs, successors and assigns and the owners of the Club Land. Said restrictions are not intended to create a common scheme and shall be enforceable only as provided in Section 16. DEFINITIONS Appurtenant Facilities: Pools,gazebos,tennis courts,paddle tennis courts,tool sheds,and other facilities commonly appurtenant to single family residential homes, including but not limited to walls,fences,other enclosures,walks, and driveways. i Lots: The land of the Club described on Attachment 1 attached hereto. Additional Lots: Additional land which may be acquired by the Club which, if conveyed by the Club by deed which expressly subjects such parcel of land so conveyed to this Declaration of Development Restrictions-" shall thereafter be deemed a"Lot" and be subject to and have the benefit of this Declaration of Development Restrictions-III. Structure: A building intended for human habitation or use,including,without limitation,parts and additions appurtenant thereto, and whether adjoined or subjoined, such as, but not by way of limitation,garages. Parcels: Various parcels of land belonging to the Club. Plans: The plans described in Attachment 1. Golf Course: The land presently comprising Lots 120, 123, 125, 128, 131, and 134,Land Court Plan No. 15 354-105,supplemented or diminished from time to time by the sale or acquisition of land j by the Grantor,its successors and assigns,which land had theretofore or is thereafter used as portions of a golf course. Adjoining: The term "adjoining"shall, in addition to its normal meaning, where the context so admits include land which, except for intervening streets or ways, is contiguous to Club Land or other premises which are benefitted by these development restrictions. RESTRICTIONS AND EASEMENT: 1. No Lot shall be further subdivided. 2. No Structures or Appurtenant Facilities of any kind shall be constructed on a Lot nor shall any trees, shrubs,plants, or other naturally occurring vegetation be removed liom the Lot until plans, based on reasonable design standards, specifications, site location and final elevations are approved in writing by the Design Committee of the Club in accordance with the provisions of Schedule A attached hereto, which approval shall not be unreasonably withheld or delayed. 3. Not more than one single family dwelling shall be erected on a Lot. 4. Each principal Structure shall not exceed 2'/,stories in height nor exceed 30 feet in height and any other Structure shall not exceed 1'/,stories in height nor exceed 25 feet in height,in each instance measured as the vertical distance from the mean of the finished ground level adjoining the entire Structure at each exterior wall to the ridge or highest point of the roof. All Structures erected on the Lot,except garages,shall contain a minimum of 2,000 square feet ofhabitable space. The method of determining the habitable area ofproposed Structures i -2- shall be to multiply the outside horizontal dimensions of the Structure at each floor level, excluding non-habitable garages, breezeways, decks, porches, patios, and terraces in the calculation of the minimum habitable square foot area. The design of all Structures, Appurtenant Facilities and improvements, including but not limited to mawidals, colors, textures,building shape,site orientation, landscaping and grading,shall, in the reasonable judgment of the Design Committee of the Club, be of a character harmonious with the natural beauty of the Lot and consistent with the Structure and Appurtenant Facilities on the Lot and Structures located on the Lots,the Parcels or the Golf Course(as herein defined), and shall be constructed so as not to flood or damage a public or private road, common drainage system or adjoining property. There shall be no flat roofed structures. 5. All Structures and Appurtenant Facilities shall be designed as and used for single family residences and no part of the Lot and no improvement thereon shall be used irk connection with the carrying on of any trade,service,business,or occupation of any kind whatsoever. 6. No temporary Structure shall be built upon any Lot other than those necessary and used in the course of construction of permanent Structures and all such temporary Strictures shall be removed immediately upon completion of any construction. No mobile home, trailer, recreational vehicle or similar temporary or movable vehicle or structure shall be used for residential purposes on any Lot or permitted to remain on the Lot, provided that,(i)to the extent allowed by applicable law, a trailer or shed may be placed on a Lot during active construction thereon for a period not to exceed six months and (ii) said facilities may be located on a Lot if they are kept within a Structure or Appurtenant Facility and are not visible from any street or way, any of the Parcels or the Golf Course(as hereinafter defined). 7. No Structure or Appurtenant Facility shall be erected within 50 feet of any Lot line that creates a boundarybetween the Lot and the Golf Course,owned,operated,and/or maintained by the Club or within fifty feet (50) of the sideline of any then existing street or way adjoining the same or within twenty feet(20') of any other boundary line of stud Lot. All such Lots are subject to the rights and easement of persons lawfully entitled to use the Golf Course adjacent to a Lot,to enter a Lot solely for the purpose of retrieving or playing a golf ball. 8. No laundry shall be hung on the exterior of any Structure or elsewhere on a Lot to be visible from any street or way,or the Parcel. 9. No unregistered motor vehicles shall be stored or repaired on a Lot. 10. Each driveway shall be covered with a material and constructed in a manner approved by the Design Committee of the Club in accordance with Schedule A attached hereto. 11. No combustible fuels shall be stored above ground on a Lot unless stored inside, and used in, the interior of Structures. -3- 12. No wall, fence,or hedge over six feet(6)in height shall be erected,planted or maintained on a Lot until after the height, type, and approximate location thereof shall have been approved in accordance with the provisions of Schedule A attached hereto. Hedges shall be kept neat and trimmed at all times to conform to this restriction. 13. No animals other than commonly accepted domestic pets shall be kept on a Lot or in any Structure or Appurtenant Facility. No signs of any kind shall be displayed except one giving the name of the occupants or a"For Sale"sign pertaining to said premises and not exceeding a size of two feet by two feet(2'X 2). 14. No boats shall be stored on a Lot,except if enclosed in a garage that is part of a Structure and not visible from any street or way,or the Parcels. 15. Nothing shall be done and no condition shall be allowed to continue which is or may become a nuisance,including the conduct of activities resulting in noise disturbing to those using the Golf Course,to a Club Member who is the owner of any lot adjoining the Lot,or the Club. If vacant,a Lot shall be kept free of accumulations of brush,trash,or other materials which may constitute a fire or other hazard and after thirty(30) days prior written notice to the owner thereof,the Club shall have the right to enter on any Lot for the purpose of clearing away such accumulation, and the cost thereof shall be assessed against the owner. 16. The Club or its single designated successor or assign shall have,in its sole discretion, the right to enforce,waive or release,in whole or in part,the application of any provision hereof to a Lot or Lots, including, without limitation, the application of Paragraph 4 hereof, provided however, that if the architecture of the proposed Structure is appropriate and compatible with all other design standards specified herein or in Schedule A then a Structure with a minimum space of but no less than 1,500 square feet of habitable space may be permitted in accordance with the provisions of Schedule A and subject to the provisions thereof. The Club reserves the right to include in any deed.or other instrument hereafter made and relating to the Parcels or other land owned by it,any restrictive covenants or other provision not inconsistent with those herein contained including the right, but not the obligation, to impose these restrictions on land exclusive of the Lots from time to time owned by the Club. With respect to the land described on Attachment 1 ardy, the Club reserves the right to impose these restrictions on any of the Additional Lots. If any portion of this Declaration of Development Restrictions-III shall be determined to be invalid or unenforceable,the remaining provisions hereof shall continue in full force and effect. 17. The owner of a Lot,excepting and only to the extent such owner shall be the Barnstable Land Trust, Inc., or an entity described in the United States Internal Revenue Code, Section 170(b)(1)(A)(i-vi),as from time to time amended,which retains the Lot in its undeveloped natural state for conservation purposes,shall become a member and abide by the rules of the Oyster Harbors Property Owners Association, Inc., with an address at Oyler Harbors -4- Property Owners Association, Inc., P.O. Box 2066, Osterville, Massachusetts (02655) ("OHPOA') or its successor organization invested with the power and authority of the OHPOA as of the date hereof. 18. The restrictions herein set forth shall be effective for a period of ninety-nine (99) years commencing on the date of recording hereof, subject to the provisions of Massachusetts General Laws Chapter 184, Section 27. 19. No excavation shall be made on any Lot except for the purposes of building a Structure thereon,and construction of all Structures on any Lot shall be completed within one(1)year from the date of commencement of excavation or other building operation. Completion shall include, without limitation, exterior 6inishing, landscaping and driveways. During the months of June,July and August no construction activities shall be permitted on Saturdays, Sundays or legal holidays of the Commonwealth of Massachusetts,nor shall such activities commence on any day before 7:00 a.m. Daylight Standard Time. 20. Unless otherwise defined herein, capitalized terms shall have the meaning set forth in the Restrictions. The purpose and intent of this Schedule A is to preserve the ecological integrity and natural beauty of the land surrounding the Parcels,to enhance the Club Land values mud that of the Lots,and to create a common scheme for the development of the Lots. The concept of architectural design review has a long and successful history of assisting in the preservation (if the value, character,and amenities of a residential community. The quality of site planning, architectural design, construction,and landscaping determine to a great extent the character and visual appeal of a community. A design review process has been established by Oyster Harbors Club,Inc. (the"Club"),to help preserve the special character of the Oyster Harbors community. (a) Procedure. No building, fence, external wall, driveway, Structure, or projection from a Structure (even of a temporary nature and whether or not affixed to the ground), pools, gazebos, tennis courts, paddle tennis courts, tool sheds, plantings, and other facilities commonly appurtenant to single family residential homes, shall be commenced, erected, maintained, approved, or altered nor shall any grading, excavation,tree removal,planting, change of exterior,or other work which in any way alters the exterior appearance of any Lot or improvement, be commenced, erected, placed, or maintained until adequate plans, specifications, site plans,and other pertinent data showing the nature,color, shape height, location,dimensions,materials,landscaping,external decorations,and other information as may be required by the Club in writing have been approved in writing by the Design Committee of the Club(the`Design Committee")taking into account(i)harmony of design and location in relation to,and its effect upon surrounding structures,vegetation,topography, and the community design of the Oyster Harbors area and the Parcels; (ii)the character of the exterior materials; (iii)the quality of the exterior workmanship;(iv)landscaping that is adaptable to the climatic conditions of the natural environment, require minimum water usage and provides a subtle setting for structures;and(v)compliance with such other general specifications and conditions as may be set forth in writing by the Grantor and/or the Design Committee. Once any improvement has been approved by the Design Committee,alterations to the approved plans,or alterations to the improvement after construction shall also require prior review and approval of the Design Committee. Within ten(10)business days of the receipt of the application,the Design Committee shall review it for completeness. Exterior materials and color samples shall be submitted together with a construction schedule. If incomplete, the owner shall be notified in writing of additional information required. The Design Committee shall approve or disapprove, in writing, any plans submitted to it within twenty-one(21)days after all required data has been provided. Failure of the Design Committee to act on any proposed plans within said twenty-one(21)days shall be deemed approval of the plans as submitted. Any disapproval of plans shall be accompanied by a written statement of the reason or reasons therefore. All construction shall be in strict compliance with the plans as approved. A written approval executed by a person representing to be a member of the Design Committee and countersigned by the President, Treasurer, or Clerk of the Club when filed in the Land Registration Office of the Barnstable Registry of Deeds shall constitute prima facie evidence of approval of the plans and data therein referred to. Approval by the Design Committee shall not relieve any owner of his or her obligation to comply with all governmental laws,codes,and,regulations which may apply, and with the requirements of any permit or approval issued by any government body in connection with the development of the subject land. (b) With the intent of preserving the natural beauty of the Oyster Harbors community and enhancing the aesthetics enjoyed by Oyster Harbors Club Members,there shall be no clear- cutting of lots during the construction process. A border of 30 feet adjoining community roads and 20 feet adjacent to neighboring property shall be left in its natural state. Two(2) access driveways of less than 20 feet and as necessary, 6-foot paths for water, cable and electrical access can be clear-cut on the lot adjacent to the community roads. At such time as the property is to be landscaped, the natural peripheral border may be adjusted so as to comply with the approved landscape plans;such landscape activity shall be completed in 60 days; the owner of a Lot shall cause: (i) porta-potties and dumpsters shall be placed on site as unobtrusive as possible, enclosed behind imported shrubs as necessary; (ii) construction vehicles shall be packed on the construction property,not on community roads; (iii) construction worker noise,including radio,stereos and machinery shall be kept at a minimum and modified so as not to cause a nuisance and to respect adjacent property owners; and (iv) the construction crew shall inspect the site daily for debris and dispose of it appropriately. -10- (c) Enforcement. The Club shall be empowered as attorney in fact for all owners subject to these procedures by virtue of the Declaration of Development Restrictions-III to order any owner to change or remove any construction or alteration undertaken in violation hereof. In the event any owner fails to comply with an order of the Club, the Club may enter the Lot and correct such condition at the owner's expense, or at its option may commence legal proceedings at law or in equity as attorney for the remaining owners to recover damages or other awards for such failure to comply,or to enjoin the furtherance or continuation of such failure to comply,or both. Proceedings may be maintained irrespective of the waiver of any prior violation by the same or other owners,and the failure to enforce any one occasion shall in no event be deemed to be a waiver of the rights to do so thereafter as to the original breach or a breach subsequent thereto, and the owner shall indemnify the Club for all reasonable attorneys fees and costs associated with the Club enforcing its rights hereunder.
