BUILDING DEBT. DEC 0 a 2018 TOWN OF BARNSTABLE PURCHASE AND SALE AGREEME'-NI' 1. PARTIES AND MAILING; ADDRESSES. This 18"' day of June, 2018, CANDACE, C. RUFLETH and PETER W. RUFLETH, Trustees of the CANDACE C. RUFLE,ril LIVING TRUST dated April 22, 21108 and having a mailing address of 230 Park Avenue, Barnstable (Centerville), Barnstable County, Massachusetts 02632, hereinafter called the SELLERS, aeree to SELL, and"'STEPHEN W. BROOKS, a his Notnincc, having a in iline address of 40 Lewis Bay Read.Barnst►ihlc(1Iyitn111S), Bamst<iGlc County, Massachusetts 02601,hereinafter called the BUYER or PURCHASER,a-rees to BUY, upon the terms hereinafter set forth, the following described Unit from the herewith defined below in paragraph 2. 2. PROPERTY DESCRIPTION. The four(4)condominium units all located in Building B of the Six N-fain Condominium Trust complex located at 6 Main Street, Barnstable (Hyannis) and more specitically referred to as Building; B Units 4, S, 6 and 7 (the "Units") of, a commercial condominium (tile "Condominium") created pursuant to Chapter 183A of the Massachusctt. General laws (the "Act") by Master Deed dated March 8, 1485 and recorded with Barnstable County Regisiry of Deeds in Book 4443,E Page 06 as may be amended (the "Master Deed"), together \high (a) an undivided .3607 percentage interest in both the common areas and facilities of the Condominium and the organization of unit owners through which the Condominium is managed and regulated, (b) the exclusive right to use parking spaces and storage area as set forth in the Nlaster deed, if any,assiuned to the Units 4, 5, 6, and 7, and (e) such other rights and casements appurtenant to the Units as may be set forth in any document governing the operation ol' the Condominium, including without limitation the Master Deed, the By-Laws of the organization of unit owners, and any administrative rules and regulations adopted pursuant thereto (all of which are hereinafter referred to as the"Condominium Documents"). For title to Units,4,5,and 7 see(Iced recorded with the Barnstable County Registry of Deeds in Book 22,853, Page 20 and to Unit 6. see deed recorded with the Barnstable County Registry of Deeds in Book 22853, Page 17. 3. BUILDINGS. STRUCTURES, IMPROVEM_EN"rs. FIXTURES. Included in this sale as a part of the Unit are the Fixtures belonging to the SELLERS and used ill connection therewith. The extent to which any such fixtures belong to the SELLERS may be governed in part by provisions contained in the Condominium Documents, 4. TITLE DEED. The Units are to be conveyed by a good and sufficient Quitclaim deed running to the BUYER,or to the nominee dC5iMMCd by the BUYER by written notice to the SELLERS at least seven (7) days before the deed is to be delivered as herein provided, and said (Iced shall convey a good and clear record and marketable title thereto, free from encun►t an:es, except as aforesaid, and (a) provisions of existin I hui ding and zoning laws; Sellers►nitials Seller's initials Buyer's init s (b) such taxes for the then current year as are not due and payable on the date of the delivery. of such deed; and (c) any liens for nwnicipal betterments assessed after the date cif this agreement; and (d) the provisions of the Act and the Condominium Documents including without limitation all obligations of the unit owners to pay a proportionate share of the comnion expenses of the Condominium;and(e) all restrictions, easements,and cncumbthnces referred to in the Condominium documents. If said (iced refers to a plan necessary to be recorded therewith the SELLERR shall deliver such plan with the deed in form adequate for recording or registration. in addition to the tixegoing, if the title to said Units is registered, slid deed shall be in form sufficient to entitle the BUYER to it meniorandum certificate of title of said Units, and the SELLERS shall deliver with said (teed all instniments, if' any, necessary to enable the BUYER to obtain such nieniorandum certificate of title. 5. PURCHASE PRICE. TIME FOR PERFORMANCE: DELIVERY OF DEED. Such deed is to be delivered at 2:00 P.�l. on the 14th day of September, 2018, at the Barnstable County Registry of Deeds, or at the BUYER'S Attorneys office, provided the same is located in Barnstable County, unless otherwise agreed upon in writing. It is agreed that time is of the essence of this agreement. 7. miSPECTIONS AND CONDITION OF PREMISES SELLERS and BUYER acknowledge that BUYER has thirty (30) calendar days from the signing of this Agreement to perform and complete its due diligence of the property which may include, but not limited to title and survey review, building inspections, environmental review, by lender only, all pertinent records and documents relating to the property, zoning, land use, review of condominium documents, securing Condominium approval of proposed improvement, construction interests in Phase Ill and the like. lf'BUYER is not satisfied with the results of these findings, the BUYER may terminate this Agreement only upon providing SELL with proper notice as defined hereunder and if so then all deposits paid hereunder Seller's initials Sellers initials Buyer's initials i i shall be refunded to BUYER and this Agreement shall no longer be of any force and effect. The BUYER fully and completing agrees to indemnify and]told the SELLERS harmless from any and all claims of whatever kind and or nature which ma_v arise as a result of it and its agents conducting any inspections pursuant to this Agreement. The BUYER further agrees to leave the premises in a good or better condition at the conclusion of any inspection performed hereunder. 8. SUBJECT TO RIGHT OF FIRST REFUSAL. This Agreement is contingent upon the SELLERS securing a "waiver of right of first refusal" from Joseph J. Conway and Patricia A. Conway. In the event Joseph J. Conway and Patricia C. EXTENSION TO PERFf:C'f 'I'1Tl.E OR MAKE UNiT CONFORM, if the SELLERS shall be unable to give title or to make conveyance, or to deliver possession of the Unit, all as herein stipulated, or if at the time of the delivery of the deed the Units[toes not confirm with the provisions hereof,then the SELLERS shall use reasonable efforts to remove any defects in title, or to deliver possession as provided herein, or to make the Unit conform to the provisions hereof,as the case may be, in which event the SELLERS shall give wtitten notice thereof to the BUYER at or before the time for performance hereunder, and thereupon the time for performance hereof shall be extended for a period of thirty(30)days or liar as lone as BUYER'S mortgage commitment shall he valid whichever shall tint occur. SELLERS shall not be obligated to spend more than$2,000.00 under the ternis of this clause. 11. FAILURE TO PERFECT TITLE OR MAKE UNIT CONFORM. If at the expiration of the extended time the SELLERS shall have failed so to remove any defects in title, deliver possession, or make the Unit conform, as the case may he, all as herein agreed, or if at any time during the period of this agreement or any extension thereof, the organization of unit owners -hall fail to agree, within the time period set forth in the Act, ifapplicable, to proceed r. n ✓L) IV Sellers initials Seller's initials Buver's initials i with such repair or restoration as may be necessary for such purposes,or shall expressly agree not to so proceed, or the holder of a mortgage on the Unit shall refuse to permit any insurance proceeds to be used 1br such purpose, then at the BUYER'S option,any payments made under this Agreement shall be forthwith refunded and all other obligations of all parties hereto shall cease and this Agreement shall be void without recourse to the parties hereto. 12. BUYER'S ELECTION' TO ACCEPT TITLE. The BUYER shall have the election, at either the original or any extended time for performance, to accept such title as the SELLERS can deliver to the Units in their then condition and to pay therefor the purchase price without deduction, in which case the SELLERS shall convey such title, except that in the event of such conveyance in accord with the provisions of this clause; if the Units shall have been damaged by fire or casualty insured against by the organization of unit owners or by the SELLERS, then the SELLERS shall,on delivery of the deed,unless the Units have previously been restored to their former condition, pay over or assign to the BUYER all amounts recovered or recoverable by the SELLERS on account of such insurance, and give the BUYER a credit against the purchase price equal to any amounts otherwise so recoverable which are retained by the holder of a mortgage on the Units, less any amounts reasonably expended by the SELLERS for any restoration;.pr the BUYER could elect not to go fomvard with this transaction at which time this Agreement shall be forthwith refunded and all other oblivations of all parties hereto shall cease anti this Agreement shall be void without recourse to the parties hereto. 13. ACCEPTANCE OF DEED. The acceptance and recording of n deed by the BUYER or the BUYER'S nominee as the case may be, shall be deemed to be a full performance and discharge of every agreement and obligation herein contained or expressed, except such as are,by the terms hereof, to be performed after the delivery of said deed. 14. USE OF MONEY TO CLEAR TITLE. To enable the SELLERS to make conveyance as herein provided, the SELLERS may, at the time of delivery of the deed, use the purchase money or any portion thereof to clear the title of any or all encumbrances, or interests, provided that all instruments so procured are recorded simultaneously with the delivery of the deed. 15. INSURANCE:. The SELLERS represent that at the time of execution of this agreement, the organization of unit owners, maintains insurance with respect to the Condominium. Until the delivery of the deed, the SELLERS shall maintain supplemental insurance sufficient to cover the Unit itself and any fixtures therein. At the time of the delivery of the deed, the SELLERS shall deliver to the BUYER a certificate of the Condominium insurance referred to in the previous paragraph as then in effect. The procuring of any supplemental insurance shall be at the option and sole expense of the BUYER. 16. ADJtJSTMEN"rS. Water and sewer use charges, real estate taxes for the then current tax period, fuel (if applicable) and common expenses for the then current month shall be Seller's initials Buyer's initials I ' apportioned,as of the day ofperformance of this Agreement and the net amount thereof shall be added to or deducted from, as the case may be, the purchase price payable by the BUYER at the time of delivery of the deed. The SELLERS' allocable share of any working capital reserve held by the organization of unit owners shall be assigned to the BUYER without further considentlion to SELLERS. 17. ADJUSTMENT OF LINASSESSED AND ABATED TAXES. If the amount of said taxes is not known at the time of the delivery of the deed, they shall be apportioned on the basis of the taxes assessed for the preceding year, with a reapportionment as soon as the new tax rate and valuation can be ascertained. and, if the taxes which are to be apportioned shall thereafter be reduced by abatement, the amount of such abatement, less the reasonable cost of obtaining the same, shall be apportioned between the parties, provided that neither party shall be obligated to institute or prosecute proceedings fir an abatement unless ltcrein otherwise agreed. 19. BROKER AS PARTY. Carey Commercial, Inc. named herein warrant that they are a duly licensed real estate broker in the Commonwealth of Massachusetts and does hereby join in this Agreement and become Parties hereto and do so expressly by executing this Agreement,insolar as any provisions of this Agreement specifically apply to the said Broker, and to any amendments or modifications ofsuch provisions to the Broker agrees in writing. 19. DEPOSIT. All deposits made hereunder shall be held by CAREY C01411NIERCIAL, INC., as Escrow Agent, in escrow in a non-interest bearing account, subject to the terns of this Agreement and shall be duly accounted I-or at tite time for performance of this Agreement. In the event of any disagreement between the parties, the escrow agent shall retain all deposits made under this Agreement pending instructions mutually given by the. SELLERS and BUYERS or final judument entered by a court of competent jurisdiction. 20. BUYER'S DEFAUL:i' DAyiAGES. If the BUYER shall lail to fulfill the BUYER'S agreements herein, all deposits made hereunder by the BUYER shall be retained by the SELLERS as liquidated damages and shall be their sole remedy both at law and in equity. SELLERS and BUYER hereby agree that the deposit hereunder of S22,500.00, is a reasonable forecast of SELLERS' losses that could result from SELLERS' inability to resell the Premises and.loss of a tenant due to any number of presently undetenninable factors. 21. LIABILITY Of TRUSTEE SHAREHOLDLR. BENEFICIARY. E=TC. 11' the SELLERS or BUYER executes this agreement in a representative or fiduciary capacity, only the principal or the estate represented shall be bound, and neither the SELLERS or BUYER so executing, nor any shareholder or beneficiary of any trust, shall be personally liable for any obligations,express or implied. hereunder. 22. WARRANTIES AND REPRESENTATIONS. CERTIFICATE OF.COMMON EXPENSES. At the time of the delivery of the deed, the SELLERS shall deliver to the BUYERS a statement from the organization of unit owners in recordable form and setting forth, in accordance with Section 6(d)of the Act, that there are no outstanding common expenses assessed against the Unit as of said time. 24. SELLER DOCUMENTS. 'file SELLERS shall execute and deliver simultaneously with the delivery of tite deed such documents as may reasonably be required by the BUYER or his attorney or the attorney fir any lender financing BUYER'S purchase of the Unit, including. without limiting the generality of the foregoing, certifications or , idavits with respect to: (a)persons or parties in possession of the Unit; (b) facts or conditions which may give rise to mechanics' or materialmen's liens; (c) the true purchase price of the Unit and whether the SELLERS have or intends to lend to the BUYER a portion thereof.To the hest of SELLERS' knowled-c and with.no duty to investigate the following: (u) SELLERS have no knowledge of any litigation or proceeding pending;, or threatened, against or relating to the Units; (b) To tite best of SELLERS' knowledge and belief', there has been no notice of any current or future assessments fir public or condominium improvements presently affecting or anticipated to affect the Units of whicli SELLERS have knowledge. 25. NOTICES. All notices required or permitted to be given hereunder shall be in writing and deemed duly given when (1) mailed by registered or certified, first-class mail, return receipt requested, postage prepaid (2) hand-delivered. ERRORS AND OMISSIONS. ]f any errors or omissions are found to have occurred in any calculations or figures used in the settlement statement signed by the parties (or would have been included if not for any such error or omission) and notice hereof is given within thirty(30) days of the date of delivery of the deed to the party to be charged, then such party agrees to make a payment to correct the error or omission. 27. SEVERABILITY. If any provision or condition of this Agreement shall be determined invalid or unenforceable by a court of competent jurisdiction, the remaining provisions and conditions shall remain in full force and effect and shall be valid and enforceable to the fullest extent permitted by law. 28. AUTHORITY. By executing this Agreement, the BUYER and the SELLERS hereby grant to their respective attorneys the actual authority to bind them for the limited purpose of allowing them to grant extensions, and the BUYER and the SELLERS shall be able to rely upon facsimile signatures of said attorneys as binding,unless they have actual knowledge that. either party has disclaimed the authority Lranted herein to bind them. 29. FACSIMILE SIGNATURES.. For purposes of this Agreement, facsimile or electronic, signatures shall be considered as original. 30. TITLE. STANDARDS. Any dispute as to any title issue or conveyancing, practice remaining unresolved at the scheduled time for performance under this agreement shall be resolved in accordance with applicable Standards or Practices of the Real Estate Bar Association of Massachusetts(REBA),to the extent possible. 31. OFFER SUPERSEDED. Any memorandum or documcnt(s) executed by the parties hereto purporting to be an offer to purchase real estate and any and all addenda to same are hereby superseded and shall have no further force and effect and this Agreement sliall be and become the only Agreement between the parties. 33. CONSTRUCTION OF AGREEMEN"C. Phis instrument, executed in quadruplicate, is to be:construed as a Massachusetts contract, is to take effect as a scaled instrument, sets forth the entire contract between the parties, is binding upon and inures to the benefit of the parties hereto and their respective heirs, devisees, executors, administrators, successors, and assigns, and may be cancelled, modified or amended only by a written instrument executed by both Seller's initials Sellers initials Buyer's initials I the SELLERS and the BUYER. If two or more persons are granted herein as BUYER, their obligations hereunder shall he joint and several. 33. MORTGAGE CONTINGENCY. In order to help finance the acquisition of said premises.the BUYER shall apply for a conventional bank or other institutional mortgage loan of S320,000.00 at prevailing rates. terms and conditions. if despite the BUYER'S diligent efforts, a commitment for such loan cannot be obtained on or before August 17, 2018 the BUYER may terminate this agreement by written notice to the SELLER and SELLER'S attorney prior to the expiration of such time, whereupon any payments made under this agreement shall be forthwith refintded and all other obligations of the Parties hereto shall cease and this Agreement shall be void and without recourse to the parties hereto. Failure to give said timely notification shall void this paragraph and terminate this contingency in this Agreement. 34. N01SCEL•LANF.OUS. This Agreement is subject to tlue BUYER allowing the SELLERS the continued right,after the delivery of the Deed and the transfer of title, to access tite Premises for purposes ol'providin!,care for the cat known as"Sweetness" that lives on the premises and the continued right to maintain the small red house located on the premises that Sweetness resides in and the continued right to plug one 110 volt electrical extension cord into the dedicated exterior outlet located on Building B to provide electrical power to the small red house. "this right of access shall continue for so long as Sweetness is alive and upon Sweetness' death, the SELLERS shall remove the little red house and the remains of Sweetness from the premises at which time this continued right of access shall terminate. The parties hereto agree to execute a document that memorializes this continued right by the parties ivliich document shall not be incorporated in the deed of conveyance from BUYER to SELLERS. 35. PARAGRAPHS. This Purchase and Sale Agreement has Thirty-five(35)numbered paragraphs and the headings of those numbered paragraphs have no significance except to help provide ease to the reader.This Purchase and Sale Agreement inav be signed in multiple counterparts and all such counterparts shall have the same rorcc and effect as if the signed counterparts were all the same.
