Primary Compartment General inspection twice per year, inspect depth of sludge and scum layer annually, recommend pumping, when necessary. B. Amphidrome Treatment System Inspect twice per year Record operation"run"times. C. Controls Inspect twice per year. D. Effluent Quality Field test twice per year for clarity, suspended solids and odor. Sample and report laboratory results,as required by Barnstable Board of Health(approved Dec 30,2003)— Monthly first two years,then quarterly thereafter for the following parameters Effluent—CBOD,TSS,pH,TN,alkalinity Influent - BOD5,TSS,pH,IN,alMinity Effluent nitrogen limit—19 mg/l The local approving authority may approve additional requirements_ 03/28/2006 09:57 17817920480 CLEARWATER RECOVERY PAGE 03/05 If inspection and effluent testing indicate failure to meet effluent limits, the Operator shall conduct a fWl evaluation within 30 days and submit a report to the owner and the local approving authority. The evaluation report shall include details of the problem and recommendations for system repairs_ Operator shall submit an operational report to Owner and to the Board of Health. Operator shall submit a summary report of system perfbrmance to the Massachusetts Department of Environmental Protection,as required by law. The report shall include an operation and maintenance summary and analysis of water quality sampling. 3. System Alatm or System Failure: If a system alarm occurs or if the system fails,Owner shall immediately notify Operator,who shall notify Board of Health within 24 hours. Operator will investigate appropriate corrective actions. 4. Fees: Fees are listed as follows: Regular operation and maintenance,as outlined in Section 2(A,B,C) above - $ included Section 2(D) above S 380.00 per activity Corrective actions by Operator - $ 68.00 per hour (plus cost of parts,materials,subcontractors) Corrective actions or corrective maintenance repair work may be arranged at costs to be determined by mutual agreement of both parties to this contract. 5. Payment Due u on Receipt of Invoice:Invoices shall be provided to client at service intervals by Operator. Client agrees to pay all invoices upon receipt. Unpaid invoices shall bear interest at the rate of 1.5%after thirty(30)days. Owner agrees to pay all cost of collection incurred by Operator for unpaid invoices including but not limited to reasonable attorney's fees and costs of litigation and collection.This obligation shall,survive the termination of this Agreement. 6. As t-by gRerator The parties expressly agree that the Operator may assign its rights and obligations under this Agreement,in which case the Owner shall look solely to the assignee for performance of this Agreement and the Operator shall thereafter be released from any obligation and/or duty as set forth herein. 7. Assignment by Owner: Owner may,with the prior written permission of Operator,assign its rights,but not its obligations,to any firture purchaser of the Property. No other assignments by Owner are permissible. 8. ni;Facation: Owner shall indemnify,defend,save and hold harmless Operator,its officers,agents, members,directors,agents,employees,and attorneys from any claim,injury,damage,demand or action arising out of Owner's breach of this Agreement and/or its ownership and/or control of the Property. 9. Entire A e ent: This Agreement embodies the entire agreement and understanding between the parties hereto with respect to the subject matter hereof and supersedes all prior oral or written agreements and understandings relating to the subject matter hereof No statement,representation,warranty,covenant or agreement of any kind not expressly set forth in this Agreement shall affect,or be used to interpret,change or restrict,the express terms and provisions of this Agreement. 10. Waiver Operator's action in not enforcing a breach of any part of this Agreement shall not prevent it from enforcing its rights as to any other breaches of this Agreement that Operator later discovers. 12. Binding upon Successors: This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective heirs,representatives,successors and assigns. 13_ Choice of LLaw/Choice f Forum/Cunsgit to Jurisdiction. .: This Agreement and the rights and obligations of the parties hereunder shall be construed in accordance with and governed by the law of the Commonwealth of Massachusetts,without giving effect to the conflict of law principles thereof The patties agree that any action,challenge to the validity or interpretation of this Agreement,demand,claim or counterclaim relating to the terms and provisions of this Agreement,or its breach,shall be commenced in Massachusetts. The parties irrevocably submit to the exclusive jurisdiction of any state or federal court sitting in the Commonwealth of Massachusetts in any action or proceeding arising out of or relating to this Agreement and agree that all claims in respect of the action or proceeding may be heard and determined in any such court,and agree not to bring any action or proceeding arising out of or relating to this.Agreement, in any other court or to contest the jurisdiction(in rem or in personam)or power or decision of such court over or pertaining to the party or with respect to the subject matter in any other court,within or without the United States.The parties irrevocably consent to the service of process of any of the aforementioned courts in any such action or proceeding by the mailing of copies thereof by certified mail,postage prepaid,to their addresses.The parties irrevocably waive any defense of inconvenient forum to the maintenance of any such action or proceeding so brought.The parties irrevocably waive the right to raise any issue or defense relating to lack of contacts with Massachusetts for purposes of governing law.The parties further acknowledge and agree that venue in any such action or proceeding so brought shall exclusively lie in Massachusetts and the parties hereby further agree that any such action or proceeding shall be resolved by a judge alone,and hereby waive and forever renounce the right to a trial before a civil jury. 14. Sev : The parties intend this Agreement to be enforced as written.However,if any portion or provision of this Agreement shall to any extent be declared illegal or unenforceable by a duly authorized court having jurisdiction,then the remainder of this Agreement,so long as it can be carried out as contemplated by the parties,or the application of such portion or provision in circumstances other than those as to which it is so declared illegal or unenforceable,shall not be affected thereby,and each portion and provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law. 15. Ca ss:The headings and captions of the various subdivisions of this Agreement are for convenience of reference only and.shall in no way modify,or affect the meaning or construction of any of the terms or provisions hereof_ 16. Equal Participation in Preparing this Agreeme :The Parties expressly agree that they participated equally in the crafting of this Agreement and hereby stipulate and agree that any ambiguity found in the document shall not be construed against one party and in favor of another_ 17. ewa: The term of this agreement shall commence on March 20,2006 and shall terminate on March 19, 2008. This Agreement between the parties,without further action by the parties,shall extend for successive consecutive two-year periods. Intent to terminate this Agreement upon the expiration of the two-year period may only be made by written notice at least sixty(60)days prior to the expiration date of this Agreement. 18. Survival of Termination. All rights and obligations of the parties pursuant to this Agreement shall survive its termination. 19.
