Dear Chair Costello:
This firm represents Flagship Estates Hyannis,LLC (hereafter, "Flagship Estates"),
owner of the Flagship Estates Condominium property located at 320 Stevens Street, Hyannis(the
"Property"). On behalf of Flagship Estates, it is the purpose of this correspondence to request the
Planning Board find that certain proposed site changes described below—all of which folly
comply with the requirements of the Zoning Ordinance -may be permitted as a Minor
Amendment to the existing Regulatory Agreement benefitting the Property.
By way of background, Daniel Adams, a predecessor in title, and the Town of Barnstable
entered into a regulatory agreement dated October 16,2006 (the"Regulatory Agreement"),
concerning the approximately 2.73 acre Property.' In connection with the developer's proposal
to construct twenty-nine (29) residential condominium units in seven (7)designated buildings
(Buildings A-G)on the Property (the"Development"),the Regulatory Agreement authorized
relief from the provisions Barnstable Inclusionary Housing Ordinance, Chapter 9, which requires
that 10% of the units be restricted on-site as affordable units. Here,the Regulatory Agreement
permitted the Development to locate the required affordable housing units off-site, within the
Town of Barnstable,subject to certain conditions.No other regulatory relief, beyond allowing
the affordable units to be situated off-site, rather than on-site as required under said Chapter 9,
was authorized or provided for in the Regulatory Agreement.
The Regulatory Agreement was recorded with the Barnstable County Registry of Deeds(the"Registry")
in Book 21452,Page 74,and a copy is attached as Exhibit A.

Subsequently, Flagship Estates and the Town agreed to certain minor modifications to the
original agreement resulting in a First Amendment to the Regulatory Agreement, which
amendment is dated July 23,2008 and recorded with the Registry in Book 23065, Page 162 (the
"First Minor Amendment"). A copy of the First Minor Amendment is attached as Exhibit B.
These minor modifications included reducing the number of proposed off-site affordable units to
Just one off-site affordable unit and providing the remaining percentage of required affordable
units on-site.
Presently, six of the seven buildings (Buildings A-D, F and G) have been constructed on
the Property for a total of 24 residential units. The foundation for so-called Building E exists, but
the building was never constructed. At this stage, Flagship Estates does not intend to construct
Building E, and instead,proposes to remove the existing foundation and construct, in its place,
eight(8) new paved parking spaces to support the existing condominiums, a new bicycle rack,
and grasses and plantings, all as shown on the plan attached hereto as Exhibit C, entitled"Site
and Landscape Sketch Plan,"prepared by Cape & Islands Engineering,dated June 11, 2021
(hereafter the"Revised Site Plan"). The Property's condominium association is supportive of
this proposal. In addition, the Revised Site Plan meets all applicable zoning requirements and has
been approved by the Town of Barnstable Site Plan Review Committee. See Site Plan Review
Approval letter attached as Exhibit D.
Significantly, with the proposed site changes, the relief authorized by the Regulatory
Agreement from Chapter 9 of the Code of the Town of Barnstable is no longer required. As the
Development now proposes only 24 residential units, Section 9-4(D) of the Code requires the
provision of 2 on-site affordable units. And, on March 3, 2009, Flagship Estates conveyed two
on-site units—Units Al and B I —to the Barnstable Housing Authority.2 Accordingly, the
existing Development meets the requirements of the Town's Inclusionary Housing Ordinance.
Therefore, at this stage, Flagship Estates to seeks to close out the Regulatory Agreement
to reflect the Revised Site Plan via a minor amendment to the Regulatory Agreement. Flagship
Estates respectfully suggests that this proposal qualifies as a minor amendment in that the use of
the property does not change as it remains residential, the intensity is decreased with fewer units
proposed, and the mitigation stipulations(i.e., off-site affordable units) are no longer applicable

We have also confirmed with the Town's Affordable Housing Coordinator that when application of the
Ordinance's 10%requirement results in fractional interest, if the interest is.4 or below,the Town's practice is to
round down.Conversely,when the fractional interest is 0.5 or above,the Town rounds up.So,here,with 24 units
proposed,the fractional interest of 0.4 is rounded down and only 2 affordable units are required.

as Flagship Estates has elected to comply with the Inclusionary Housing Ordinance by providing
the required number of affordable units on-site.
Based on the foregoing, we respectfully ask that this request for a Minor Amendment to
the Regulatory Agreement be placed on the next available meeting of the Planning Board.
Kindly advise of the date so that we can confirm our availability.

REGULATORY AGREEMENT
320 STEVENS STREET.HYANNIS
This regulatory agreement("Agreement") is entered by and between the developer,
Daniel Adams("De Doper") d he Town of Barnstable("Town"),a municipal
corporation, on uusTKday of ,2006 pursuant to Section 240-24.1 of the Barnstable
Zoning Ordinance and Chapters 9 and 168 of the Barnstable Code;
WITNESS:
WHEREAS,the Town and Developer are authorized to enter into this Agreement
pursuant to Chapters 9, 168,and 240 of the Barnstable Code;
WHEREAS, the Barnstable Inclusionary Housing Ordinance,Chapter 9 of the Barnstable
Code,provides for the use of Regulatory Agreements(referenced as"Development
Agreements") in Subsections 9-2,Definitions,and 9-6, Development agreement;
WHEREAS the Developer is the duly authorized agent of the current owner of the
property("Property")at 320 Stevens Street,Hyannis,consisting of approximately 2,73
acres,shown on Barnstable Assessor's Map 308/004, Lot 1,and owned by Ginsberg
Asset Management, LLC,which has a principal place of business at 555 Constitution
Drive,Taunton,Massachusetts 02780;
WHEREAS,it is anticipated that ownership of the Property will be transferred fiom
Ginsberg Asset Management LLC to Flagship Estates Hyannis LLC during the term of
this Regulatory Agreement and the Developer is the duly authorized agent of Flagship
Estates Hyannis LLC, which has a principal place of business at 2 Adams Place, Suite
100,Quincy, Massachusetts 02169;
WHEREAS,the Property was previously referenced as 350 Stevens Street, Hyannis and
ut has a current street address of 320 Stevens Street, Hyannis;
<D WHEREAS, the Developer desires to develop the Property by constructing twenty-nine
(d (29)residential condominium units(the"Development");
WHEREAS, the Barnstable Inclusionary Housing Ordinance,Chapter 9 of the Barnstable
Code,requires that for a twenty-nine unit residential development at least three(3)
affordable housing units shall be provided on-site;
WHEREAS, Developer is willing to commit itself to the development of the project
substantially in accordance with this Agreement and desires to have a reasonable amount
f of flexibility to carry out the Development and therefore considers this Agreement to be

WHEREAS this Agreement shall establish the means by which the Developer will meet
the requirements of the Barnstable Inclusionary Housing Ordinance, Chapter 9 of the

Bmnstable Code, by providing not less than three(3)affordable housing units off-site, as
further conditioned below;
WHEREAS, the Developer under this Agreement will contribute public capital facilities
to serve the proposed development and the municipality or both, will improve a blighted
site, will construct a 5,5 foot wide concrete sidewalk with granite curbing along Stevens
Street from Main Street to North Street or will contribute $50,000 toward the
construction of said sidewalk, will construct a 12-inch (12") water line within Stevens
Street as referenced in the Site Plans,and will provide fair affordable housing;
WHEREAS, the Town and Developer desire to set forth in this Agreement their
respective understandings and agreements with regard to the provision of three(3)off-
site affordable housing units related to the Development;
WHEREAS the Development will not require regulatory review under the Massachusetts
Environmental Policy Act(MEPA) or(lie Cape Cod Commission Act;
WHEREAS the Developer has made application to the Planning Board pursuant to
Section 168 of the Barnstable Code;
WHEREAS the Development is located in the Hyannis Growth Incentive Zone(GIZ)as
approved by the Cape Cod Commission by decision dated April 6,2006,as authorized by
Barnstable County Ordinance 2005.13, Chapter G,Growth Incentive Zone Regulations
of the Cape Cod Commission Regulations of General Application;
WHEREAS The Development is not subject to mandatory review by the Cape Cod
Commission as a Development of Regional Impact because it does not meet or exceed a
mandatory review threshold. In additinn, the Development is located in the GIZ as
authorized by Barnstable County Ordinance 2006-06 establishing a cumulative
development threshold within the GIZ;
WHEREAS the Developer has undergone Site Plan Review and received approval
thereunder on.Tune 30, 2006;
WHEREAS, for the purposes of this Agreement,the term"Developer"shall mean
Ginsberg Asset Management LLC or Flagship Estates Hyannis LLC;
WHEREAS the Developer has undergone at least two public hearings on the Agreement
application and received a majority vote from the Planning Board approving the
application on August 14,2006;
WHEREAS the Developer has undergone a public hearing on the Agreement application
before the Town Council and received a majority vote approving the application on
September 21,2006,

NOW, THEREFORE,in consideration of the agreements and covenants hereinafter set
forth,and other good and valuable consideration,the receipt and sufficiency of which
each of the parties hereto hereby acknowledge to the other, the Developer and the Town
do enter into this Agreement,and hereby agree and covenant as follows;
I. The definitions established in Chapter 9,Section 9-2 of the Barnstable Code shall
apply to this Agreement,except as otherwise provided below.
2. Developer agrees to construct the Development consistent with the plans entitled
"Site Plan, 320 Stevens Street,Hyannis,Massachusetts",prepared for Ginsberg
Asset Management LLC,dated December 12,2005 as revised through March 14,
2006, sheets I through 8.
3. Developer shall be permitted to locate the three affordable housing units off-site,
within the Town of Barnstable,as set forth in this Agreement.
4. Developer shall provide the three affordable housing units for sale as follows:
a) One of the three units shall have a minimum of one bedroom containing a
minimum of 1,200 square feet of habitable space.
b) One of the three units shall have a minimum of two bedrooms containing a
minimum of 1,500 square feet, of habitable space;
c) One of the three units shall have a minimum of three bedrooms containing a
minimum of 1,700 square feet of habitable space.
d) Each unit shall contain a minimum of 1.5 bathrooms.
e) Interior features of the affordable units shall comply in all respects to the
minimum design and construction guidelines of the guidelines of the Local
Initiative Program of the Department of Housing and Community Development.
f) The affordable units do not have to be newly constructed units but shall be
comparable in construction to the market rate located at 320 Stevens Street,
Hyannis, MA,
5. The developer agrees to sell the three affordable units to a governmental agency
or non-profit who shall offer said units for sale or lease to a qualified affordable
purchaser or tenant whose income is at 65%of the area median income based
upon household size.The initial selling prices for each unit shall be based upon a
formula under which monthly housing costs, including mortgage payments,taxes,
insurance,and homeowners association fees,shall not exceed 30%of 65%of the
area median income based upon household size.
6. The three affordable units shall conform with the standards and guidelines of the
Local Initiative Program(LIP)of the Department of Housing and Community
Development(DHCD)for inclusion in the DHCD Subsidized Housing Inventory.
Developer shall prepare and file an application with DHCD under LIP for the
three affordable units.

7. Town,through the Planning Board in consultation with the Housing Committee,
shall approve each off-site affordable unit. In addition to compliance with the
requirements of paragraphs three,four and five herein,factors to be considered in
the approval of the off-site units are the quality of construction, the integration of
the unit within a neighborhood,the consistency of the unit with the local
comprehensive plan, the consistency of the location of the unit with the local
comprehensive plan,and the unit's energy efficiency.
8, The Developer shall prepare an Affordable Housing Restriction for review and
approval by the Town Attorney, Said restriction shall state that the affordable
units shall remain affordable in perpetuity to first time homebuyers whose
maximum animal income is not more than 65%of the median income in the
Barnstable Metropolitan Statistical Area(SMA)under a formula which
establishes maximum resale price based on income of the eligible buyer and
provides sufficient time to locate an eligible purchaser. Any restriction created
under this Agreement shall survive any bankruptcy, insolvency,or other action,
and shall not be subject to nullification for any reason.
9. Developer shall prepare a Monitoring Set-vices Agreement for review and
approval by the Town Attorney. The Agreement shall require that the Developer
retain the services of a monitoring agent approved by the Planting Board.
10, Developer agrees to construct the Development within two years from the
effective date of this Agreement. The duration of this Agreement is three(3)
years,
11. Developer shall comply with all the requirements of the Site Plan Review
Committee letter dated to Ginsburg Assets Management, LLC,for the premises
approval located at 320 Stevens Street,Hyannis,MA,except for the paragraph
requiring that the three affordable traits be built on-site.
12. No occupancy permits for any of the residential condominium development units
located at 320 Stevens Street,Hyannis,MA shall issue until such time as
a) The three affordable dwelling units have been approved by the DHCD as
eligible for the Affordable Housing Inventory under 760 CMR 45,00,the LIP
Program.
b) Developer demonstrates that the three approved affordable housing units have
been sold to a govermnental entity or non-profit organization and affordable
housing restrictions and monitoring set-vices agreements, in a form acceptable to
the Town Attorney, have been recorded at the Barnstable Registry of Deeds.
c) Developer demonstrates compliance with all requirements of the Site Plan
Approval dated June 30,2006,except the requirement that the three affordable
units be built at 320 Stevens Street, Hyannis,MA. .
13. Town hereby grants a waiver from the general ordinance requirement set forth in
Chapter 9, Section 9-4.1)as it applies to the residential condominium

development at 320 Stevens Street for the inclusion of three on-site affordable
housing units by permitting the development of three off-site affordable housing
units as provided above, and the Site Plan Review approval is hereby modified to
reflect the granted waiver.This waiver ruts to Ginsberg Asset Management LLC
and Flagship Estates Hyannis LLC only and not with the property. In the event
that Developer's interest in the property otherwise is transferred or assigned,this
waiver shall be automatically revoked.
IN WITNESS WHEREOF,the parties have hereunto caused this Agreement to be
executed, on the day and year first above written.

FIRST AMEND ENT TO
REGULATORY A REEMENT
Reference is hereby made to a certain Regulatory Agreement("Original Agreement")
dated October 16, 2006, recorded on October 23, 2006 in the Barnstable Registry of Deeds in
Book 21452, Page 74, and entered by and between Daniel Adams as Developer and the Town of
Barnstable ("Town"), a municipal corporation,pursuant to Section 240-24.1 of the Barnstable
Zoning Ordinance and Chapters 9 and 168 of the Barnstable Code:
WITNESS:
WHEREAS, in the interim, ownership of the Property as referenced in the Original Agreement,
320 Stevens Street, Hyannis was transferred from the therein referenced then owner, Ginsberg
Asset Management, LLC to the current owner, Flagship Estates Hyannis, LLC;
WHEREAS, under the terms of the Original Agreement the term "Developer" included both the
then owner of the Property, Ginsberg Asset Management, LLC and the now owner of the
property, Flagship Estates Hyannis, LLC ("Developer");
WHEREAS, due to certain changes in circumstances and market conditions that could not be
anticipated at the time of the Original Agreement, Developer and Town have agreed to certain
minor modifications to the Original Agreement;
WHEREAS, the Barnstable Code authorizes the Town Manager to enter into, make and execute
minor modifications to Regulatory Agreements on behalf of the Town;
NOW, THEREFORE, in consideration of the agreements and covenants hereinafter set forth, and
other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged each party to the other, the Developer and Town do hereby agree to amend the
Original Agreement and covenant as follows:
The existing Paragraph 2 of the Original Agreement shall be stricken and the following new
Paragraph 2 shall be substituted therefore in its place:
2. Developer agrees to construct the development consistent with the plans entitled "Site
Plan, 320 Stevens Street, Hyannis, Massachusetts,"prepared for Ginsberg Asset
Management, LLC, dated December 12, 2005 as revised through March 14, 2006, sheets
1 through 8 and AS BUILT AND PHASE 2 LANDSCAPE PLAN", dated April 28, 2008 and
last revised April 30, 2008.
The existing Paragraph 3 of the Original Agreement shall be stricken and the following new
Paragraph 3 shall be substituted therefore in its place:
3. Developer shall be permitted to locate one of the three affordable housing units off-site,
within the Town of Barnstable, as set forth in this Agreement.
The existing Paragraph 4 of the Original Agreement stall be stricken and the following new
Paragraph 4 shall be substituted therefore in its place:
4. Developer shall provide the three affordable housing units for sale as follows:
a) Two of the three units shall have a minimum of one bedroom containing a minimum
of 1,200 square feet of habitable space.

12, Prior to the issuance of the certificate of occupancy for the sixteenth unit constructed and
located at 320 Stevens Street, Hyannis, MA, the following conditions shall have been met
with respect to one of the one bedroom and one of the two bedroom affordable units
required to be provided as set forth in Paragraph 4a) and 4b) above:
a)The affordable dwelling units have been approved by the DHCD as eligible for the
Affordable Housing Inventory under 760 CMR 45.00,the LIP Program.
b)Developer demonstrates that the approved affordable housing units have been sold to a
governmental entity or non-profit organization and affordable housing restrictions and
monitoring services agreements, in a form acceptable to the Town Attorney, have been
recorded at the Barnstable Registry of Deeds.
c)Developer demonstrates compliance with all requirements of the Site Plan Approval

Prior to the issuance of the certificate of occupancy for the eighteenth unit constructed
and located at 320 Stevens Street, Hyannis, MA, the Developer shall comply with the
above requirements a), b) and c) and all other requirements set forth or referred to
throughout the remainder of this Agreement with respect to the remaining one bedroom
affordable unit required to be provided under Paragraph 4a) above.
IN WITNESS WHEREOF,the parties have herento caused this First Amendment to

At the informal site plan review meeting held on June 29, 2021 It was determined by the Building
Commissioner that the above proposal Is approvable and may proceed onto the Regulatory Agreement
process. . The Site Plan Review Committee made the following comments.
• Hans Keijser: DPW Water Supervisor
o Applicant must cut and cap pipe at the water main. Engineer will work with the
DPW Water to abandon this pipe in accordance with town regulations.
• Kate Maldonado:Assistant Director of Planning and Development
o Will coordinate Regulatory Agreement process with Elizabeth Jenkins and
applicant.
• Applicant must obtain all other applicable permits, licenses and approvals required.
