Jeff Johnson's client applied for a building permit for this vacant lot as a contingency of a pending PSA and sale. He gave Brian an opinion of buildability and Brian asked us to,review. I did and needed additional information so asked Jeff to provide further background on the ownership history, especially by trusts. Jeff did and I reviewed.. Based on both letters from Jeff, in my opinion, 15 Carl has remained in separate ownership throughout its ownership history and Brian would be justified in issuing a building permit as long as all other requirements are met: The key determinant, in my opinion, is that 15 Carl was owned by Marlise Hammond individually and the adjacent 14 Harbor Road (improved w/a single family dwelling)was owned by the 14 Harbor Road Nominee Trust,Jamie Fornos Trustee, Marlise Hammond beneficiary(72%and The Jamie Fornos Trust Agreement at the time of the 2000 zoning change would otherwise have made it nonconforming. Both trusts required unanimous consent of the beneficiaries for a trustee to take any action. That falls within the holdings in Kneer v Zoning Board of Appeals of Norfolk 93 Mass.App. Ct. 548 (2018) cited by Jeff in his second letter dated May 5, 2020 and the case of Distefano v Stoughton 36 Mass.App. Ct. 642 (1994) (the landmark"checkboarding" case) cited in Kneer that in order for merger to occur there has to be active and pervasive control to retain the ability to use land as desired by the same person. That is not present here in my opinion by reason of the diffusion of control through two trusts both of which require unanimous consent of the beneficiaries. Hammond Revocable Trust of 2001 Current Zoning District: ' RB Dear Commissioner Florence and Attorney Houghton, Please accept this as my updated written opinion,that for zoning purposes, the above-referenced lot is a so-celled. "pre-existing nonconforming" lot exempt from current minimum dimensional/lot size provisions of the Barnstable Zoning Ordinance/ Regulations. The title history of the above lot and the abutting properties were attached as exhibits to my earlier letter and those exhibits are supplemented by several attached hereto. As can be seen from the Exhibits, 25 Carl Avenue and 239 Gosnold Street have never been owned"commonly"with either 15 Carl Avenue or 14 Harbor Road on any pertinent date (any date which made the lots in the area"non-conforming"). The zoning changes as they relate to 15 Carl Avenue and 14 harbor Road are as follows: 15 Carl Avenue was created as lot 4 on a plan dated in 1952 and the lot has 10,000 square feet of area and 100 feet of frontage. Lot 4 plan book 110 page 19 continued to meet the dimensional requirements of the zoning changes in 1956 and 1973. Page 2. Florence and Houghton. Zoning changed ed to acre in 1985 and at the time of that change Marlise Hammond g owned 15 Carl Avenue. 14 Harbor Road (lot 3 on plan book 110 Page 19, improved with a single family home) was owned by Jaime and Lily Fornos as tenants by the entirety (See Book 3540 Page 267). Lily died in June of 1987. The next change in zoning occurred in November of 2000. At that time Marlise Hammond still owned 15 Carl Avenue individually. By a deed dated December 31, 1990 and recorded in Book 7399 Page 192 Jaime Fornos, as Trustee of the 14 Harbor Road Nominee Trust had become the owner of 14 Harbor Road. The beneficiaries of 14 Harbor Road Nominee Trust on the date of the 2000 zoning change were Marlise Hammond individually as to 71.428571330 % and Jaime Fornos and Marlise Hammond as Trustees of"The Jaime Fornos Trust Agreement dated August 16, 1999" as to the remaining 28.571438670%. The 14 Harbor Road Nominee Trust requires by its terms that all decisions be directed by the beneficiaries to the Trustee and that the directions be unanimous (not by the majority). The beneficiaries thus control the Trustee. In other words, Marlise Hammond could not control both properties on the date of this zoning change. The Jaime Fornos Trust had to agree. As requested, I have attached(a highlighted version of)the 14 Harbor Road Nominee Trust for your reference and consideration. The case law on"control" is clear that for lots to have merged there must be unanimity of control. The Jaime Fornos Trust Agreement of August 16, 1999 was for the sole benefit of Jaime Fornos, not Marlise Hammond (I believe you already have a copy of the same). During his lifetime, Jaime Fornos retained the power to amend and revoke the Jaime Fornos Trust. Thus, in essence Jaime Fornos essentially controlled whether 14 Harbor Road would be combined or not with 15 Carl Avenue and conversely Marlise Hammond controlled the separate nature of 15 Carl Avenue. As is discussed in Kneer v. The Zoning Board oLAppeals ofNorfolk, 93 Mass. App. Ct 548 (2018), Marlise Hammond had a fiduciary duty to Jaime Fornos in her capacity as Trustee of his Trust. See the highlighted sections of the 14 Harbor Road Nominee Trust. The parties have never intended to merge the parcels. Marlise Hammond has paid taxes on 15 Carl Avenue as a buildable lot since 1975. Marlise D. Hammond and James W. Hammond,Trustees of the Marlise D. Hammond Revocable Trust of 2001 recently for estate planning purposes became the owners of both 15 Carr Avenue;;and 1.4 Harbor Road. This was accomplished by two separate deeds, one recorded on August 3, 2012 in Book 26558, Pages 18 and on November 14, 2012 in Book 26853 Page 340. The title history for lot 4 on Plan Book 110 Page 19 and the abutters demonstrates that it has never been commonly owned with any abutting parcels "on the date of a zoning change that made it non-conforming". 15 Carl Avenue has remained a vacant lot and 14 Harbor Road (lot 3) has been an"improved lot" since at least 1953. The specific language of the single lot protections afforded by the Town of Barnstable Zoning Ordinance, i.e. § 240-91 A (1-4) attached)preserve the buildability of Lot 4. Courts have often recognized that a local bylaw may be more permissive than chapter 40A section 6. Clearly the language of our local "ordinance" is just such a case. The introductory section of our 240 clearly indicates that property owners' rights are to be preserved. Bobrowski in his Fourth Edition of the Handbook of Massachusetts Land fir Page 3. Florence and Houghton Use and Planning at section 5.03(A) quotes the case of Rourke v. Rothman, 448 Mass. 190 (2007): "the Supreme Judicial Court examined the underlying policy of Mass. Gen. L. ch. 40A, § 6,14, sentence one: "Section 6 is concerned with protecting a once valid lot from being rendered unbuildable for residential purposes, assuming the lot meets modest minimum area . . and frontage . . . requirements." . . . This statutory policy of keeping once-buildable lots buildable, grounded in principles of fairness to landowners, applies regardless [of certain changes]. Bart I. Gordon as an author of the 1992 Massachusetts Zoning Manual (at 7-36) in citing Carciofli v Board ofAppeal of Billerica, 22 Mass. App Ct. 926, 492 N.E.2d. 747 (1986) asserts that "the court held that, even if separate lots came into common ownership after a zoning amendment,they would remain buildable if they had been separately owned at the effective date of the zoning change. Accordingly, the Court was not sympathetic to the claim of the abutters that all nonconformities are disfavored: While elimination of nonconformity is a general goal of zoning, it is certainly not the goal of the first sentence of s. 6, fourth par.,the manifest purpose of which is to preserve the buildable status of certain nonconforming lots in perpetuity". The"manifest purpose" of our local ordinance is clearly stated in Article VIII section: "§ 240-90. Intent. It is the intent of this section to protect property rights of owners of preexisting legally created nonconforming lots, uses and buildings or structures and to provide regulation of changes or expansion of preexisting nonconforming structures, building and uses." 240-90 puts our by-law within the line of cases construing"more lenient" local by-laws/ordinances. The Town's merger clause specifically states: "F. Merged lots. Except as otherwise provided herein...". Thus, if the lot is protected, it has not merged. We have just such a situation here. 15 Carl Avenue conforms to each of the 4 criteria of 240-91, i.e. "§ 240-91.Nonconforming lot. A. Separate lot exemption. Any increase in area, frontage, width, yard or depth requirement of this chapter shall not apply to a lot for single-or two-family residential use which at the time of recording or endorsement: (1) Was not held in common ownership with any adjoining land; and (2) Had a minimum of 5,000 square feet of area and 50 feet of frontage or the minimum frontage requirement for the zoning district in which it is located; and (3) Conformed to the existing zoning if any when legally created; and (4) Was separately owned at the time of every zoning change which made it nonconforming." As all the cases seem to indicate that a"buyer' is assumed to be aware of the zoning regulations. See Murr v Wisconsin 137 S. Ct. 1933, 198 L. Ed. 2d 497, 582 U.S (2017). In this case Ms. Hammond's believe the lots to be already protected by the local ordinance as having been Page 4. Florence and Houghton under separate control on the date of each zoning change. The argument could also be made that under the multiple lot exception to merger that 14 Harbor Road was forever protected, and as such conversely 15 Carl Avenue is protected. "B. Common lot protection. (1)Any increase in the area, frontage, width,yard or depth requirement of this chapter shall not apply for a period of five years from the effective date of the change, to a lot for single- or two-family residential use that: (a) Is held in common ownership with not more than two adjoining lots; and (b) Had a minimum of 7,500 square feet in area and 75 feet of frontage or the :minimum,frontage requirement for the zoning district in which it is located; and. (c) Was recorded or endorsed on a plan that conformed to zoning when legally created; and (d) Conformed to applicable zoning requirements as of January 1, 1976. C. The protection afforded by Subsection B shall become vested upon the sale or transfer of the lot so protected into ownership separate from that of adjoining lots or the building thereon of a residence." (emphasis added). 14 Harbor Road had a home,constructed thereon. Its protection became forever "vested"upon that building. To allow something to merge with it would be to make 14 Harbor Road suddenly unprotected. The overall intent of our local ordinance is to protect the property rights of owners (§ 240-90). To interpret the ordinance otherwise runs afoul of the clear language of Carcio i. I trust that you will agree that under either of the aforesaid arguments 15 Carl Avenue remains a separately buildable lot as it has been since Marlise Hammond purchased it in 1975.
