Pursuant to this statute,an employee is defined as"...every person in the service of another under any contract of hire, express or implied,oral or written." An employer is defined as"an individual,partnership,association,corporation or other legal entity,or any two or more of the foregoing engaged in a joint enterprise,and including the legal representatives of a deceased employer,or the receiver or trustee of an individual,partnership,association or other legal entity,employing employees. MGL chapter 152,§25C(6)also states that"every state or local licensing agency shall withhold the issuance or renewal of a license or permit to operate a business or to construct buildings in the commonwealth for any applicant who has not produced acceptable evidence of compliance with the insurance coverage required." Additionally,MGL chapter 152, §25C(7)states"Neither the commonwealth nor any of its political subdivisions shall enter into any contract for the performance of public work until acceptable evidence of compliance with the insurance requirements of this chapter have been presented to the contracting authority." In this case,our Board cannot proceed against the unlicensed person as it would with a licensed Supervisor. The team "Work" includes all labor, materials, equipment, and services required to fulfill Contractor's obligations under this Agreement, and may constitute the whole or a part of the Project. The term'Contract Time"means the time period from the commencement date to the Completion Date. ARTICLE 3 CONTRACT SUM Notwithstanding anything to the contrary in'this Agreement, the maximum compensation to be paid to Contractor shall not exceed$3,800.00(the"Contract Sum'), subject to such additions and deletions as may be approved by both Parties in written Change Orders. The Contract Sum includes all taxes and the cost of all inspections and approvals. ARTICLE 4 - PAYMENTS §4.1 METHOD OF PAYMENT-Owner shall compensate Contractor as follows: Lamp Sum Payment- Owner shall pay Contractor 100% of the Contract Sum after the Work is one hundred percent(100%)completed to Owner's satisfaction and Contractor has removed all debris and surplus Construction REO Repairs(Rev.2-17-09) 1 material from the Project site,subject to the terms and conditions for payment set forth herein. §4.2 APPLICATIONS FOR PAYMENT §4.2.1 Contractor shall submit to Owner an Application for Payment in accordance with Section 4.1. The Application for Payment shall be accompanied by: (a)documentary evidence substantiating the amount requested in the Application for Payment; (b) copies of all recently issued permits or other governmental licenses and approvals with respect to the Work; (c) lien releases executed by Contractor and each Subcontractor who provided any Work covered by the Application for Payment. The lien release form required is set forth in California Civil Code§3262(d)(1) "Conditional Waiver and Release Upon Progress Payment' If Contractor is unable to obtain the required lien releases, Contractor shall provide release of lien bonds to keep the Project free of liens; (d) all maintenance and operating manuals, inspection reports, keys, spare parts, extra stock, special tools,parts lists,.and repair source lists; (e)assignments of all guarantees and warranties from all Subcontractors; (f) a list of all Subcontractors of every tier providing services and/or materials for the Project, including their names, addresses, telephone numbers, fax numbers, and where such persons can be reached for emergency service, (g) written confirmation from a title company satisfactory'to Owner that no mechanics liens appear of record against the Project from the Work which have not been released or bonded over.and (h)such other information and documentation as Owner may require. §4.2.2 Each Application-for Payment shall contain: (a) a statement of the compensation payable to Contractor, including the cost of any Change Orders, (b) a statement of any monies previously paid for the Work, and(e)the net amount due. Submission of an Application for Payment constitutes Contractor's warranty and representation that, to the best of Contractor's knowledge and belief; (a) all items, units, quantities, and prices for the Work and materials shown on the Application are correct, (b)all work has been performed and all materials supplied in full compliance with the terms of this Agreement, (c) the Application is a true and correct statement of the amount owed up to and including the last day of the period covered by the Application, and no part of the amount requested has been received, (d) all bills for labor, materials and.equipment used in the performance of the Work have been paid in full, (e) title to all Work covered by an Application will pass to Owner no later than the time of payment, and (f) all Work is free and clear of liens, claims, interests or'other encumbrances adverse to Owner. §4.3 PAYMENT §4.3.1 Owner may withhold payment in whole or in part to the extent reasonably necessary to protect Owner from loss,including loss from: (a)defective Work not remedied, (b)liens andlor third party claims-filed or anticipated to be filed unless Contractor provides security acceptable to Owner, (c) Contractor's failure to pay Subcontractors, (d) evidence that the Work cannot be completed within the Contract Time or for the unpaid balance of the Contract Sum; (a)damage to the work of Owner or separate contractors,(f)the failure to perform the Work in accordance with this Agreement, including but not limited to the failure to update and adhere to the Schedule. §4.3.2 Unless there is a dispute regarding the Application for payment or the completion of the W0*1 Owner shall pay Contractor not later than 30 days after receipt of the Application for payment; however, if such day falls on a Saturday, Sunday, or holiday, then Owner stall pay Contractor by not later than the first business day thereafter. Contractor's execution of this Agreement is a representation that Contractor has; (a) reviewed this Agreement, (b)visited the Project site and examined the physical conditions affecting the Work, (c) familiarized itself with local area conditions under which the Work is to be performed (including climatic conditions, and the quality, quantity, and availability of necessary labor, materials supplies, q Y q Y Y ry � . pp , tools, equipment, and services), (d) correlated its personal observations of the Project site conditions with Contractors experience and expertise in construction of improvements similar to the Work, and the requirements of this Agreement, and (e) satisfied itself that this Agreement is sufficient to enable Contractor to perform the Work and fulfill its obligations thereunder for the Contract Sum and within the Contract Time set forth herein. §6.3 SAFETY. Contractor is solely responsible for providing a safe place for the performance of the Work. Contractor shall exercise the extra degree of care required under the Project site circumstances to protect the comfort and quiet enjoyment of all tenants, occupants,and invitees on the Project site,the safety of persons and property on or adjacent to the Project site, the cleanliness of the Project site, and the protection of existing utilities and adjacent areas. Contractor has considered the impact of such circumstances when arriving at the Contract Sum and the Contract Time. Owner shalt not be required to adjust the Contract Sum or the Contract Time due to the failure of Contractor or any Subcontractor to comply with this Section. ARTICLE 7 - ,OWNER §7.1 OWNER'S RIGHT TO CARRY OUT THE WORK. If Contractor defaults in or fails to perform the Work in accordance with this Agreement, Owner may, after two (2) days' written notice to Contractor, and without prejudice to any other remedy Owner may have, make good such deficiencies and deduct the reasonable cost thereof and Owner's expenses (including without limitation consultants' and/or attorneys' fees) and compensation for any additional services of the Architect and/or others made necessary thereby, from payments then or thereafter due to Contractor- ARTICLE 8 - CQ TRACTOR §8.1 LICENSING AND INDEPENDENT CONTRACTOR. The term "Contractorm includes Contractor, its employees, and its authorized'representatives. Contractor warrants and represents that it is fully licensed as a contractor qualified by the applicable laws of the State in which the Project is located to perform all the Work, and is In good standing under the laws of such State. Contractor shall investigate all Subcontractors prior to hiring them for the Project to ensure that they meet the same criteria. Contractor and its Subcontractors are independent contractors. Nothing in this Agreement shall be deemed or construed to make them the agents or employees of Owner, or to create any partnership,joint venture, or other association between them, or entitle them to any rights or benefits that accrue to Owner's employees. Owner's directions or instructions with respect to the Work shall not in any way affect such independent contractor status. § 8.2 SUPERVISION AND CONSTRUCTION PROCEDURES. Contractor shall supervise and direct the Work, using Contractors best skill, employees and attention. Contractor shall be responsible to Owner for the acts and omissions of Contractor's employees.and Subcontractors of every tier, and their respective agents and employees, and other persons or entities performing any portions of the Work on behalf of Contractor. Contractor shall enforce strict discipline and'good order among Contractor's employees and Subcontractors carrying out the Work. Contractor shall not hire or permit on the Project site any unfit persons, or persons not skilled in the tasks assigned to them, and shall immediately remove from the Project site anyone not complying with the provisions of this Agreement and/or any safety requirements. §83 LABOR AND MATERIALS. Contractor shall provide and pay for all labor, materials, equipment, tools, machinery, water, heat, utilities, transportation, and any other items and services needed for proper execution and completion of the Work, whether temporary or permanent and whether or not incorporated into the Work. Contractor shall not be relieved of its obligations under this Agreement by the activities or duties of Owner, or any tests, inspections or approvals required to be performed by persons or entities other than Contractor. Contractor shall handle, store, and install materials according to manufacturers' instructions. Contractor shall not make any substitutions without Owner's prior written consent, and in accordance with a written Change Order. Contractor shall ensure that any substitutions requested by Contractor, (i) are e4ual to or superior in all respects to the originally specified products, (11)have the same or a better warranty, (iii)will not increase the cost of the Work, unless Owner agrees to such increase in writing, and(iv)will not change the construction methods or procedures for the Work unless all affected parties are made aware of such changes. §6.4 WARRANTY. Contractor warrants to Owner that all materials and equipment furnished in connection with the Work will be of good quality and new unless otherwise required or permitted by this Agreement, all Work will be free from defects not inherent in the quality required or permitted, and the Work will conform to the requirements of this Agreement.Work not conforming to these requirements, and any substitutions not properly approved, may be deemed defective and shall be promptly corrected by Contractor at its expense. Contractor's warranty excludes damage or defects caused by abuse, modifications not performed by Contractor, improper maintenance or operation, or normal wear and tear and usage. As a condition precedent to Owner's final acceptance of the Work and payment of Contractor's Application for Payment,Contractor shall provide to Owner a written warranty and guarantee that Contractor will repair and replace any and all portions of the Work, and any other work that may be displaced, damaged or marred in so doing, that is defective in materials or workmanship,or fails to conform to the requirements of this Agreement. All warranties and guarantees provided by Contractor, its Subcontractors of any tier, and its material. and equipment suppliers, shall be in form and substance satisfactory to Owner, and shall be for a period of not less than one (1) year dating from the Completion Date (unless any longer period is specified in this Agreement). The aforesaid warranty by Contractor is in addition to, and not in lieu of, any warranties and guarantees provided by any Subcontractors and/or material and equipment suppliers, and the protections of California Code of Civil Procedure§337.1 and §337.16, or similar statutes in the state where the Project is located. §8,6 TAKES. Contractor sha[I pay all sales, consumer, use, and other similar taxes which are legally enacted when bids are received or negotiations concluded. § 8.6 PERMITS AND PEES. Unless instructed by Owner in writing to the contrary, Contractor shall obtain,and pay for all building permits and all other permits, fees, licenses and approvals necessary for execution and completion of the Work. §8,7 USE OF PROJECT SITE AND CLEAN UP. Contractor shall confine operations at the Project site to areas permitted by law, ordinances, permits and this Agreement and shall not unreasonably encumber the Project site with materials or equipment. Contractor shall keep the Project and surrounding area free from accumulation of waste materials or rubbish caused by the Work. If the Work includes excavation or earth moving, Contractor shall make sure that any adjacent landowner's right of subadjacent and lateral support is not violated or unreasonably interfered. Upon completion of the Work, Contractor shall remove from the Project all waste materials, rubbish, tools,equipment, machinery, and surplus material. §8.8 CUTTING AND PATCHING, Contractor shall perform all cutting, fitting or patching required to complete the Work or to make its parts fit together properly. §8.9 INDEMNIFICATION. To the fullest extent permitted by law, Contractor shall indemnify, defend with Constnidion.REO Repairs(Rev.2-17-09) 4 i counsetapproved by Owner,protect and gold harmless Owner, its officers, directors, employees and volunteers from and against all liability, judgments, awards, loss, liens, claims, stop notices, damage, expense, and cost (including without limitation attorneys'fees, expert and consultant fees, and other costs and fees of litigation)of every nature arising out of or in connection with Contractors or its employees', agents', representatives% or Subcontractors'performance of work related to the Project or its failure to comply(timely or otherwise)with any of its obligations contained in this Agreement, except If caused by the sole negligence or willful misconduct of Owner. §BAO COMPLIANCE WITH GOVERNMENTAL REQUIREMENTS. Contractor shall at all times be knowledgeable about, comply with, and cause all of its agents, employees, Subcontractors, and suppliers to comply with, all Governmental Requirements with respect to the Work and/or the Project, whether now existing or hereafter enacted or issued, and the Contract Price shall not be increased as a result thereof. Contractor shall promptly notify Owner in writing if this Agreement is at variance with any Governmental requirements, and give suggestions for correcting such variances. If Contractor performs the Work knowing it is contrary to any Governmental Requirements, without giving such notice to Owner, Contractor shall be responsible for such Work and shall bear all costs attributable to correction thereof. Contractor shall give all notices necessitated by Governmental Requirements applicable to the Work. §8.11 COOPERATION. Contractor shall thoroughly review all items supplied by Owner or separate contractors that require coordination and/or installation by Contractor. Contractor shall coordinate the Work with the work of separate contractors in order to maintain proper progress and timely completion of the Work, and to prevent delay or Interference with the work of separate contractors. If items provided by Owner are to be Installed by Contractor, Contractor shall be responsible for receiving, inventorying, storing, and protecting such Items until Installation thereof, confirming that the quantities received.are correct and sufficient, and immediately delivering all bills of Ding, shipping tags, or other evidence of delivery thereof to Owner (indicating any shortage or damage in the shipment thereon). If any part of the Work depends on the proper execution or results of work by separate contractors, Contractor shall promptly inspect and report any discrepancies or defects in such work that render it unsuitable for proper execution of Contractor's Work, failing which Contractor shall be deemed to have accepted the separate contractors' work for all purposes, including without limitation the fitness of such work for receipt of Contractors Work, except for hidden defects in the separate contractors' work that appear after performance of Contractor's Work. ART[CLE 9 - ADMINIST RATION OF THE CONTRACT §9.1 iNSPECTION, Owner may visit the Project site at intervals appropriate to the stage of the Work; (1) to familiarize itself with the progress and quality of the Work, (2) to endeavor to guard itself against defects and deficiencies in the Work, and (3) to determine if the Work is being performed, and when completed will be, In accordance with this Agreement. §9.2 ARBITRATION OF DiS.P_taTES. To the fullest extent permitted by law, any dispute or claim arising in connection with or relating to this Agreement(other than injunctive relief) shall be resolved by final and binding arbitration before the American Arbitration Association{"AAA")in Orange County, California and be governed by the AAA Rules in effect as of the date hereof for Construction Industry Arbitration (the "AAA Rules"), The parties shall select a single neutral arbitrator for resolution of their dispute, and in the event the parties cannot agree on a single neutral arbitrator within thirty (30)days of the date the arbitration demand is filed with AAA, the dispute shall be resolved by a neutral arbitrator selected in accordance with AAA Rules. The decision and award, if any, of the arbitrator shall be rendered within ten(10)days of the last day of the arbitration proceeding and shall be final and binding on both parties, their respective heirs, representatives, successors and assigns. A judgment shall then be entered in Orange County Superior Court and be enforceable in any court of competent jurisdiction. Prior to the arbitrator's rendering of a decision or award, the parties shall each bear one- half of the costs and fees of the arbitrator and any other Bees and costs charged by AAA (collectively, the "Arbitration Costs"). Upon the rendering of a decision or award, the non-prevailing party in the arbitration shall, in addition to any other decision or award made by the arbitrator, pay all attorneys' fees, expert fees, Arbitration Costs and all other fees and costs incurred by the prevailing party in connection with the arbitration, and in enforcing and/or collecting any judgment entered in connection therewith. At the option of either party, all related disputes and claims (i.e., disputes and claims which would have been subject to being heard and decided in the same court proceeding but for this or any other arbitration section) involving third party(ies)shall Constriction RE4 Pepairs(Rev.2-17-09) s be hoard and decided in a single arbitration proceeding; however, in the event of discrepancies between this Section and the arbitration section by which the third party(ies)are bound,the arbitrator shall have the discretion. to modify the arbitralion proceeding as he or she determines appropriate. NOTICE: BY INITIALING IN THE SPACE BELOW YOU ARE AGREEING TO HAVE ANY DISPUTE ARISING OUT OF THE MATTERS INCLUDED IN THE "ARBITRATION OF DISPUTES" PROVISION DECIDED BY ARBITRATION AND YOU ARE GIVING UP ANY RIGHTS YOU MIGHT POSSESS TO HAVE THE DISPUTE LITIGATED IN A COURT OR JURY TRIAL. IF YOU REFUSE TO SUBMIT TO ARBITRATION AFTER AGREEING TO THIS PROVISION, YOU MAY BE COMPELLED TO ARBITRATE. YOUR AGREEMENT TO THIS ARBITRATIO PR 01 ION IS VOLUNTARY. WISITRACTOITS INITIALS OWNER'S INITIALS ARTICLE 10 - SUBCONTRACTORS §10.1 If Contractor does not customarily perform portions of the Work with Contractor's own personnel, Contractor shall have it performed under subcontract. A"Subcontractor" is a person or entity having a direct contract with Contractor for a portion of the Work. Contractor shall, as soon as practicable after execution of this Agreement, furnish to Owner a written list of.the names of the proposed Subcontractors for each of the principal portions of the Work. Contractor shall not contract with any Subcontractor to whom Owner reasonably and timely objects. If Owner objects to any persons or entities hired by Contractor, Contractor shalt immediately remove any such persons or entities from the Project site. § 10.2 All subcontracts and purchase orders between Contractor and Subcontractors shall; (a) be solely in Contractor's name, and not in the name or on behalf of Owner; (b) require that such Work be performed in accordance with the requirements of this Agreement; (c) require each Subcontractor to assume toward Contractor all obligations and responsibilities which Contractor, by this Agreement, assumes toward Owner, Including the dispute and warranty provisions of this Agreement, (d)provide that, upon Owner's request, Owner may be substituted for Contractor, and Subcontractor shall be bound to Owner for completion of its obligations under the subcontract; (e) conform to the payment provisions of this Agreement, and shall not be awarded on the basis of cost plus a fee without Owner's prior written consent, (0 so far as practicable, contain unit prices and other formulas for determining the cost of the Work; (g) require the Subcontractor to maintain liability insurance meeting the requirements of this Agreement, and provide certificates evidencing such insurance to Contractor and Owner; (h) if required by Owner, require the Subcontractor to obtain performance and/or completion bonds; (i)provide that the Subcontractor waives any right to proceed against or recover from Owner for loss or damage covered by the insurance required to be carried by this Agreement, and 0) otherwise conform to all requirements of this Agreement. § 10.3 Any subcontracts and purchase orders entered into by Contractor shall not create any contractual relationship between Owner and any Subcontractor except Owners position as a third party beneficiary thereof. Contractor shall deliver to Owner copies of all subcontracts and-purchase orders. Contractor shall not make any material change or amendment to any subcontract or purchase order without Owner's prior written consent. Contractor shall hold all Subcontractors, and persons directly or Indirectly hired by them, liable for all damages due to breach of contract or negligence, and shall diligently pursue recovery thereof. §10A Contractor shall promptly pay each Subcontractor, out of the sums paid by Owner to Contractor on - account of such Subcontractor's portion of the Work, the amount due to such Subcontractor, subject to any percentage actually retained by Owner from payments to Contractor on account of Subcontractor's portion of the Work. Contractor shall require in its subcontracts that each Subcontractor pay its sub-subcontractors in a similar manner, and provide the lien releases required by this Agreement as a condition precedent to payment. Owner shall have no obligation to pay or see to the payment of a Subcontractor except as required by law. ARTICLE 17 -OWNER'S RIGHT TO PERFORM WORK AND AWARD SEPARATE CONTRACTS fl § 11.1 Owner has the right to perform construction or operations related to the Project with Owner's own forces, and to award separate contracts for portions of the Project not covered by this Agreement. Contractor shall allow Owner and its separate contractors to store their materials and equipment on the Project site, and Construdton REO Repairs(Rev.2-17.09) 6 I perform their activities, and shall coordinate Contractor's activities with theirs. If Contractor claims that Owners "activities result in delay or additional cost to Contractor, Contractor shall make such claim only after giving Owner written notice that a delay or additional cost will arise from such action. Contractor shall reimburse Owner for any costs that are payable to Owners separate contractors because of Contractor's delays, improperly timed activities, or defective construction_ ARTICLE 12 -CHANGES IN THE WORK §12.1 Changes in the Work and/or this Agreement (including additions, deletions:, or other revisions) may be made only by: (a) a written Change Order signed by Owner, Contractor, and any Architect, or(b)a written order for a change in the Work signed by Owner. Nothing herein shall limit Owner's right to order changes in Work that have not been signed by Contractor. §12.2 Concealed or Unknown Conditions. If Contractor encounters conditions at the Project site which are; (1) subsurface or otherwise concealed, or (2) of an unusual nature that materially differ from those ordinarily found or recognized as inherent in the type of construction activities involved, then Contractor shall give Owner prompt written notice of such conditions before they are disturbed (and in no event later than 9 day after first observing the condition), and any changes in the Work that are necessitated thereby. §12.3 If a change in the Work requires an adjustment to the Contract Sum or the Contract Time, the adjustment shag be determined by mutual agreement between Owner and Contractor. If a change results in' an extension, of the Contract Time, Owner may at its option require Contractor to increase the number of laborers on the Project, and/or implement overtime and double shifts (including weekend or holiday shifts) as are required to complete the various phases of the Work, and the totality of the Work, within the original Contract Time. § 12.4 Contractor shall not proceed with any change in the Work, and shall not be entitled to any increase in the Contract Sum or extension of the Contract Time, unless it is approved in writing by Owner. Once approved by Owner, any adjustment in the Contract Sum or the Contract Time shall not be thereafter be modified without Owner's prior written consent. ARTICLE 13 - TIME §13,1 Time limits stated herein are of the essence of this Agreement. By executing this Agreement, Contractor confirms that the Contract Time is a reasonable period for performing the Work. §13.2 If Contractor is delayed at any time in the commencement or progress of the Work, due to changes ordered in the Work, or due to occurrences beyond the control and without the fault or negligence of Contractor or its Subcontractors or suppliers, and which Contractor is unable to prevent.with the exercise of reasonable diligence, including labor disputes, fire, unusual delay in deliveries not reasonably anticipated, unavoidable casualties, unusually adverse weather conditions not reasonably anticipated, or other occurrences which Owner determines may justify delay, then, provided that Contractor Is In compliance with all terms of this Agreement, the Contract Time shall be extended by Change Order for the length of time that Contractor's critical path to completion of the entire Work is actually and directly delayed by such occurrence as documented by Contractor and approved by Owner in writing (such approval not to be unreasonably withheld, delayed or conditioned). However, in order for Contractor to make a claim for any'such extension of the Contract Time, Contractor must Immediately, upon the occurrence of the conditions or events giving rise to.the delay, deliver written notice to Owner of such conditions or events and the number of days of delay anticipated due to such conditions or events. Any such extension of Contract Time shall be net of any delays caused by or due to the fault or negligence of Contractor or its Subcontractors or suppliers. If an event occurs which is likely to cause such a delay, Contractor shall cooperate in good faith with Owner to minimize and mitigate the impact of any such occurrence, and do all things reasonable under the circumstances to achieve this goal; however, Contractor shall not be required to Incur additional costs to make up delays for which Contractor is entitled to a time extension under this Section. A time extension shall be Contractor's sole remedy and compensation for all such delays other than those resulting from the negligent acts of Owner, the Architect, or Owner's separate contractors. Owner's'exercise of any of its rights under this Agreement, including without limitation its rights under Article 12 (Changes in the Work), regardless of the extent or number of such Changes, Owner's suspension of the Work, or Owner's requirement that Contractor correct or re-perform defective.Work, shall not Construction RI=O Repairs(Rev.2-17-09) be construed as delays caused by owner. ARTICLE 14[Intentionally Ornitted] ARTICLE 15 '- PROTECTION OF PERSONS AND PROPERTY §16.1 SAFETY PRECAUTIONS AND PROGRAMS. Contractor shall initiate, maintain, and supervise all safety precautions and programs in connection with the Work to prevent damage, injury or loss to: (a) persons and property on the Project site, and property adjacent thereto, that may be affected by the Work; (b) the Work, and all materials and equipment to be incorporated therein; and (c) the work of Owner or separate contractors. Contractor shall give all notices, and comply with applicable Governmental Requirements bearing on the safety of persons and property and protection from damage, injury or loss. Contractor shall promptly remedy all damage and loss to property caused in whole or in part by Contractor, a Subcontractor of any tier, or anyone directly or indirectly hired by any of them, or anyone for whose acts they may be liable. The foregoing obligations of Contractor are in addition to Contractor's obligations under Article$. § 16.2 HAZARDOUS MATERIALS. If reasonable precautions will be inadequate to prevent foreseeable bodily injury or death to persons resulting from a material or substance, including but not limited to asbestos, mold or polychlorinated biphenyl (PCB), encountered on the Project site, Contractor shall, upon discovering the condition, immediately stop Work in the affected area and report the condition to Owner In writing. When the material or substance has been rendered harmless, Work in the affected area shall resume upon written agreement of Owner and Contractor. The Contract Time shall be extended appropriately and the Contract Sum . shall be adjusted for any reasonable additional costs that Contractor incurs as a result of such shutdown and start-up, in accordance with Article 12, Owner is not responsible for any hazardous materials and substances brought to the Project site by or caused by Contractor or its Subcontractors. Contractor shall not cause or permit any hazardous materials to be brought upon, kept or used in or about the Project site except to the extent that the same are necessary for the prosecution of the Work and are required by this Agreement. Contractor is solely responsible for securing any governing agency permits, approvals, and licenses for such hazardous materials. Any hazardous materials allowed to be used on the Project site shall be used,stared and disposed of in compliance with all applicable Governmental Requirements. Contractor shall, at its sole cost and expense, remove all unused or surplus hazardous materials from the Project site in accordance with Governmental Requirements by the earlier of: (i) the date of completion of the Work requiring the use of.such hazardous materials; (ii) the date of completion of the Work as a whole; or(III)within twenty-four(24) hours after Owner's demand for such removal. Contractor shall immediately notify Owner of the discovery, release, or discharge of any hazardous materials on the Project site, and the location thereof, and shall deliver to Owner copies of all warning labels on products which Contractor or any of its Subcontractors will be using in connection with the Work. Contractor shall mace all disclosures required under applicable "Community Right-to-Know'° or similar Governmental Requirements. Contractor shall not clean ar service any tools, equipment, vehtcles, materials or other items in any manner that violates any laws or regulations relating to hazardous materials. All residue and waste materials resulting from such cleaning or servicing shall be collected and removed from the Project site in accordance with all applicable laws and regulations. Contractor shall immediately notify Owner of any citations, orders, or warnings issued to or received by Contractor, or of which Contractor becomes aware, or any potential violations of law relating to any hazardous materials on the Project site. As used herein, the term 'hazardous materials" includes any hazardous or toxic substances, materials and wastes identified in the United States Department of Transportation Hazardous Materials Table, or by the Environmental Protection Agency, and/or that are or become regulated under federal, state or local law. ARTICLE 16 - INSURANCE §16.1 CONTRACTOR'S INSURANCE. Contractor agrees to have and maintain during the term of this Agreement: Commercial General Liability insurance,with limits of $2,000,000 per occurrence for bodily injury,. personal injury and property damage;Workers'Compensation insurance as required by the State of California; and Employer's Liability insurance,with limits of$2,000,000 per accident for bodily injury or disease,and in the aggregate. Owner,its lender and their members, officers,directors,affiliates, representatives,employees, agents and Constrolon REO Rgmfrs(Rev.2-17-09) g volunteers,shall be named as additional insureds under each policy of insurance required hereunder with respect to the liability arising out of automobiles owned, leased, hired or borrowed by or on behalf of the Contractor and with respect to liability arising out of work or operations by or on behalf of the Contractor, including materials, parts or equipment furnished in connection with such work or operations. For any claims related to this project,the Contractor's insurance coverage shall be primary insurance as respects Owner, Its lender, and their members,officers,directors, affiliates, representatives, employees, agents, and volunteers.. Each insurance policy required by this clause-shall be endorsed to state that coverage shall not be canceled; except after thirty(30)days'prior written notice by certified mail, return receipt requested, has been given to Owner. Insurance Is to be placed with insurers with a current A.M. Best's rating of no less than A.VII, unless otherwise approved in writing by Owner. Contractor shall furnish Owner with original certificates and amendatory endorsements effecting coverage required by this Section. All certificates and endorsements are required to be received and approved by Owner before work commences. Owner reserves the right to require complete, certified copies of all required insurance policies, including endorsements effecting coverage required by these specifications at any time. §16.2 WAIVERS OF SUBROGATION. Owner and Contractor waive all rights of subrogation against each other, and their respective agents, employees, consultants, and Subcontractors of any trier, for loss or damages caused by fire or other causes to the extent covered by the insurance maintained under this Article 16, or other insurance applicable to the Work; however, such waiver of subrogation shall be effective as to Owner only to the extent of Owner's actual recovery, if any, and only to the extent permitted under such policies. Owner and Contractor shall require their respective consultants, subcontractors, and separate contractors, and all subcontractors, agents, and employees of any of them, to provide similar waivers in favor of Owner and Contractor by written agreement. The waivers of subrogation may be by endorsement or otherwise, and shall be effective as to a person or entity even though they would otherwise have a duty of indemnification, contractual or otherwise, did not pay the insurance premium, and whether or not they had an insurable interest in the property damaged. Any loss insured under Owner's property insurance shall be adjusted by Owner and made payable to Owner for the insureds, as their interests may,appear, subject to any applicable.mortgagee clause. Contractor shall pay Subcontractors their just share of insurance proceeds received by Contractor, and shall by written agreement require Subcontractors to make payments to their sub-subcontractors in similar manner. ARTICLE 17 - CORRECTION OF WORK §17.1 Contractor shall promptly correct any portion of the Work that is defective, or rejected by Owner, or fails to conform to the requirements of this Agreement, whether or not fabricated, installed or completed: Costs of correcting the Work, including additional testing and inspections, any loss or damage to adjacent Work, any additional services of Architect or other consultants, and any other expenses necessitated thereby, shall be at Contractor's expense. If at any time Contractor, or any of its Subcontractors of any tier, damages or destroys any portion of the Work, including any mechanical, electrical, plumbing, or other building systems, equipment,or devices, Contractor shall restore such items to"like new"condition at no cost to Owner. § 17.2 In addition to Contractor's obligations under Section 8.4, if, within one year after the Completion Date, any portion of the Work is found to be defective or otherwise does not comply with the requirements of this Agreement, Owner shall give Contractor prompt written notice thereof, and Contractor shall correct such Work, at Contractor's expense, within ten (10) days after receipt of Owner's written notice thereof (unless Owner previously acknowledged such defect or nonconformance in writing and accepted the Work). If Contractor fails to timely correct the Work, Owner may correct it at Contractor's expense. However, if in Owner's sole and subjective discretion,the nonconforming Work creates an emergency situation involving potential risk of injury or damage to persons or property, Owner may immediately correct and/or replace the Work on Contractor's behalf without prior written notice to Contractor. Aft costs incurred by Owner to correct and/or repair the Work shall either be deducted from any amounts then or thereafter due to Contractor,•or Contractor shall promptly reimburse Owner for such costs upon receipt of written demand therefor. §17.3 The period for correction of Work shall not be extended by corrective Work performed by Contractor under this Article 17. Nothing herein shall be construed to establish a period of limitations with respect to Contractor's obligations under this Agreement,or any warranties or guaranties issued hereunder. ARTICLE 18 - TERMINATION OF THE CONTRACT • r Construction RE0 Repairs(Rev.2-17-09) 9 § 18.1 TERMINATION BY OWNER FOR CONVENIENCE. Owner may, at any time, terminate this Agreement for Owner's convenience and without cause. Upon receipt of written notice from Owner of such termination for Owner's convenience, Contractor shall. (a) cease operations as directed by Owner in the notice; (b) take all actions necessary, or as Owner may direct, to protect and preserve the Work; and (c) except for Worts to be performed prior to the effective date of termination stated in the notice, terminate all existing subcontracts and purchase orders and enter into no further subcontracts and purchase orders. If the event of termination for Owner's convenience, Contractor shall be entitled to receive payment for Work completed to the effective date of such termination,and reasonable costs incurred due to such termination according to proof. § 18.2 TERMINATION BY OWNER FOR CAUSE § 18.2.1 Owner may terminate this Agreement, in whole or in part, for cause if,within five(5)days after receipt of written notice from Owner, Contractor fails to: (a) supply enough properly skilled workers ar proper materials;(b)pay Subcontractors for labor or materials furnished in connection with the Work; (c)comply with all Governmental Requirements; (d) comply with any provision of this Agreement, (e) provide the quality of work required by this Agreement, (f)'maintain the Project Schedule; (g) dismiss any bankruptcy or insolvency proceeding filed by,or on behalf of Contractor, or (i) otherwise cure the default reference in such notice to Owner's satisfaction If it is subsequently determined that Owner did not have cause for termination, then Owner's termination shall be deemed to be for convenience under Section 18.1, § 18.2.2 If, after expiration of the five (5)day period referenced in Section 18.2.1 above, the default(s) referenced in Owner's notice have not been wholly cured, Owner may,without prejudice tc5 any other remedies it may have, terminate this Agreement and take possession of the Project site and all materials, tools, equipment, and supplies thereon owned by Contractor and/or its subcontractors of any tier, and finish the Work by whatever method Owner deems expedient. Contactor shall not be entitled to any further payment until the. Work is finished, §18.2.3 Owner shall deduct from the Contract Sum all costs, expensesi and damages incurred by Owner as a result of Contractor's failure to cure the default referenced in the.notice, including without limitation the cost of additional services by the Architect and other consultants made necessary thereby, and any other damages incurred by Owner. Upon Contractor's request, Owner shall give Contractor a detailed accounting of such costs, expenses, and damages incurred by Owner. If Owner's costs,expenses,and damages exceed the unpaid balance of the Contract Sum, Contractor shall pay the difference to Owner immediately upon demand. This paragraph shall survive termination of the Contract. ARTICLE 19 - MISCELLANEOUS PROVISIONS §19.1 ASSIGNMENT OF CONTRACT. Contractor shall not assign this Agreement without the written consent of Owner,which may be withheld and/or conditioned in Owner's sole and subjective discretion. §19.2 GOVERNING LAW.This Contract shall be governed by the law of the State of California. §19.3 TESTS AND INSPECTIONS. Contractor shall timely perform and/or arrange for such tests, inspections and approvals of the Work as are required by this Agreement or by laws, ordinances, rules, regulations or orders of public authorities having jurisdiction over the Project, or as are necessary to assure that the Work conforms to the requirements of this Agreement. Contractor shall make -arrangements for such tests; - inspections and approvals with an independent testing laboratory or entity acceptable to Owner,-or with the appropriate public authority, and shall bear all related costs therefor. Contractor shall give Owner timely notice of when and where such tests and inspections will be made so that Owner may be present thereat, Contractor shall submit all test and inspection results to Owner promptly upon receipt thereof, and shall keep adequate records thereof. The conduct of any inspection or test, and the receipt of any approval, shall not relieve Contractor of its obligations under this Agreement. §19.4 WORK UNDER PROTEST. Contractor shall keep complete, accurate, and detailed books, records, accounts, correspondence, instructions, drawings, receipts, subcontracts, purchase orders, vouchers, memoranda and other data of Contractor and all Subcontractors relating to the Work and this Agreement, including without limitation payroll records, daily time sheets for personnel performing the Work, invoices for labor, materials and equipment, accounts payable receivable, minutes of meetings, daily togs, schedule status reports, Change Orders, bids, proposals, estimating work sheets, quotes, cost recaps, schedule logic recaps, tabulations, submittals, insurance policies, insurance premium records, payment and performance bond premium records, tax returns, tax clearances, general ledger entries, canceled checks, computer data, and termination charges(the"Accounting Records")for a period of five(5)years after receipt of final payment, or for such longer period as may be required by law. Owner and its agents and accountants shall be given access to, and shall be permitted to audit and copy, all Accounting Records.
