Late Fee. In the event that Tenant fails to pay Rent or any other amounts payable hereunder within TEN (10)days of the date due,Tenant shall also pay to.Landlord as additional rent on demand a penalty equal to FIFTY DOLLARS($50.00). In addition, interest shall accrue and be due on all amounts outstanding of eighteen percent(18%)per annum (or such lesser amount as shall be the maximum permitted under law)from the date payment was due(without regard for any grace period) until paid in full.This late fee shall be in addition to any other rights and remedies permitted landlord hereunder. _ s 5. Security Deposit.The sum of$800.00 will continue to be held as deposited by the Tenant with the Landlord as security for the faithful performance of all the covenants and conditions to be performed on their part,otherwise the sum deposited shall be returned to the Tenant upon completion of the term. 7. Taxes.The landlord shall be responsible for all property taxes associated with the Premises.The Tenant agrees to pay all personal property taxes, business and occupation taxes,and all other similar governmental charges which shall be assessed or imposed upon the Premises or any portion thereof by reason of Tenant's personal property or any fixtures,equipment,supplies, merchandise or any property in or about the Premises. 8. Water, Utilities, &Snow Removal. The Landlord shall be responsible for all water and sewer charges associated with the Premises assessed by the Town of Barnstable.The Tenant shall pay the utilities associated with the leased Premises such as electricity,trash removal,telephone use and installation, or as otherwise applicable. The Tenant shall be responsible for snow removal and sanding of any walkways or entrances providing a means of access to the Premises. 9. Tenant's Obligation to Repair and Maintain the Premises.The Tenant accepts the Premises"as is" and agrees that landlord has made no representations,warranties or agreements of any kind or nature with respect to the use, occupancy,enjoyment or condition thereof except as contained herein.The Tenant agrees to keep the interior of the Premises, including electrical, plumbing and heating systems,together with any fixtures, doors,windows, floors, signs(including exterior signs where permitted) in good order,condition and repair and shall pay allcharges for maintenance, repair, replacement and upkeep of the same.The landlord, at its sole expense, except as provided herein,shall be responsible for all structural maintenance and repair of the Premises, including the roof,exterior walls,and siding, parking lot,and septic systems, excepting repairs, upgrades, and maintenance of such structure or septic systems resulting from or in connection with Tenant's operations, actions or omissions which shall be the Tenant's responsibility.Tenant shall, at its sole expense repaint, and refurbish the Premises and any part or portion thereof from time to time to insure that the same are kept in tenantable and attractive condition throughout the term of this agreement. 10. Alterations.Tenant shall have the right, upon prior written consent of Landlord and at Tenant's sole expense,to make alterations, improvements, restoration, repairs, replacements, renovation or additions to the Premises which do not adversely affect the utility of or decrease the value of the Premises, in each instance in accordance with plans .and specifications therefor approved by Landlord:All such alterations, improvements or other modifications hereunder, if any, shall be constructed in a good and workmanlike manner, using first quality materials and in compliance with applicable laws and building codes, and completed with due diligence.Tenant shall have the right to maintain signs on the Premises.Tenant will secure all necessary permits, licenses, and other permissions for 48 Iyannough Road Front Unit Lease Agreement-September 2015 Page 2 all such signs, alterations, improvements, restoration, repairs, replacements, renovation or additions. 11. Surrender. Upon the expiration or sooner termination of the Term,Tenant shall peaceably and quietly leave,yield up and surrender the Premises to Landlord in tenantable condition, broom clean and in good order, condition and Landlord, substantially in the condition now existing, reasonable wear and tear only excepted,together with all alterations, improvements, restoration, repairs, replacements, renovation and additions thereto as permitted hereby, and orderly and free of occupants in any event. Upon such expiration or termination Landlord may, in addition to all other rights and remedies, at Tenant's expense, and without being guilty of any trespass,tort or breach of contract, remove from the Premises any or all fixtures, equipment, supplies and other property of Tenant not removed by Tenant as provided in the immediately preceding sentence, and either store same for the account of Tenant at Tenant's expense, without obligation or liability on account of any theft,loss,damage or monetary shortage,or deem the same to be abandoned and subject to use, sale or other disposition without liability to account to Tenant for the proceeds thereof. 12. Mechanic's Liens.Tenant shall not permit any mechanic's or other lien or charge to be filed against the Premises or the building of which the Premises are a part by reason of any act of Tenant or anyone holding the Premises through or underTenant. 13.Tenant's Liability Insurance. Tenant, at its sole cost and expense, shall maintain,or cause to be maintained, comprehensive general public liability insurance (including general liability endorsement and contractual liability), in an amount not less than Five Hundred Thousand Dollars ($500,000.00)with respect to any one person, and not less than Five Hundred Thousand Dollars($500,000.00)with respect to injuries suffered in any one accident and not less than One Hundred Thousand ($100,000.00) Dollars with respect to property damage and with such other conditions as Landlord may,from time to time, reasonably request. If desired by Tenant,Tenant, at its sole cost and expense,shall obtain insurance covering Tenant's property of any kind or nature in or on the Premises and Tenant shall be solely responsible for same.All such insurance policies (except personal property insurance)shall name Landlord as an additional insured with the usual loss payable clause in favor of the holder of any mortgage covering the Premises and Tenant shall provide a certificate of insurance reflecting the same to the Landlord. 14. Risk of Loss-Stock in Trade, Personal Property and Fixtures.The Tenant's stock in trade, personal property and fixtures in the Premises shall be at the solerisk of Tenant. 15. Fire Insurance.Tenant shall not permit any use of the Premises which will make voidable any insurance on the property of which the Premises are a part,or on the contents of said property or which shall be contrary to any law or regulation from time to time established by the New England Fire Insurance Rating Association, or any similar body succeeding to its powers. 16. Fire Casualty or Eminent Domain. If all or any part of the Premises is destroyed by fire or casualty or taken by eminent domain or other action of any public authority or destroyed or damaged or the use or enjoyment thereof diminished by action of public authority,or. 48 Iyannough Road Front Unit Lease Agreement—September 2015 Page 3 war,enemy action or civil defense,excluding any event resulting from the act or omission of Tenant or any person for whom Tenant is legally responsible,then in each such event a just and proportionate rent abatement shall be made for such period of time as Tenant is precluded from using the Premises or any substantial portion thereof for their intended use.Within THIRTY(30) DAYS after any substantial damage caused by fire or casualty loss Landlord shall give notice to Tenant of Landlord's intent to restore the Premises to their former condition.The Landlord shall have the option to terminate this Lease by giving notice to Tenant at any time following an occurrence resulting in such substantial damage. As used herein, "substantial damage"shall mean damage to the Premises to the extent that such damage is not reasonably expected by Landlord to be repaired or restored within three months. 17. Landlords Rights upon Default. In the event of any breach of this lease agreement by the Tenant,which shall not have been cured within TEN (10) DAYS following written notice to Tenant,then the Landlord, besides other rights and remedies it may have, shall have the immediate right of reentry and may remove all persons and property from the Leased Premises;such property may be removed and stored in a public warehouse or elsewhere to any notice provided for by law, it may either terminate this Lease or may,from time to time,without terminating this lease, re-let the Leased Premises or any part thereof,for such term or terms and at such rental or rentals and upon such other terms and conditions as the agreed to be paid during the month by the Tenant hereunder, the Tenant shall pay such deficiency to the Landlord monthly.The Tenant shall also pay to the Landlord, as soon as ascertained,the cost and expense incurred by the Landlord in such re-letting. 18. Indemnity.Tenant has sole control of the Premises and shall hold harmless and indemnify Landlord and its directors,officers, employees, managers and agents, as applicable,against all claims, suits, obligations, liabilities,and damages, including attorney's fees,arising out of (a)any failure by Tenant to perform,fulfill or observe any obligation or liability of Tenant set forth in this Lease,or(b)any negligent act or omission by Tenant, or(c) any condition, claim or damages of any kind,class or description, however and whenever occurring, in any , portion of, or in the vicinity of, the Premises, caused by or resulting from any action of or omission to act by Tenant or Tenant's guests, licenses, servants, agents, employees, independent contractors, or by persons coming on the demised Premises at the express or implied invitation of Tenant in or about the Premises, or(d)anyone claiming under Tenant, including but not limited to sub-Tenants, agents,employees, agents,contractors, invitees or visitors,no matter how arising. 19. Assignment & Subleasing.Tenant shall not sublet the whole or any part of the Premises. Tenant shall not assign the whole or any part of the Premises without Landlord's prior written consent. Notwithstanding such consent,Tenant shall remain liable to Landlord for the payment of all rent and for the full performance of the covenants and conditions of this Lease. 20. Landlord's Access to the Premises. Landlord may at reasonable times, when officers or employees of Tenant are present on the Premises,enter Tenant's portion of the Premises to inspect and to make repairs to the Premises or to show the Premises to others at any time upon 48 Iyannough Road Front Unit Lease Agreement-September 2015 Page 4 , reasonable notice or access without prior notice at any time in response to an emergency. In addition, Landlord shall have access and use to improve the Property, including the installation of cement poles to protect against vehicle/building collisions,and as needed in the sole determination of the Licensed Site Professional performing remediation of the Premises to undertake such remediation and all related activities. Reasonable efforts will be taken to avoid denial of Tenant's use of the Premises in the course of such remediation, if any.Should remediation prohibit Tenant's use of a portion of the Premises, Landlord shall discount such rent based upon the scope and degree of such prohibition and the utility of the portion of the Premises involved. 21. Compliance with the Laws.Tenant acknowledges that no trade or occupation shall be conducted in the Premises or use made thereof which Will be unlawful, improper, noisy or offensive, or contrary to any law or any municipal bylaw or ordinance in force in the city or town in which the premises aresituated.. 22. Offensive Activity&Nuisance.Tenant shall not allow any noxious or offensive activity shall be carried on upon the grounds, parking area,driveway,sidewalks or within the Premises whether by Tenant,employees,agents,customers, invitees,servants,suppliers or visitors that Will interfere with the rights,comforts or conveniences of abutting or neighboring residents. Tenant shall be responsible and shall pay all damages and charges to the state or city government or any others for any nuisance made or suffered during said term on the Premises or way bordering thereon resulting from the activities of Tenant. 23. Notice.Any notice from Landlord relating to the Premises or the occupancy thereof, shall be deemed duly served, if left at the Premises addressed to Tenant, or if mailed to the last known address of Tenant, by certified mail, return receipt requested, postage prepaid, addressed to Tenant. Any notice from Tenant to Landlord relating to the Premises or to the occupancy thereof, shall be deemed served, if mailed to Landlord by certified mail, return receipt requested, postage prepaid, and addressed to Landlord at the address identified above or to such other address as Landlord may from time to time advise in writing. 24. Termination. Landlord may terminate Tenant's occupancy of the Premises upon an event of Default as herein defined, notwithstanding that Tenant's financial obligation for rent hereunder shall continue for the Term. 25. Renewal. If this Lease is in full force and effect at the end of the one (1)year term and Tenant is not in breach of anyterms,covenants or conditions of this Lease,Tenant shall have the option to renew this Lease for an additional one (1)year term at such monthly rent as is duly negotiated between the parties, but in no event less than the existing rent nor more than ten percent(10%)greater than existing rent.To exercise the option to renew,Tenant must provide Landlord with written notice of Tenant's election to renew on or before four (4)months from the completion of the Term of this Lease. 26. Surrender.Tenant shall, at the expiration of this Lease, remove all Tenant's goods and effects from the Premises, (including,without hereby limiting the generality of the foregoing, all signs and lettering affixed or painted by Tenant, either inside or outside the Premises).Tenant shall deliver to Landlord the Premises and all keys, locks thereto, and 48 Iyannough+Road Front Unit Lease Agreement-September 2015 Page 5 other fixtures connected therewith and all alterations and additions made to the 'commencement of the term,or as they were put in duringthe term hereof, reasonable wear and tear and damage by fire or other casualty only excepted. 27. Holding Over.Any holding over by Tenant after the expiration of the term of this Lease shall be treated as a tenancy at sufferance at a rate equal to one and one-half (1.5)times the annual Rent and shall otherwise be on the terms and conditions set forth in this Lease as far as applicable. In addition,Tenant shall pay Landlord for all damages sustained by Landlord as a result of Tenant's holding over, including,without limitation, all court costs and attorneys'fees. Notwithstanding the foregoing, by accepting any holdover rent, Landlord does not waive any of its rights or remedies under this Lease to recover the Premises and/or to remove Tenant from the premises, or to seek any other remedy or relief to which Landlord may be entitled under law or under this Agreement. 28. Tenant's Representations,Warranties and Covenants.Tenant has had ample and reasonable opportunity to exercise any and all due diligence in investigating the Premises and all related matters and waives any and all claims against Landlord and/or its agents related to its review or failure to review any and all documents, reports, correspondence, or to conduct a physical inspection of the Premises and for all purposes of this Agreement the condition of the Premises shall conclusively be deemed acceptable to Tenant.Tenant WIII conduct its operations in compliance with all applicable laws and so as to prevent the release or threat of release of any Hazardous Materials, as defined by applicable state and federal authority but in any event including oil,on or about the Premises 29. Net Lease.This Lease is an absolute net lease, and the Rent, and all other sums payable hereunder to Landlord, shall be paid when due and without setoff, counterclaim,defense, reduction or deduction except as expressly provided herein. In the event of anyfailure on the part of the Tenant so to pay or discharge any of the same, the Landlord shall have all rights and remedies as in the case of non-payment of the Rent.The obligations of the Tenant hereunder shall be separate and independent covenants and assignments.The Tenant waives all rights to quit,terminate or surrender this lease or the Premises or any part thereof, except as expressly provided herein. 30. Governing Law.This Agreement WIII be governed by the Laws of the Commonwealth of Massachusetts. The parties agree that any action brought by either party against the other party in connection with any rights or obligations arising out of this Agreement shall be instituted properly in a federal or state court of competent jurisdiction, with venue only in Barnstable County or in the federal district for Massachusetts. Severability.
