A public hearing before the Planning Board was duly advertised and notice sent to all abutters and interested parties in accordance with MGL Chapter 40A. The hearing was opened on February 11,2019 after being continued from the January 14,2019 Planning Board meeting.The Board found to grant the special permit subject to conditions at the February 11 hearing. Board Members deciding this application were Mary Barry, Patrick Foran,Walter Watson,Fred LaSelva,and Jeffrey Swartz. 9 Attorney Paul Tardif represented the Applicant before the Board. The subject property is addressed 316 lyannough Road, Hyannis, MA,shown on Assessor's Map 328 as Parcel 232 and includes an approximately 8,154 sq,ft.portion of 290 lyannough Road shown on Assessor's Map 328 as Parcel 107 leased from Barnstable Municipal Airport. It is in the HG—Hyannis Gateway District,which permits retail uses as-of-right that do not increase the number of vehicle trips per day and do not increase peak hour vehicle trips per day. 2. MAJ Commercial Realty LLC is seeking a special permit to allow for the demolition of one existing building at 316 lyannough Road,the remodeling of a 12,381 sq.ft. building for retail use at 316 lyannough Road,and site improvements at 316 lyannough Road and a portion 290 lyannough Road [ leased from the Barnstable Municipal Airport. Relief Requested: a. 240-24.1.8.C(1)and 240-24.1.11.A(5)(b)- Front yard landscape setback requirements reduced to approximately four feet from a 60 foot requirement in the HG District.Currently,there is no landscape setback between the street line and front parking area on the majority of the property's frontage.This proposal substantially reduces the degree of nonconformity. b. 240-24.1.8.C(2)(d)—Relief from the standard stating"Parking at the front of the lot is discouraged"due to existing site constraints.The reconfigured site improves circulation so vehicles no long back into the Route 28 layout.Parking is being expanded from approximately six spaces to 26 spaces. c. 240-24.1.11.A(4)(a)[1]and 240-56 Parking Requirement calling for 47 parking spaces,reduced to 26 spaces. d. 240-24.1.11.A(4)(d)[1]-[4] Relief from off-street parking requirements related to parking lot landscaping,including: [1] Requirement of six three-inch caliper trees(four trees provided) [2) Requirement of six foot landscape buffer between property lines and parking spaces (approx. 2.5 ft.grass buffer provided) i [3] Requirement of six foot landscape buffer between building and parking spaces(approx.4 ft.grass buffer provided) (4] Requirement that 10%of the interior parking lot be landscaped (no interior landscaping provided) 3. In consideration of these premises and the mutual covenants herein contained,the parties hereto, for themselves,their successors and assigns, hereby covenant and agree as follows: I. Premises. Landlord hereby leases to Tenant, subject-to the provisions of this Lease, the Premises located at 332 Iyanough Road,Hyannis, MA, Two story warehouse building consisting of 7,230 sq. ft. first floor, 4800 sq. ft. second floor and 4,800 sq. ft. basement. Gross space— 16,830 sq. ft. II. errs. TO HAVE AND TO HOLD for a term (the "Term") One year, commencing on the final date of execution by either party hereof(the "Commencement Date"). III. Base Rent. (a) Tenant agrees not to make any alterations, structural or nonstructural improvements and/or additions to the Premises without first obtaining, on each occasion,the written consent of Landlord after submitting to Landlord plans and specifications therefore and securing the Landlord's written approval, which shall not be unreasonably withheld or delayed, and upon condition that any such alterations shall be made in accordance with all applicable laws and in good and workmanlike manner, using materials of at least the same quality as the original construction. Except that the Tenant at its own expense may make cosmetic and or redecorating changes without permission from the owner. (b) Tenant shall not permit any mechanics liens or similar liens to remain upon the demised premises for labor and material furnished to tenant in connection with work of any character performed or claimed to have been performed at the direction of tenant and shall, after notice thereof, cause any such lien to be released of record forthwith without cost to the Landlord. In any event no consent of Landlord shall be valid or binding upon it until Tenant furnishes Landlord: (i) A,liability policy in amounts satisfactory to Landlord protecting Landlord from any liability for injury done to persons or property arising directly or indirectly from the making of such alterations or additions by Tenant, its agents, servants, employees and/or independent contractors. (e) Tenant agrees during the Term to permit Landlord, upon reasonable notice(except in the case of emergency)and subject to Tenant's reasonable security requirements, to enter upon the Premises, in order to inspect the same with respect to Tenant's compliance with the provisions of this Lease. Further, for a period of three months prior to the expiration or sooner termination of the Term hereof, Landlord may(provided that Tenant has not exercised its option to purchase hereunder),place upon the Premises "For Lease" or"For Sale" signs wb.ich Tenant agrees not to disturb. VI. Compliance with Laws. Tenant agrees, at its sole expense, to conform promptly with all laws,requirements, regulations, or lawful-direction of any legally constituted public official or authority relative to Tenant's occupancy and use of the Premises. Included hereunder is any duty imposed upon Landlord or Tenant arising out of Tenant's particular use of the Premises. Tenant agrees to procure any licenses and permits from time to time required because of Tenant's particular use of the Premises. Tenant shall have the right, at its sole expense, to contest in good faith any non-compliance with law asserted against Landlord,Tenant or the Premises, provided that the same does not impair or jeopardize the rights of Landlord. V II. Inmmice. Tenant, at its sole cost and expense, shall maintain in full force and effect throughout the term of this Lease the following insurance written by one or more responsible insurance companies licensed to do business in the Commonwealth of Massachusetts: (a) Comprehensive public liability insurance in the amount of one million of so-called"combined single limit basis"and an aggregate of not less than$1,000,000.00 which insurance shall also provide for twenty(20) days'notice of cancellation to Landlord and shall name Landlord and any mortgagee of the Premises as an additional insured thereon; (b) Workmen's compensation insurance covering all employees, and if Tenant shall contract with any independent contractor for the furnishing of labor, materials or services to Tenant in connection with improvements to the Premises Tenant shall require such independent contractor to maintain workmen's compensation insurance covering all its employees and all the employees of any such subcontractor; and (c) Fire insurance with standard extended coverage in an amount of not less than the frill replacement value of all building, including leasehold improvements. (d) Environmental Insurance—tenant shall maintain insurance to covering removal of hazardous wastes, toxic substances or related materials for occurrences during tenancy. All policies of property and liability insurance which either party obtains in connection with the Premises shall include a clause or endorsement denying the insurer any rights of subrogation against the other party. Each party waives any rights of recovery against the other for injury or loss due to hazards covered by insurance to the extent of the proceeds recovered there from. Certificates evidencing any or all of the foregoing liability insurance shall be provided to Landlord prior to the Commencement Date and thereafter on written request by Landlord. Tenant's aforesaid insurance may be provided in the form of a so-called blanket policy,provided that the required amount is available for claims relating to these Premises. VIII. Permitted Uses; Environmental_Regulations Tenant may use the Premises only for the present permitted as allowed by the Town of Barnstable. The Premises shall not be used for any illegal purposes; nor in any manner to create any nuisance or trespass nor in any manner to vitiate the insurance or increase the rate of casualty insurance on the Premises unless Tenant agrees to pay for the entire such increase. Notwithstanding,the wastes acid substances necessary to operating the businesses contained in Section XIII(t),Tenant shall not cause any hazardous wastes, toxic substances or related materials (collectively "Iazardous Materials")to be used, generated, stored or disposed of on, under or about, or transported to or fxom, the Property(collectively, "Hazardous Materials Activities") without first receiving Landlord's written consent,which may be withheld for any reason whatsoever.and which may be revoked, at any time, and then only in compliance (which shall be at Tenant's sole cost and expense) with all applicable Regulations and using all necessary and appropriate precautions. Landlord shall not be liable to Tenant for any Hazardous Materials Activities by Tenant, Tenant's employees, agents,contractors,licensccs or invitees. Tenant shall indemnify, defend with counsel acceptable to Landlord and hold Landlord harmless from any, claims, damages, costs and liabilities arising out of Tenant's Hazardous Materials Activities on, under or about the Property. Sec. 9061 et sec.; Hazardous Materials Transportation Act,49 U.S.C. Sec. 1802; and Resource Conservation and Recovery Act,42 U.S.C. The following shall constitute a "default" or an "Event of Default" hereunder: (a) Tenant fails to pay Rent when due and such failure continues for five (5)days after Landlord gives Tenant written notice thereof(except that such notice shall not-be required more than twice in any calendar year); (b) Tenant fails to comply with any of its covenants in this Lease regarding maintaining insurance, or assignment; (c) Tenant fails to comply with any of Tenant's other obligations in this Lease and such failure continues for a period of thirty (30)days after Landlord gives Tenant a notice specifying in reasonable detail such failure, and if such default is susceptible to cure, such reasonable additional time as may be necessary to cure the default so long as Tenant proceeds with diligence to cure the default as soon as reasonably possible and continues to take all steps necessary to complete the same; (d) An execution or attachment is issued against Tenant or any of its property as a result of which the Premises are taken or occupied by any person other than Tenant; (e) Right of survivorship of lease—N/A (f) Tenant or any Guarantor becomes insolvent or otherwise unable to pay its debts as they become due; (g) Tenant or any Guarantor makes an assignment for the benefit of creditors; (h) A receiver,trustee or other officer shall be appointed to take charge of all or any substantial part of the assets of Tenant or Guarantor and, if appointed as the result of proceedings brought against rather than by Tenant, such appointment is not dismissed within thirty(30)days; (i) A petition is filed by or against Tenant or Guarantor under any bankruptcy, insolvency or other law relating to the relief or adjustment of indebtedness of debtors and is not dismissed within sixty(60)days of filing, 8 _ 04/16/2009 02:30 7812842988 BOBS DISCOUNT PAGE 09 This Lease is made on the condition that, if a default or an Event of Default occurs, Landlord may immediately or at any time thereafter exercise one of the following remedies: (A) Landlord may bring suit for damages or specific performance for the collection of unpaid rent or the performance of any of Tenant's.obligations,without entering into possession or terminating this Lease; OR (B) Landlord may, at its option,give Tenant a notice terminating this Lease on a date not less than ten(10) business days after Landlord gives such notice, (and upon such date this Lease shall terminate and all rights of Tenant shall cease without further notice or lapse of time) or may, without notice(beyond what may be required by subparagraphs(a) through (i) hereof),reenter the Premises for the purpose of re-possessing the same and terminating this Lease. Upon termination of this Lease, Tenant shall surrender the Premises to Landlord in an"as is"condition. Tenant shall not assign this Lease but may sublet the whole or any part of the demised premises without Landlord's prior written consent, for those enterprises listed on Section XIII(t) Not withstanding such consent to subletting, tenant shall remain liable to Landlord for the payment of all rent and for the full performance of the covenants and conditions of this Lease. No assignment of this Lease shall be allowed, in any event, except that an assignment of Tenant's interest shall be permitted in connection with the sale of substantially all of Tenant's assets to an entity whose financial status is at least comparable to Tenant's such status as of the date hereof(or a merger meeting the same financial standard). XIII. Miscellaneous. (a) Waivers. No consent or waiver, express or implied, by Landlord to, or of any breach of, any agreement or duty of Tenant shall be construed as a consent to or waiver of any other breach of the same or any other agreement or duty. All notices required or otherwise given hereunder shall be deemed to be received on the date of delivery by hand, upon delivery when by mail, or one(1) day after the date of deposit with an overnight carrier. Delivery by mail shall be evidenced by the signed receipt for registered or certified mail, or by an indication by the U.S. Postal Service that delivery has been refused. (i) Applicable Law. This Lease shall be deemed to be a lease made under the laws of the ' Commonwealth of Massachusetts, and shall be construed in accordance with the laws of said Commonwealth. (g)- Entire Agreement. LESSOR agrees to pay Commercial Realty Advisors, Inc., upon the execution of this lease, a fee of$7,425 for professional services as agreed to. Said fee will be shared equally with Nancy Johnson Real Estate, Inc.
