Deeds to Eleanor&myself(or trusts)for the three parcels that we own. Media Engineering, The building sits on two parcels, one very small registered and one 3977 S.F. Inc. d/b/a unregistered. We later acquired a 1,459 S.F.. triangular parcel that the proposed Nantucket Sound garage will mainly sit on. PO Box 27 Accord, Ma. D& E: A copy of the lease from the Enoch T. Cobb trust to us for the 10,000 area 02018-0027 that is the parking area, and the registered notice of lease. r Office phone: F&G. Full sized (on 2 sheets) plot plan done on March 21, 1984 by Baxter&Nye (781)749-7300 that clearly show the four parcels(3 owned.and one leased), and a highlighted sheet showing the parcels more clearly. The easement from the Shell property to us for ingress and egress, and the Airport Rotary easement from us to the Shell property for a smaller ingress/egress triangle on our Hyannis, Ma., 02601 land. Store phone: P. An appendage to the original design plan that lists parking spaces and impervi- (508)771-4434 ousness. The impervious figure is dropping from the current 97.6%to 90.6%. The actual parking spaces required are 20. On the east side of the building we have 18 Store Fax: marked spaces plus 2 handicapped spaces with a full parking space between the (508)775-4600 handicapped spaces. On this side of he building alone we have the required number of spaces. On the Shell side of the building we have between the minimum 2 spaces in document L and the five spaces in document K. I believe that these documents answer the raised questions: First that there are 3 owned parcels plus the leased parcel. Secondly that we do have a valid lease on the leased parcel from the town (The Enoch T. Cobb Trust). Thirdly, there are the required 20 parking spaces on the plan on the east side of the building. Fourthly, that on the west side of the building there are four spaces on the submitted plan, but these four spaces are above and beyond the required spaces needed by the proposed garage. Lessor shall not have any right pursuant to this lease or otherwise to terminate this lease due to such default unless Lessor shall have first given written notice thereof to such mortgagee and unless such mortgagee shall have failed to cure or remove, or cause to be cured or removed such default within the time required by this paragraph (a) (b) Lessor will accept performance by such mortgagee [ 8 ) 1 of any covenant, agreement or obligation of Lessee contained in this lease with the same effect as though performed by Lessee. j] It shall be a sufficient giving of any notice, request or other comimunication in writing hereunder by a party to this agreement to the other party if the party desiring to give such notice, request or other communication in writing shall deposit a copy of the same in the post office for trans- mission by registered or certified mail in an envelope proper- ly addressed to the other party at the address hereinabove set forth, or at such other address as the other party hereto shall have theretofore in writing requested the party desiring to give such notice to address the same The date of giving of any such notice or other . communi cat ion in writing shall be, and is held and construed. to be the date on -which said copy was so deposited in the post office, properly addressed as aforesaid. The post office receipt showing the deposit of such envelope and the date of such deposit shall be 'prima facie evidence of these facts. k] Lessor, in executing this lease, is acting as Trustee under the will of Enoch T. Cobb, and not in his individual capacity. 1] If the whole or any part of the demised prem- ises shall be taken or condemned by any competent authority 9 r for any public use or purpose during the term of this lease, Lessee reserves unto itself the right to prosecute its claim for an award based upon its leasehold interest and ownership of buildings, alterations and improvements for such taking, without impairing any rights of Lessor for .the taking of or injury to the reversion. In the event that a part of the demised premises shall be taken or condemned, then and in any such event, the Lessee may at any time either prior to or within a period of 60 days after the date when possession of the premises shall be required by the condemning authority, elect to terminate this lease. m] In the event .that at any time during the term hereof, Lessor offers the demised premises for sale to any party other- than a municipal corporation as an individual par- cel, Lessor agrees that Lessee shall have a reasonable oppor- tunity (b0 days after certified mail notice of such offer) to acquire the demised premises from Lessor upon the same terms and conditions as Lessor shall have offered to sell the de- mised premises or any part thereof to such other party.. n] Lessee shall pay promptly and before they be- come delinquent, all taxes imposed at any time during the term of this lease upon or against improvements now located on the [ 10 ] demised premises including all buildings , furniture, fixtures , equipment and improvements now or hereafter thereon which may be lawfully assessed either in the name of the Lessor, fee owner or Lessee, except franchise, income, estate, inheritance or other similar taxes or impositions which may be levied or assessed against Lessor, fee owner, or his successors in title. The taxes and other impositions h ereinabove mentioned shall be paid not later than 30 days before the date on which such taxes become delinquent and receipted tax bill :shall be exhibited to the Lessor upon request at least 10 days prior to such, date of delinquency. In the event Lessee fails to pay said taxes and other impositions hereinabove referred to within the period of time* provided, the Lessor may pay same. In ,the event of Lessor 's payment thereof after such notice, the Lessee shall remain liable to and obligated to repay Lessor within 60 days the amount so advanced by it together with interest thereon at the rate often percent per annum, and failure to do so shall constitute a default hereunder. Lessee shall have the right at. its own cost and expense and for its . sole benefit to initiate and prosecute any proceed- ings permitted by law .for the purpose of obtaining an abatement or, of otherwise contesting the validity or amount of taxes as- sessed to or levied against Lessee's property_ Lessee covenants and agrees to pay to the Town of Barnstable all taxes levied. o] It is agreed between the parties hereto that the pre- mises herein demised are to be used by the Lessee in connection with an adjoining parcel of land (owned by Lessee) on which is conducted a business for the retail service and sale of high- fidelity .a n d stereophonic systems and components , radios , .televi- sion sets , and related communication equipment , musical instruments , accessories , sheet music, sound amplification equipment and related accessories and the Lessee shall have the right to use the demised hereunder for all purposes , primary and ancillary thereto and in- cluding parking , to which use said adjoining premises are put . p] No consent or waiver by either party , expressed or implied, in any -instance shall operate as a consent to or waiver of the same or any different matter on another occasion, and mere delay or failure to act in any case shall not constitute a waiver. q] Notice of Lease: This lease shall not be recorded, but if either Lessor or Lessee desires to execute a notice of lease for recording , the other will promptly join in executing the same.
