USE OF THE PREMISES The LESSEE shall use the leased premises exclusively for a hair salon and all activities customarily attendant thereto. LESSEE acknowledges that no trade or occupation shall be conducted in the leased.premises or use made thereof which shall be unlawful,improper, noisy, offensive or contrary to any law of the Commonwealth of Massachusetts or by-laws of the Town of Hyannis, or regulation(s)from time to time established by the New England Fire Insurance Rating Association or any similar body succeeding to it's power. LESSEE shall comply with all federal, state and municipal laws and regulations affecting the business activity contemplated herein, including but not limited to,applicable fire regulations. Additionally, the LESSEE shall procure, at her own expense, all. licenses and permits required by any applicable federal, state or municipal agencies for the conduct of said business. S. UTILITIES AND SERVICES The LESSEE shall put utilities in.LESSEE'S name and shall pay, as they become due,all bills for gas and electricity and other utilities (whether they are used for furnishing heat or other purposes)that are furnished to the leased premises and presently separately metered. LESSOR shall have no obligation to provide utilities or equipment other than the utilities and equipment within the leased premises as of the commencement of this Lease. In the event the LESSEE requires additional utilities or equipment,the installation and maintenance thereof shall be the LESSEE'S sole obligation, provided that such installation shall be subject to the written consent of the LESSOR. 6. FIRE INSURANCE The LESSEE shall not permit any use of the leased premises which will make voidable any insurance on the property of which the leased premises are a part, or on the contents of the said property which shall be contrary to any law or regulation from time to time established by the New England Fire Insurance Rating Association or any similar body succeeding to it's power. The LESSEE shall,on demand, reimburse the LESSOR, and all other tenants, all extra insurance premiums caused by the LESSEE'S use of the premises. 2 j LESSEE covenants and agrees that he will, at his sole cost and expense, procure and maintain in force throughout the term of this.Lease, for any extension thereof, for the mutual benefit of the LESSOR and the LESSEE,the following: A. General public liability insurance, so-called, against claims for bodily injury or death occurring upon, in, or about the demised premises and on, in, or about the adjoining sidewalks adjacent thereto, such insurance to afford protection to the limits of not less than One Million($ 1,000,.000.00) Dollars in respect to bodily injury or death to any one person and to the limits of not less than Three..Million ($3,000,000.00)Dollars with.respect to injury or death to more than one person in any one (1)accident or occurrence B. Property damage insurance against claims for damage or injury to property or members of public occurring upon, in, or about the demised premises and on, in,or about the adjoining sidewalks adjacent thereto, such insurance to afford protection to the limits of not less than One Hundred Thousand($1.00,000.00)Dollars in respect to the damage to the property of any one owner. All of the aforesaid shall be kept in.effect under valid and enforceable policies issued by an insurance company or companies licensed to do business in the Commonwealth of Massachusetts, and such policy or policies shall name the LESSOR and the LESSEE as the assureds as their respective interests may appear. All such policies of insurance shall provide that they are not to be canceled without a minimum of twenty(20)days prior written notice to each assured named therein,together with such increases in the coverage as LESSOR may reasonably request from time to time. LESSEE shall, upon the commencement of the term of this Lease, deposit with LESSOR duplicate originals of the policies provided for herein.. in the event that LESSEE shall fail to take out, pay for,maintain or deliver any of the insurance policies provided for in this paragraph,then the LESSOR may, in, his solely discretion, and without waiving or releasing LESSEE from his agreements to be performed under this paragraph,take out, pay for, and maintain any and all of the said insurance policies and shall have the right to designate any and all sums paid for such insurance as additional rent under this agreement payable to the LESSOR on demand. 7. REPAIRS AND MAINTENANCE LESSEE shall maintain the leased premises in good repair, and in at least as good condition as that in which they were delivered, or as it may be put in during the tenn of this Lease, allowing for ordinary wear and tear, damage by fire and other casualty only excepted, and whenever necessary to replace plate glass and other glass therein, acknowledging that the Leased premises are now in good order and the glass whole. LESSEE shall not permit the leased premises to be overloaded, damaged, stripped or defaced nor suffer any waste. LESSEE shall obtain written consent of the LESSOR before erecting any additional signs on the premises. LESSOR at his own expense shall be responsible for the maintenance of the exterior of the building(including structural repairs, whether interior or exterior)and surrounding paved areas and driveways. LESSOR shall also be responsible for the maintenance of the existing plumbing and heating systems. The removal of snow and ice from the sidewalks and ways bordering upon the leased premises shall be the LESSOR'S sole responsibility. LESSOR shall not be liable to anyone for interruption in or cessation of any service rendered to the premises or building,or agreed to by the tens of the Lease, due to any accident,the making of repairs,alterations or improvements, labor difficulties, trouble in obtaining fuel,electricity, services or supplies from the sources from. which they are usually obtained for the building, or any cause beyond the LESSOR'S control. J 8. ALTERATIONS OR IMPROVEMENTS LESSEE shall not make any structural alterations, replacements, changes, additions,or improvements to the leased premises, without the written consent of the LESSOR thereto, which consent shall not be unreasonably withheld or delayed. At the time LESSOR grants consent to any said alteration, replacement, change, addition or improvement, it shall be agreed, in writing,between the parties as to whether or not any of said improvements or additions may be removed by the LESSEE or shall inure to the benefit to the LESSOR. All such allowed alterations shall be at the LESSEE'S expense, shall be in a quality at least equal to the present construction and shall be accomplished in a good and workmanship like manner,by licensed or registered personnel. The LESSEE shall not permit any mechanic's lien or similar liens to attach to the leased premises for labor or equipment and trade fixtures furnished to the LESSEE or in connection.with work of any character performed at the direction of the LESSEE and shall cause any such lien to be released of record forthwith without cost to the LESSOR, except for reservation of title liens in sellers of such equipment and trade fixtures given to secure purchase money. All improvements inuring to the benefit of the LESSOR shall inure without deduction to any monies otherwise due as rent hereunder. LESSEE shall have the right to install personal property, trade fixtures and equipment on or in said premises and shall have the right to remove such personal property and trade fixtures at the expiration or earlier tennination of this.Lease, provided, however, that such removal. shall not cause injury to the demised premises or the building of which the demised premises are a part. 9. LIENS ON EQUIPMENT OR TRADE FIXTURES LESSEE agrees that all equipment and trade fixtures installed in and on the premises during the term of this lease, or any extension hereof, shall not be made the subject of any lien or encumbrance, except for reservation of title liens in sellers of such equipment and trade fixtures, given to secure purchase money. It is understood and agreed between the parties that any alterations or additions to the premises, including,but not limited to wall-to- wall carpeting, shall become the property of the lessor, accept as provided in paragraph 8 above. 10. TRANSFERRING OR ENCUMBERING INTEREST AND SUBLETTING LESSEE shall not assign this Lease or any interest herein, or sublet the leased premises or any part thereof or any right or privilege appurtenant thereto, or allow any person other than LESSEE and his agents and employees to occupy or use the premises or any part thereof, without first obtaining LESSOR'S written consent, which consent will not be unreasonably withheld. LESSOR'S consent to one assignment, sublease,or occupancy or use shall not be a consent to any subsequent assignment or sublease, or to any occupancy or use by another person.. Notwithstanding such consent, the LESSEE shall remain liable to the LESSOR for the payment of all.rent and for the full perfonnance of the covenants and conditions of the Lease, Any unauthorized assigrunent or sublease shall be void and shall terminate this Lease at LESSOR'S option.. 11. LESSOR'S RIGHT OF ENTRY LESSOR or agents of LESSOR may, at reasonable times, enter to view the leased premises and remove place cards and signs not approved and affixed as herein provided,and may make repairs and alterations as the LESSOR should elect to do and may show the leased premises to others, at any time within three(3)months before the expiration. of the tenn and within the same three month period may affix to any suitable part of the leased premises any sign or notice for letting or selling the leased premises or the property of which the leased premises are a part and keep the same so affixed without any hindrance or molestation. 4 12. INDEMNIFICATION OF LESSOR LESSEE shall save the LESSOR harmless from all losses and damage occasioned by the use or escape of water or by the bursting of pipes,or by the nuisance made or suffered on the leased premises, as well as from any claim or damage resulting from not removing snow and ice from the roof of the building or from the sidewalks and ways bordering the premises so leased, or by any nuisance made or suffered on the leased premises, unless such a loss is caused by neglect of the LESSOR. In case the LESSOR shall, without fault on its part,be made a party to any litigation commenced by or against the LESSEE,the LESSEE shall protect and hold hannless the LESSOR and shall pay all costs, expenses and reasonable attorneys'fees thatt may be incurred or paid by the LESSOR in.connection.with such litigation.. The.LESSEE shall.also pay all costs, expenses and reasonable attorneys' fees that may be incurred or paid by the LESSOR in.enforcing the covenants and agreements of this Lease. 13. NOTICE Any notice from the LESSOR to the LESSEE relating to the leased premises or to the occupancy thereof shall be deemed duly served, if mailed to the LESSEE by registered or certified mail, return receipt requested, postage pre-paid addressed to the LESSEE. Any notice from the LESSEE to the LESSOR relating to the leased premises or to the occupancy thereof shall be deemed duly served if mailed to the LESSOR by registered or certified mail, return receipt requested, postage prepaid, addressed to the LESSOR at such an address that the LESSOR may from time to time advise in writing. All rent installments and any notices shall be sent to the LESSOR at P.0 Box 1.979,Mashpee,Ma 02649. 14.FIRE CASUALTY EMINENT DOMAIN If a substantial portion of the leased premises, or of the property of which they are a part, are substantially damaged by fire or other casualty, or be taken by Eminent Domain,the LESSOR may elect to terminate this Lease. When such fire, casualty, or taking renders the leased premises substantially unsuitable for their intended use, a just and proportionate abatement of rent shall be made,and the LESSEE may elect to terminate the Lease, If such damage does not interfere with the business use of the premises,the rent payable herein shall not be abated. However, if the premises are substantially damaged by fire or other casualty,the rent shall be abated until the premises are restored to a condition which will allow the business use anticipated herein to be resumed, at which time the abatement shall cease. The term "substantially damaged" shall have reference to damage of such character as cannot reasonably be expected to be repaired or the premises restored within thirty(30)days from the time that such.restoration or repair work would be commenced If damage by fire or casualty cannot be repaired within ninety(90)days,the Lease may be terminated at the LESSEE'S option.and any prepaid, unearned rent shall be refunded to the LESSEE. If the LESSEE elects to terminate the Lease upon the terns and conditions herein, the LESSEE shall first give at least seven (7)days written notice to the LESSOR, after which time the Lease shall be considered terminated. 15. EVENTS OF DEFAULT AND TERMINATION In the event that: (1)the LESSEE shall default in the payment of any installment of rent or other sum herein specified and such default shall continue for ten (10)days after written notice thereof, or (2)the LESSEE shall. default in the observance or performance of any other or L.ESSE.E'S covenants, agreements or obligations hereunder and such default shall.not be corrected within thirty(30) days after written. notice thereof, or 1(3)the LESSEE shall be declared bankrupt or insolvent according to law, or, if an assigmnent shall be made of the LESSEE'S property for the benefit of creditors, 5 then the LESSOR shall have the right, thereafter, while such default continues,to re-enter and take complete possession of the leased premises, to declare the term of the Lease ended, and remove the LESSEE'S effects, without prejudice to any remedies which might be otherwise used for arrears of rent or other default. The LESSEE shall.indemnify the LESSOR against loss of rent and other payments which the LESSOR may incur by reason of such termination during the residue of the term. If the LESSEE shall default, after notice is given reasonably thereof, in the observance or performance of any conditions or covenants on.the LESSEE'S part to be observed or performed under or by the virtue of any of the provisions of any article of the Lease,the LESSOR without being under any obligation to do so and without thereby waiving such default,may remedy such default for the account and at the expense of the LESSEE. If the LESSOR makes any expenditures or incurs any obligations for the payment of money in connection therewith, including but not limited to reasonable attorneys' fees as determined by a Court by reason of such default, in instituting, prosecuting or defending any action or proceedings, such sums paid or obligations incurred with interest at the rate of ten.(10%) percent per an. in costs shall be paid to the LESSOR by the LESSEE as additional rent. LESSEE shall at the expiration or other tennination of this lease remove all.LESSEE'S goods and effects from the leased premises. The LESSEE shall deliver to the .LESSOR the leased premises and all the locks, keys thereto and other fixtures connected therewith any alterations and additions made to or upon the leased premises that to the lessor as described in paragraph 8 in the same condition as they were put in during the term hereof, reasonable wear and tear and damage by fire or casualty excepted. In the event of the LESSEE'S failure to remove any of the LESSEE'S property from the premises,the LESSOR is hereby authorized without liability to the LESSEE for the lost or damage thereto,and at the sole risk of the LESSEE,to remove and store any of the property at the LESSEE'S expense,or to retain same under the LESSOR!S control or to sell.at public or private sale, without notice, any or all of the property not so removed and to apply the proceeds of such sale to the payment of any sum due hereunder, or to dispose of such property in any other reasonable manner. In any event, the LESSEE shall have a reasonable time to remove his goods and effects. 16. WAIVERS Any waiver by the LESSOR of any breach of the LESSEE'S covenants contained herein shall not be deemed a waiver of any future action of the LESSEE which may be deemed a breach of the LESSEE'S covenants. SIGNS The LESSEE may erect additional sign(s)on the leased premises with LESSOR'S consent, provided LESSEE shall.have obtained all the necessary and required local and state approvals including that of the condominium association. When lessee is leaving premises she shall have the right to take any and all.signs of hers with her. 6 18. STORAGE AND DISPOSAL OF RUBBISH. All rubbish shall be stored in a covered storage container(s) and is not to be left in any type of an open unlidded storage area. No dumping and/or storage of any type of rubbish shall be allowed on the leased premises other tha n lidded containers r to s designed for use in the storage of rubbish and/or trash. A11 rubbish and trash are to be removed from the premises in a timely manner and under no conditions or circumstances are to be windblown or overflowing to the point that such rubbish and/or trash is loose on any portion of the leased premises at any time. All rubbish collection shall be LESSEE'S responsibility. 1.9. OUTSIDE AREAS OF PREMISES All areas in the front, rear and sides of the leased premises are to be kept neat,clean and well maintained and free of any debris at all.times. All snow removal is to be the responsibility of the LESSOR. 20. RESTROOM FACILITIES All rest rooms are to be kept in a clean,neat and sanitary condition at all.tunes. LESSEE shall be responsible for keeping the restrooms and plumbing in well maintained and general health code conditions. 21. HAZARDOUS WASTE LESSEE agrees to promptly remove all hazardous materials from the leased premises in a legal manner as called for by State and federal. statutes. (Copier toner etc.,) 22. RECORDING LESSEE shall not record in any public records this Lease,the Option to Purchase,Purchase Agreement or any related agreement, without the express prior written consent of the LESSOR. Violation of this provision shall, at LESSOR'S option,be a basis for terminating this Lease and any agreement related hereto and for evicting LESSEE. 7 23.
