Many homeowners who use this.exemption are unaware that they are assuming the responsibilities of a supervisor(see Appendix Q, Rules&Regulations for Licensing Construction Supervisors,Section 2.15) This lack of awareness often results in serious problems,particularly when the homeowner hires unlicensed persons. In this case,our Board cannot proceed against the unlicensed person as it would with a licensed Supervisor. The homeowner acting as Supervisor is ultimately responsible. To ensure that the homeowner is fully aware of his/her responsibilities,many communities require,as part of the permit application, that the homeowner certify that he/she understands the responsibilities of a Supervisor. On the last page of this issue is a form currently used by several towns. Shortly after the sale it came to Ms. Malcolm-Sanford's attention that the property is not a legal multi- family property despite the representations made to her by you individually and in your capacity as broker. Facts On or about February 19, 2007 you listed the property located at 8 Pricilla Way, Hyannis, Massachusetts (hereinafter"the property") for sale with the Multiple Listing Service. The property was listed as a"Multi-Family"and stated that it had three separate tenants, each with their own entrance and bath, with gross rents of$2,023 per month. (See copy of the MLS listing sheet, Exhibit 1) I � Ronald D. Bourgeois,Jr. July 6, 2007 Page 2 In late March 2007 you met with Ms. Malcolm-Sanford and her broker, Sunok Warner,to view the premises. Ms. Malcom Sanford asked you if the three rentals were legal, and you replied they were. You also told her that the Board of Health had recently inspected it, and you later showed her a Certificate of Registration, which you stated was the inspection legalizing it as a"three rental property. (See copy of the Certificate of Registration, attached as Exhibit 2) Ms. Malcom-Sanford asked you if when inspected the property was in the same condition it was when she viewed it, and you replied it was. You answered to the.effect "they inspected in March, and everything is all set." Shortly thereafter, an offer was made, and after some negotiations, it was accepted. Eventually, a purchase and sale agreement was executed, and the closing occurred on or about May 3, 2007. At the closing,you continued to lead Ms. Malcolm-Sanford to believe the property was a legal three family by giving her copies of the leases. At some point you signed a Certification of Rents and Security Deposits. (See copy of Certification, attached as Exhibit 3) Shortly after the closing Ms. Malcom-Sanford went to the Board of Health as you had instructed her to do and had a new Certificate of Registration issued in her name. (See copy of the updated Certificate of Registration, attached as Exhibit 4) Thereafter, she received a letter from the building inspector indicating that the use as a multi-family was a non-permissive use. (See copy of letter, attached as Exhibit 5) As you are no doubt aware,the Attorney General Regulations provide certain protections to buyers of real estate. Initially,the regulations provide that at 940 CMR 3.05: (1)No claim or representation shall be made by any means concerning a product which directly, or by implication, or by failure to adequately disclose additional relevant information,has the capacity or tendency or effect of deceiving buyers or prospective buyers in any material respect. This prohibition includes, but is not limited to, representations or claims relating to the construction, durability, reliability, manner or time of performance, safety, strength, condition, or life expectancy of such product, or financing relating to such product, or the utility of such product or any part thereof, or the ease with which such product may be operated,repaired, or maintained or the benefit to be derived from the use thereof. Bourgeois, Jr. July 6, 2007 Page 3 Additionally, 940 CMR 3.16 provide in part that an act or practice violates G.L. c. 93A § 2 if: (1) It is oppressive or otherwise unconscionable in any respect; or (2)Any person or other legal entity subject to this act fails to disclose to a buyer or prospective buyer any fact,the disclosure of which may have influenced the buyer or prospective buyer not to enter into the transaction; or It was undoubtedly clear to you that Ms. Malcolm-Sanford was an inexperienced buyer seeking to purchase her first multi-family investment property. She asked you several times about the status of the property's use, and all of your actions lead her to believe that the property was a legal three family property. You listed it as a multi-family with MLS, showed her leases and explained to her the certification procedure she needed to follow with the town. All of these actions were intended to deceive her and.lead her to believe that the property was a legal multi-family property. I have no doubt your position will be that Ms. Malcolm-Sanford should have undertaken for herself to determine the legality of the property's use as a multi-family. Such an argument would be legally insufficient. Massachusetts case law is clear that facts that"render the property substantially less desirable or valuable to the objectively reasonable buyer"must be disclosed. Urman v. South Boston Savings Bank(1997) 424 Mass. 165, 170 at n. 8. Half-truths and incomplete information form a basis for recovery. Kannavos v. Annino (1969) 356 Mass. 42,48. Here, the information you provided to her consisted of outright misrepresentations and half-truths regarding the legality of the property as a multi-family. You actions deceived my client, were unconscionable and were clearly intended to induce Ms. Malcom-Sanford to enter into the transaction. There is little doubt that you will assert the`.`as is"clause in the purchase and sale agreement as a defense. However,Massachusetts' courts have soundly rejected the notion that such clauses are a defense to allegations of fraud or deceit. See, V.S.H. Realty, Inc. v. Texaco Inc (Vt Cir. 1985) 757 F.2d 411 and see also, Bates v. Southgate (1941) 308 Mass. 170 and Sheehy v. Lipton Industries (1987)24 Mass.App.Ct. 188. In addition, it will not suffice as a defense that upon recording the deed, there was a"merger by deed"prohibiting my client from raising her claims. The merger by deed doctrine applies only to defects in the conveyance itself, such as defects in title. It is not a defense to claims for fraud or misrepresentation of a material fact that the parties relied upon in entering into the transaction. See,Pederson v. Leahv(1986) 397 Mass. 689. Ronald D. Bourgeois, Jr. July 6, 2007 Page 4 A failure to disclose a material fact about which a business person is aware will provide a basis for G. L. 93A liability even if the buyer made no inquiry. See, Sheehy v. Linton Industries, supra, and see also Lawton v. Dracousis (1982) 14 Mass.App.Ct. 164. As an experienced and licensed real estate broker since July 1988, you had an obligation to inform Ms. Malcolm-Sanford truthfully about the limited legal uses of the property, specifically,that it was not a multi-family property but was only a single family property that could only be used as a single family rental. Instead of being forthcoming,your actions were dishonest with the intent to convince my client that the property was a legal multi-family. You had an obligation,particularly in your capacity as an experienced, licensed real estate broker,to inform Ms. Malcolm-Sanford truthfully about the limited legal uses of the property. As a result of your actions you have jeopardized not only my client's credit, but her primary residence as well. Relying on your representation that the property generated a positive cash flow of$2,023 per month, she took out not only a first mortgage but also a line of credit on her home in Cotuit. Absent the rental income, she has no way of paying the mortgages. In addition to her closing costs of$5,625.44 my client has incurred expenses of$7,556.24 in mortgage payments and costs for appraisals, insurance, legal and water, for a total out of pocket of$13081.68. In order to remedy this situation my client demands that you enter into a purchase and sale agreement with her to re-purchase the property for$243,181.68 comprising of the original sale price of$230,000 and the $13,181.68 in expenses she has incurred to date. In addition,the purchase and sale shall provide that you pay Seller's reasonable closing costs, including documentary stamps and recording fees. The purchase and sale agreement shall require a non-refundable down payment of$15,000 and a closing to occur within thirty(30) days. Pursuant to G. L. c. 93A,please be advised that you have thirty (30) days to respond with a reasonable offer of settlement.
