The name of this organization is the Nam Vets Association of the Cape and Islands, Inc. Hereafter it shall be referred to as the organization. 1.2 Location. The principal office of the organization will be located at the direction and discretion of the Board of Directors. ARTICLE II - PURPOSE 2.1 Purpose. The purpose of the organization is to serve Vietnam-era veterans and to serve the community. Specifically, the organization will perform the following functions: A. The organization will advocate for veterans' rights and benefits. B. The organization will provide mutual support and peer counseling to veterans and their families. If there is need, people will be referred to public and private agencies and individuals that aid people with special concerns, which include, but not exclusively, family and mental health difficulties, alcohol and drug abuse, housing problems, legal problems, emergency need for shelter and food, and employment questions. C. The organization will work to improve the image of Vietnam-era veterans. D. The organization will work for the establishment of programs and facilities on the Cape and Islands that will aid veterans. E. The organization will assist, when possible, community organizations and projects, but not exclusively, youth and senior citizen programs, police departments, the courts, and schools. ARTICLE III - FISCAL YEAR 3.1 Fiscal Year. The fiscal year of the organization shall end on December 31 of each year. ARTICLE IV - MEMBERS 4.1 Membership. Membership in the organization will be open to all persons who served in the United States Armed Forces between 1959 and 1975. 4.2 Powers and Rights. Organization members have the right to all services provided by the organization; they have the right to run for the Board of Directors; they have the right to nominate themselves or other members for directors positions; they have the right to attend all directors meetings and voice their concerns and ideas; and they have the right to vote for the di.rectors of the organization. 4.3 Associate Members. Those people who support the purpose of the organization and who wish to maintain an active association with the organization, but who do not meet the.requirements of membership, are entitled to be Associate Members of the organization,with all rights and privileges due members except the right to vote or serve on the Board of Directors. 4.4 Honorary Memberships. Honorary memberships may be bestowed. Such memberships must be voted on by the Board of Directors. 4.5 Dues. All members and associate members of the organization will pay an annual dues of $20.00. The organization's Board will determine if the dues requirement is to be waved for persons who cannot afford the payment. The membership will be good one year from receipt of the payment. 4.6 Removal. Members can make a motion at Board of Directors meetings that a member be removed from the organization's membership. The Board must consider the request within thirty days. If, upon consideration, 3/4 of the Board of Directors present vote to accept the motion, then the motion will be presented at a general meeting. If 3/4 of those present at the general meeting vote to accept the motion, then the person is removed from membership. At all times, the person whose membership is in question may represent themselves. If a person is removed from membership, his or her dues will not be refunded. A person removed from membership is still entitled to receive organization services. ARTICLE V - BOARD OF DIRECTORS 5.1 Eligibility. Nine persons will be elected to serve as the Board of Directors. Those eligible to serve are members of the organization. 5.2 Term. The Board of Directors will serve for one-year terms. There will be no limit on the number of terms a Director may serve. Board Members are expected to attend all board and general meetings. (12/19/90) 5.3 Elections. The organization's members will elect the Board of Directors. Members must have paid their dues at least ten days prior to the election. The Treasurer will post` a certified membership list on the day of the election in the organization's business office and shall be the final arbiter on a person's right to vote. Nominations for the positions will be accepted from a time four weeks prior to the annual meeting up until the actual printing of the ballots at the annual meeting itself. The presiding President will appoint 3 people (non-candidates) to count the ballots, which will be secret. Those nine persons with the highest vote totals will be the Board of Directors. In the event of a tie for the final Board position, a run-off election will be held immediately following the announcement of the tie. Only those present at the meeting will be eligible to vote; voting by proxy will not be allowed; voting by telephone will not be allowed. Candidates will be given no more than three minutes to speak on their candidacy at the election meeting. 5.4 Vacancies. In the event of a vacancy on the Board of Directors, a special election will be called by the remaining Board members, unless less than 4 months remain until the next scheduled election. The election procedure will be the same as for a regular election for Board positions. A person elected to fill a vacancy will serve only until that term would normally expire. He or she may then seek another term according to regular election procedures. 5.5 Removal. Members can make a motion at a Board of Directors meeting that a Board member be removed. The Board must consider the request within thirty days. If, upon consideration, a majority of the Board present votes to accept the motion, then it must be posted in the organization's business office and voted on at a general meeting. Votes by Board members cannot be secret, except for officer positions. All members of the Board shall have the right to vote. 5.10 Compensation. Board members shall receive no compensation for duties performed for the organization. though reimbursement for expenses incurred in the process of performing duties is allowed. 5.11 General Meetings. The Board may call general meetings for the membership of the organization as the need arises. The General Meetingwill be held the third Wednesday of every month. ARTICLE VI - OFFICERS 6.1 Officers. The officers of the organization will be selected by majority vote by the Board of Directors (secret ballot) and will come from the Board of Directors. The membership does not elect officers. The following officer positions and rights shall exist in the organization: A. President. The President will run Board of Directors meetings, serve as chief spokesperson for the group, appoint committees, prepare and present a report of the organizations's activities at the annual meeting, perform other duties as may be from time to time determined by the Board, and will have such powers as may be reasonably construed as belonging to the chief executive of any organization. All authority and responsibility for the organization's fundraising activities are vested in the president. The president shall monitor all fundraising activities approved by the Board. The president shall keep the Board fully informed of all developments concerning such activities, particularly any deviations from fundraising itial approved. If the fundraising is by any committee other than the FundraspngpCommittee'itselflythe president may appoint and delegate a Board member to assist him in monitoring that committee's activities. However, responsibility remains solely with the president. B. Vice President. The Vice President will serve as President of the organization if the President, for whatever reasons, is absent or temporarily relieved or permanently relieved of his or her duties, either by the action of the Board or the President. If the Vice President is filling a permanent vacancy in the Presidency, he or she will then become the permanent President for the duration of the existing term. If the Vice President also resigns from the Board, regular procedures will be used to fill the vacant Board position. A new Vice President will be chosen by the Board. C. Secretary. The Secretary shall keep minutes at all Board and general meetings or designate a person to have this responsibility, he or she shall be responsible for all records of the organization, excluding financial records, and he or she shall be responsible for posting notices of all organization meetings and elections. Minutes of all meetings shall be recorded and presented at the next Board of general membership meeting, respectively. D. Treasurer. The Treasurer shall have the care and custody of all monies belonging to the organization and shall be responsible for such monies. He or she must maintain accurate financial records. Members may have access to the organization's financial records at all reasonable times. The Treasurer will make a report on the organization's finances at the annual meeting and at all general meetings. E. Co-Treasurer. The Co-Treasurer shall assist the Treasurer as needed. F. Co-Secretary. The Co-secretary shall assist the secretary as needed. (12/19/90) ARTICLE VII - ANNUAL MEETING 7.1 Annual Meeting. The organization will hold its annual meeting on the third Wednesday of April. A detailed financial report will be given by the organization's Treasurer. A report on the state of the organization will be presented by the President. Election of Board of Directors members will occur at the annual meeting. ARTICLE VIII - SERVICES 8.1 Services. Services offered by the organization wilt be offered to all veterans in need and/or their families. Membership in the organization is not a requirement for receiving services. The members or staff in charge of providing a specific service will determine whether the ability exists to provide that service. 8.2 Confidentiality. Strict confidentiality will be maintained between the member of staff providing a service and the recipient of that service. The President of the organization may obtain information on services provided from time to time. General records that do not void confidentiality shall be maintained on services provided. 8.3 Emergency Assistance. The organization from time to time may give financial assistance to veterans or their families who are deemed to be in need and deserving of such assistance. Such matters will by at the discretion of the Board of Directors and staff. 8.4 Expenditures. No more that $300.00 may be authorized for expenditure by the Board of Directors. An expenditure over $300.00 must have approval by the majority of the general membership present at a regularly scheduled general membership meeting. ARTICLE IX - STAFF 9.1 Staff. The organization may use paid or volunteer staff to aid in the function of the organization. Any member may serve as staff; non-members may serve as staff; but Board of Directors members cannot serve as paid staff. The Board will appoint a personnel committee, consisting of at least one Board member and not less than three members, and it will screen potential staff and recommend if they should be hired. The personnel committee will also recommend if staff should be dismissed if problems arise. The Board will have the final determination on the hiring and dismissing of staff. 9.2 Responsibilities. Staff will be responsible to the Board of Directors. They wilt have the right to attend Board meetings and may be requested to report on their work. The personnel committee will determine the personnel guidelines for staff. ARTICLE X - COMMITTEES 10.1 Committees. The President shall appoint or abolish committees as the need arises. The following committees shall be standing committees: Personnel, By-laws, Fundraising, Special Events. All committees shall be chaired or co-chaired by a Board of Directors member. All committee members will be allowed to vote on a committee. ARTICLE XI - AMENDMENT OF BY-LAWS 11.1 Amendments. These by-laws may be amended, repealed, or altered by a 2/3 vote of the membership present at the May general membership meetings. Any proposed by-law change must be presented at a general membership meeting no later than the general membership meetings in March, respectively. Notice of the proposed change must be posted in the business office of the organization as soon thereafter as possible. ARTICLE XII - EXECUTION OF PAPERS 12.1 Execution of papers. Except as the Board may otherwise authorize, all deeds, releases, transfers, contracts, bonds, notes, checks, drafts, and obligations made, accepted, or endorsed by the organization shall signed by the President or Treasurer. ARTICLE XIII - MISCELLANEOUS 13.1 Mailing and/or Telephone Lists. The Board of Directors may, at its discretion, provide a list of the organization's membership to another organization. However, the provision of such a list with addresses and/or phone numbers is an extremely sensitive issue. Such a list may be provided only after a 2/3 majority of board members approves. Any member may have his or her name deleted from such a list upon request. 13.2 Political Endorsements. The organization maintains a strict policy prohibiting endorsement in the organization's name of any political candidate. Individual members are free to endorse any candidate they wish but the name of the organization should not be invoked in so doing.
