" LEASE AGREEMENT THIS INDENTURE, made this 14th day of November, 1983, bet- ween THE INHABITANTS OF THE. TOWN OF BARNSTABLE, of 367 Main Street, Barnstable (Hyannis) , Barnstable County, Massachusetts 02601 , hereinafter referred to as the Lessor, which expression shall include its successors and assigns where the contract so admits, and KENNETH C. SHAUGHNESSY, of Center Street, Barnstable (Hyannis) , Barnstable County, Massachusetts, hereinafter referred to as the Lessee, which expression shall include his successors and assigns where the contract so admits. WITNESSETH, that the Lessor does hereby demise and lease unto the Lessee the premises in the Town of Barnstable (Hyannis) , Barnstable County, Massachusetts, bounded and described .as fol- lows: Land with buildings thereon described as Parcels 63 and 67 on Page 652 , of the 1983 Barnstable Map Volume as shown on Exhibit "A" attached hereto. { TO HAVE AND TO HOLD, the premises hereby demised from January 1, 1984 to December 31, 2013, unless terminated sooner as hereinafter provided, at the rents set forth in Section 1 hereof. This Lease is made and accepted upon the following terms: 1. RENT: The Lessee covenants and agrees to pay to the Lessor, wit- hout demand, at its office at 367 Main Street, Barnstable (Hyan- nis) , Barnstable County, Massachusetts 02601 , or at such other place or places as the Lessor shall from time to time designate in writing the rental for said premises in said amounts and at the times as follows: (a) Between January 1 , 1984 and December 31, 1986 , the rent I Page 2 shall be ONE THOUSAND ($1,000 .00) DOLLARS per month, due and pay- able on 'the first day of each month commencing January 1 , 1984; provided, however, until December 31 , 1984 , the Town Harbormaster may continue to occupy the buildings on- said Lot 67 -at no rent. If the Lessor desires its Harbormaster to continue to occupy said premises on and after January 1 , 1985, the Harbormaster may do so for THREE HUNDRED ($300.00) DOLLARS per month. To simplify mat- ters, the Lessee- will reduce its monthly payment by THREE HUNDRED ( $300.00) DOLLARS for each month the Harbormaster occupys the said premises. (b) Between January 1 , 1987 and December 31, 2012, the rent during each year of the term shall be determined either by the annual rate which reflects -increases in the United States Bureau of Labor �Statistics, Boston Consumer. Price Index for all Urban Consumers ("The Index") . Such yearly rent shall be determined by multiplying FIFTEEN THOUSAND ($15,000.00) DOLLARS by a fraction, the numerator of which shall be the index as of the most recent date prior to January 1 of the year then commencing ( "The Current Index") . Such rent shall be paid in equal monthly installments, in advance, on the 1st day of each month during said year. In no event shall the rent be less than FIFTEEN THOUSAND ($15,000.00) DOLLARS per Annum. (c) Notwithstanding the foregoing, the minimum annual rent due to Lessor from Lessee shall not be less than twenty (20%) percent .of the gross rent charged by Lessee to its tenants within the demised premises. 2. TAXES: Commencing January 1 , 1984, the Lessee, in lieu of taxes I 1 Page 3 levied upon the .demised land and buildings, shall pay the sum of TWO HUNDRED FIFTY ($250.00) DOLLARS per month. Said payments shall be paid in advance of the first day of each month during the term of this Lease. This payment shall be increased by the same proportion as the rent under paragraph l (b) . The Lessee shall furnish, at his sole expense, all heat, air conditioning, light, rubbish removal, water, sewerage, telephone and other services . used in or about the demised premises. 4. ALTERATIONS: The Lessee may make structural alterations of, and additions to, the premises without the Lessor' s prior written consent. It may place, hang, paint, write, install, erect or permit to be hung, painted, written, installed or erected any sign, consistent { with the Town Sign Bylaw, to the outside of the builing or anyw- here upon said premises. It is understood that the Lessee will undertake to alter the premises as set forth on plans marked Exhibit "B" which are at- tached hereto and made a part hereof. ASSI ,NM NT ANp sUgT FTTING: The Lessee may assign this Lease and/or sublet the demised premises or any part thereof, without the prior consent of the Lessor, provided that Lessee gives written notice to Lessor in advance of any such -arrangement. 6 . - ,SERVICE MAINS. ETC : The Lessor agrees to provide and maintain, or cause to. be Page 4 provided and maintained, the main lines and conduits necessary for the furnishing of water, oil heat, sewer and electrical ser- vice to the premises, as they presently exist. 7 . USE OF PREMISES: The Lessee covenants that the premises shall be used and oc- cupied for business, educational and health services and the Les- see shall at all times keep the demised premises, and any space around the demised premises used by the Lessee, clean and free of refuse, debris and other offensive matter. 8 . MAINTENANCE OF BUILDING,: (a) Other than as provided below in this section, the Lessor agrees to keep in good order, condition and repair, the foun- dations, exterior walls and roof of the demised premises, ex- cepting any damage thereof caused by any act of negligence of the Lessee, his assignees or sublessees, their employees, agents, visitors, invitees, licensees or contractors. In the event of. damage to the foundations, exterior walls and/or roof of the de- mised premises caused by any act of negligence of the Lessee, his assignees or sublessees, their employees, agents, visitors, in- vitees, licensees or contractors, such damage shall be repaired at the sole cost and expense of the Lessee, his assignees or sub- lessees. The Lessor shall not be responsible for any other improvements or repairs of any kind upon the demised premises, except for the provision and maintenance of services as set forth in paragraph 6 of this Lease. (b) The Lessee agrees to keep and maintain, in as good -or- Page 5 der, condition and repairs as the same now are, the demised premises and every part thereof, except as hereinbefore provided. 9. NOTE: All notices sent or required to be sent her shall be sent by certified mail, return receipt requested, postage prepaid; if sent to the Lessee, the same shall be addressed to the Lessee at the demised premises, or to such other address as the Lessee may hereafter designate in writing; if sent to the Lessor, the same shall be addressed to. the Lessor at 367 Main Street, Hyannis, Ma. 02601, or to such other address as the Les- sor may hereinafter designate in writing. 10. INSURANCE: The Lessee shall maintain throughout the term hereof, a bodily injury and property damage policy or policies of general liability insurance in insurance companies authorized to do business in the Commonwealth of Massachusetts, indemnifying _ the Lessor and Lessee against claims for damage arising out of they use of the demised premises, the entrances and appurtenances thereto belonging and the streets and public ways adjacent thereto, in combined limits of FIVE HUNDRED THOUSAND ($500,000 .00) DOLLARS. 11 . ATTORNEY'S FEES: In the event of default by the Lessee, the Lessee will pay to the Lessor, reasonable attorney' s fees paid or incurred by the Lessor for the enforcing of the Lessee's covenants and ag- reements, or any of them, herein contained, including reasonable Page 6 attorney' s fees incurred in proceedings to collect rent or to evict the Lessee, provided the Lessor is not then in default and provided further that any proceeding commenced by the Lessor is adjudicated in its favor. In the event of default by the Lessor, the Lessor will pay to the Lessee, reasonable attorney' s fees paid or incurred by the Lessee for enforcing the Lessor ' s covenants and agreements, or any Of them herein contained incurred in proceedings to enforce said covenants and agreements, provided the Lessee is not then in default and provided further that any proceeding commenced by the Lessee is adjudicated in his favor. 12. INDEMNIFICATION: The Lessee will indemnify and hold harmless the Lessor against any and all liability and expenses arising from injury or death 'of persons, or damage to property on or from the demised premises during the term of this Lease, provided such loss or damage, injury or death does not arise from any failure of the Lessor to perform its covenants as set forth in subparagraph (a) of Section 8 hereof, or is not caused by any defect in the initial construction of 'the building of which the demised premises are a part. 13 . LOSS OF OR DAMAGE TO BUILDING: If the demised premises, or any part thereof, or the buil- ding of which the demised premises are a part, shall be so sub stantially destroyed by fire, the elements, or other cause during the term of this Lease, that the Lessor shall, in the exercise of Page 7 r'- sound business judgment, decide not to restore it or to build a new building, then in either such event, the Lessor, at its op- tion, may terminate this Lease by giving to Lessee notice in writing of such termination and thereupon the terms of this Lease shall expire by lapse of time upon the fifteenth day after such notice is given and the Lessee shall vacate the demised premises and surrender the same to the Lessor and the Lessor may re-enter and repossess itself of the same, discharged of this Lease, and remove all persons therefrom. If the premises, or any part thereof, or the building of which the demised premises are a part, are damaged by fire, the elements or other cause during the term of this Lease, without the fault or neglect of the Lessee, his assignees or sublessees, their servants, employees, agents, or licensees, and this Lease is not terminated pursuant to the foregoing provisions of this paragraph, the damages shall be re- paired by and at the expense of the Lessor, and the rent,, until such repairs are made, shall be apportioned according to the part of the demised premises that is useable by the Lessee. The Lessor shall not be liable for any damage which may be done to any property in or on the demised premises belonging to the Lessee, or to any other person or corporation caused by fire, the elements, or by leaking, defective or bursting water or gas pipes, mains or fixtures, whether in the leased premises or other premises of the Lessor, unless said damage is caused by the Lessor' s negligence - or failure to maintain and repair the premises as set forth in this Lease. 14. QUIET RjjDy =: The Lessor covenants with the Lessee that the Lessee on Page 8 paying the rent reserved, and performing the agreements aforesaid on his part, shall and may peaceably and quietly have, hold and enjoy said demised premises for the term aforesaid subject, however, to the terms and conditions aforesaid. 15. i.ESSOR' S AGGE S: The Lessor shall have the right to enter upon the demised premises at all reasonable hours for the purpose of inspecting the same, or of making repairs, additions or alterations to the demised premises. If the Lessor deems necessary any repairs re- quired under this Lease to be made by the Lessee, it may demand that the Lessee make the same forthwith, and if the Lessee re- fuses or neglects to commence such repairs and complete same with reasonable dispatch, the Lessor may make or cause such repairs to { be made and shall not be responsible to the Lessee for any loss or damage that may accrue to the Lessee' s business by reason thereof, and if the Lessor makes or causes such repairs to be made, the Lessee agrees that he will forthwith on demand pay the Lessor, as additional rent, the reasonable cost thereof. 16 . DEFAUL•TS BY LESSER: (a) If the Lessee defaults in fulfilling any of the covenants of this Lease, other than the covenant for the payments of rent, and such defaults shall not be made good within twenty (20) days after written notice and demand, or if the default is of such a character as to require more than twenty (20) days to cure and the Lessee fails to proceed diligently to cure such de- fault, the Lessor may give the Lessee twenty (20) days- notice of Page 9 intention to end the term of this Lease and thereupon, at the ex- piration of said twenty (20) days, the term under this Lease, shall expire as fully and completely as if that day were the day herein definitely fixed for the expiration of said term, and the Lessee shall then quit and surrender the demised premises to the Lessor, but the Lessee shall remain liable as hereinafter pro- vided. If the Lessee defaults in the payment of rent reserved herein, or any part thereof, and such default is not corrected within seven (7) days after notice thereto the Lessor may, wit- bout further notice, terminate this Lease and re-enter the demis- ed premises by judicial proceedings or otherwise and remove his effects and hold the premises as if this Lease had not been made. ( (c) The provisions of paragraphs (a) and (b) of this section are cumulative to and not in exclusion of, but are in addition to any other right or remedy which may be available to the Lessor by law. (d) In the event of any repossession of the demised premises by the Lessor because of any default of the Lessee either under the provisions of paragraphs (a) and (b) of this section, or by reason of any other right or remedy available to the Lessor, the Lessor may, if it so elects, re-let the demised premises, or any part thereof, and for the remainder of the term, or for a longer • or shorter period in the discretion of the Lessor, and the Lessee agrees to pay to the Lessor the rent herein reserved on the- days when the same becomes due, less the net proceeds of re-letting. ( 17 . SIGNS BY LESSOR; The Lessor may at reasonable times and so as not to inter- fere with the quiet enjoyment of the demised premises by the Les- see, enter to show the premises and building to others, and at any time within three months next before the expiration of the term of this Lease, affix to any suitable part of said premises a reasonaable notice for letting or selling the said premises or building. 19. VALIDITY OF LEASE; If any provision of . this Lease shall be deemed to be void by any Court of competent jurisdiction, then such determination ( Page 11 shall not affect any other provision of this Lease, all of which other provisions shall remain in full force and effect; and it is the intention of the parties hereto that if any provision of this Lease is capable of two constructions, one of which would render the provision void and the other one of which would render the provision valid, then the provision shall have the meaning which renders it valid. 20 . LEASE AS COLLATERAL FOR LOAN WITH PRIOR WRITT PROVAL: It is further agreed that this Lease may be assigned to a bank or banks as collateral for funds advanced by the bank or banks to the Lessee for alterations, etc. to the buildings on the demised premises. The Lessor agrees that it will, at the request of the Lessee, execute any instrument deemed necessary or desir- able to give effect to any such assignment and hereby irrevocably appoints the Lessee, his attorney or agent in fact to execute and deliver any such instrument or instruments.
