Box 804 Barnstable,MA 02630 RE: Lebaron Construction 8 Fox Run Road,Centerville,MA Dear Attorney Hersey: Please be advised that I have been retained by Mr. and Mrs. Robert Gardiner to represent them with regard to the above-referenced matter. Please be further advised that I am in possession of your correspondence dated August 21, 2002, September 25, 2002 and October 16, 2002 to my clients regarding the above-referenced matter on behalf of your client,Lebaron Construction. Focusing on your most recent correspondence of October 16, 2002 and having had the opportunity to review with my clients the provisions of both the contract and the plans,in general, I would agree with a resolution that includes some security for my clients to know that the remaining work will be done in a good and workmanlike manner and completed per the contract and plans and also providing with your client with security on the remaining payments required. Thus,I would suggest the following. I have requested that my clients provide me with a list of items that remain to be completed under the terms of the contract and plans. I would ask that you please have your client review the same and assuming that he is agreeable to performing these items and completing the contract on or before January 10, 2003, putting in place certain deadlines for different aspects of list to be completed,then we can execute an Agreement between the parties which would be a novation or supplement to the original contract and provide for a payment schedule consistent with that Agreement. I note that it has been your client's contention that certain aspects with respect to the cabinetry have not been paid for.However,I note from the contract that payment was not due until such time as the kitchen cabinets,vanities,and the family room cabinetry was completed. My clients advise me that there are aspects of the kitchen cabinets that have not been completed and, in fact, the vanities are not installed and the family room cabinets have not been installed either. Therefore, the payments called for under the contract for the cabinetry are not due and payable as of yet and N Michael P. Hersey,Esq. November 14,2002 Page -2- until their completion. Thus,I would respectfully suggest that your suggestion with respect to the holding of the payments by a fiduciary is not necessary,since my clients have not defaulted on any. payments due under the contract. I would be amenable to putting in place a schedule of progress payments under this Agreement which calls for the payments to be made upon the completion of certain aspects of the job being completed and even put in a provision that in the event that my clients do not make the payments as required, then Lebaron Construction would be under no obligation under that Agreement to proceed any further with the work outlined in the Agreement. I think that this will give your client the security that he is looking for and also recognizes that my clients have not defaulted on any payments in the past that Lebaron Construction has requested. After your review of the above,I would ask that you please contact me directly. If our clients can agree in principle with respect to this,then we would complete the necessary documentation. This letter is sent for the purposes of attempted negotiation for a settlement in this dispute short of litigation, and it is acknowledged by your receipt and response to this letter that as such,it would be prohibited from being introduced in any future litigation that maybe commenced between the parties. Given the fact that this matter has festered between the parties and that my clients need to move on with the completion of their house,and given the time line that we have set for completion of the remaining work,I would ask that you give me the benefit of your client's response by the end of business on Friday November 22,2002. There is a very bad odor coming from the drains in the bathrooms that are not finished. The plumber, when he came to fix the radiator leak, ( to which LeBaron did not ` respond, so we called him ourselves) told us to pour water periodically down the drain to control the odor, but the odor is getting worse and very obnoxious. This should be- remedied as soon as possible and should have been discussed with us by LeBaron at the time that we moved in. Some kind of caps should be put over these drains. Remove trash from premises , 2 triangle windows in solarium are Pilkington windows, not Anderson.windows as per specifications. They need to be replaced by Anderson windows. Specs say all Anderson windows Bedroom shelf built on half wall and slats for knick-knacks built Door latch from master bedroom'to the master bath has not been installed. Landscaping-- grass wash-out,'loam wash-out -- 3 areas. Most of the loam has washed away. Something is wrong', with the wiring in this area. 3 Lights in the basement and garage are supposed to be with switches. 3 in the basement are pull chains and 2 in the garage are pull chains. All should be on switches. Basement sink installed. Bathroom toilets are supposed to'be Kohler highboys, elongated in white. Toto toilets are stored here in the unfinished bathrooms, and one put into the guest bathroom. The specs call for Kohler highboys, elongated. We do not want Totos. The repair parts for them are hard to get. Specs say Shower/Tub to have std. Moen Mixer Controls. He put in Gerver controls. Bathroom single knob Moen faucets according specs to the s , Gas spigot on deck for outdoor as rill g 9 9 • . _ Water filter installed The drain in the guest bathroom tub does not hold. ,The water flows down the drain y and does not stay in the tub. _ The drains in the other-tubs need to be checked for this, also. 2 more outside freeze proof faucets, and the one faucet installed doesn't work There is a knick in the wall of the guest bathroom tub, which will undoubtedly get larger. It needs to be repaired. The secod floor thermostat doesn't work correctly. We had it turned down to 55o several days, but the radiators were still warm and the temperature was up to 70o in all the rooms when we tested them with our thermometer. Baseboard heat flaps don't all close or work right. According to LeBaron, the closed flaps were to keep the rooms cool. This flap system doesn't work. We had all the flaps closed in the extra bedrooms, but the radiators were hot and the rooms were 70o or more, the same as the thermostat was set.
