OF THE LINDA A. MOULTON 1996 TRUST
I,Linda A. Moulton, of 9 Doty Avenue,Danvers, Massachusetts 01923,under oath,do
depose and certify as follows:
1. That I am the sole trustee of the Linda A.Moulton 1996 Trust,under declaration of trust
dated October 31, 1996(hereinafter referied to as the"Trust").
2. That the Trust is a"non-testamentary trust.
3. That,with respect to vacancies in the office of Trustee,the Trust provides that each
trustee thereunder(whether originally designated therein or appointed as successor) shall
have the right to resign by written instrument signed and acknowledged by said Trustee
and recorded in the Registry of Deeds. Should the said Linda A.Moulton resign,die or
become otherwise unable to serve as trustee thereunder,Lisa May Moulton Goddard and
Sarah Jewell Goddard shall succeed to the office as co-trustees,or the successor of them
as sole Successor trustee. Upon any other vacancy in an office of a trustee thereunder
created by the resignation of a trustee or otherwise,the then income beneficiary(or a
majority of such beneficiaries)shall have the right to appoint a successor trustee. In the
event the current income beneficiary(or a majority of the current income beneficiaries)
shall fail to designate a successor trustee within thirty days after the office of said trustee
has become vacant,such vacancy may be filled by any court of proper jurisdiction.
4. That any certification by any person named as a current or as a successor trustee shall be
conclusive on all persons.
5. That,pursuant to the terms of the Trust,the trustee(s)then serving shall have the absolute
power to sell at public auction,or private sale,"and to assign,transfer,pledge,barter or
exchange for real or personal property,all or any part of the real or personal property of
the Trust,including mortgages of property now or hereafter held under the trust,at such
time and prices and upon such terms and conditions as the trustee(s)deem(s)proper
without order or license of court,and to execute any and all deeds and other instruments
necessary or appropriate to accomplish such sale or other transaction,and no person need
make any inquiry concerning the propriety of any of the Trustee's actions and all such
actions shall conclusively be presumed to be proper. a '
