Buyer agrees to reasonably restore the surface and subsurface and any other disturbed portion of locus to substantially the same condition as they were prior to said work. If Buyer fails to restore said. premises ' as provided herein, Seller shall notify Buyer, in writing, that Buyer has failed to restore the premises as agreed. Such notice shall set forth the work necessary to restore the premises and give Buyer thirty days from said notice to complete the work. ' If Buyer still fails to so restore the premises, Seller may retain from the deposit ' funds such reasonable amount necessary to restore any land disturbed by Buyer and not restored by said Buyer. 3. TERMINATION OF BUYER'S PERMITTING EFFORTS In the event Buyer desires to terminate its pursuit of the necessary permits as described herein Bu yer shall notify Seller. in writing of that desire, thereupon, Seller shall be entitled, at Seller's expense, to continue pursuit of such approval. In such ' event, Buyer agrees to provide Seller at no cost to Seller with all of Buyer's work product, including engineering, survey, soil tests, architectural, etc. 7.. TITLE ISSUES Notwithstanding anythingherein contained to the contrary, the premises shall not be considered to be in compliance with the title and other provisions of this Agreement ' unless: (A) no building, structure, or improvement, including, but not limited to driveways, garages and septic systems and wells, if any, of any kind belong ing to any other person or entity shall encroach upon or under the premises; (B) the premises have legal vehicular access to a public way; (C) title to the premises is insurable, for the benefit of the Buyer, its grantees, successors and assigns, by a title insurance company reasonably acceptable to Buyer, in a fee owner's policy of title insurance, at normal premium rates in the American Land Title Association form currently in use, subject to those printed exceptions to title normally included in the "jacket" to such form or policy and ' the standard so-called "Schedule B" exceptions. 8. AUTHORIZATIONS AND DISCLOSURE By executing this Agreement, Seller hereby authorizes Buyer to make in the name of Seller and Buyer, if and where necessary, application for a development pursuant to .the provisions of M.G.L. Chapter 40B and to .appear before any boards holding hearings on the application. 9. APPEALS Buyer shall, in its sole discretion have the right to appeal any decision issued by the Zoning Board of Appeals or any other permit granting authority and to defend any and all appeals instituted by third-parties. 10. SCOPE OF PERMITTING EFFORTS AND TIME FOR PERFORMANCE Both Buyer and Seller acknowledge that the process of obtaining permits under the provisions of Chapter 40B of the General Laws is costly and time consuming. The permitting process involves, but is not limited to, the Buyer creating a site plan, sewerage treatment proposal, architectural plans and financial projections to be filed ' with the Commonwealth of Massachusetts in order to receive permission to file with the Board of Appeals. Buyer then must retain engineers, surveyors, traffic experts, soil engineers, and others in order to process its application. Buyer agrees to undertake this effort with all due diligence and at its sole expense. Both Buyer and Seller acknowledge that this process normally takes between eight and twenty four months to complete. If, on January 7, 2005, the application and/or appeal process is still in process and actively being pursued by Buyer, Buyer may extend this agreement for an additional seven (7) months. Any additional extension shall be negotiated between Buyer I'- and Seller and such extension shall not be unreasona bly withheld if Buyer continues to actively pursue final permits. 11. COOPERATION OF THE PARTIES ' Notwithstanding anything to the contrary herein contained, the Seller and Buyer each acknowledge that they will at all times act in good faith in the performance of the undertakings called for in this Agreement and that their mutual cooperation is necessary ' in order to successfully accomplish the approval and permitting of the envisioned project. Seller understands that Buyer will incur considerable expense relating to said permitting process and Seller warrants and covenants that it will assist in all reasonable ways it can, in good faith, Buyer's efforts in the permitting process and the eventual conveyance of the property to the Buyer. 12. ASSIGNMENT OF AGREEMENT ' Buyer and Seller agree that Buyer may assign this Agreement to any third party entity owned and/or controlled by the Buyer. Any such assignment shall not alter the underlying obligations of the parties hereto. ' 13. PERFORMANCE OF AGREEMENT BY BUYER The performance of the terms and conditions of this Agreement by the Buyer is subject to ' and contingent upon the Buyer obtaining, to its satisfaction, all of the necessary permits and approvals required to undertake the proposed project. If at any time Buyer, . in its sole discretion, determines that it is not feasible to continue the permitting process, then Buyer may terminate this Agreement and all deposit funds paid hereunder shall be returned to Buyer. If Buyer so elects. to terminate this Agreement, Seller may retain from the deposit funds an amount necessary to pay any real estate taxes due hereunder and an amount necessary for the reasonable restoration of any land disturbed ' by Buyer. 14. Execution, delivery or recording of such certificate shall not be a condition precedent to the validity of any transaction of the Trust. SECTION THREE ' Beneficiaries 3.1 The term 'Beneficiaries" shall mean the persons and entities listed as Beneficiaries in the Schedule of Beneficiaries executed and delivered as provided above and the respective interests of the Beneficiaries shall be as therein stated. SECTION FOUR ' Powers of Trustees 4.1 The Trustee shall hold the principal of this Trust and receive the income therefrom for the benefit of the Beneficiaries, and shall pay over the principal and income pursuant to the direction of all of the Beneficiaries and.without such direction shall pay the income to the ' Beneficiaries in proportion to their respective interests. 4.2 Except as hereinafter provided in case of the termination of this Trust, the Trustees shall have no power to deal in or with the Trust Estate except as directed by all of the Beneficiaries. ' 4.4 All persons extending credit to, contracting with or having any claim -against the Trustees shall look only to the funds and property of this Trust for payment of any contract, or ' claim, or for the payment of any debt, damage, judgment, or decree, or for any money that may otherwise become due or payable to them from the Trustees, so that neither the Trustees nor the Beneficiaries shall be personally liable therefor. If any Trustee shall at any time for any reason ' (other than for willful breach of trust) be held to be under any personal liability as such Trustee, then such Trustee shall be held harmless and indemnified by the Beneficiaries,jointly and severally, against all loss, costs, damages, or expense by reason of such liability. ' SECTION FIVE ' Termination 5.1 This Trust may be terminated at any time by notice in writing from all of the ' Beneficiaries, provided that such termination shall be effective only when a certificate thereof signed by the Trustees, shall be recorded with the Registry of Deeds. Notwithstanding any other provisions of this Declaration of Trust, and consistent with the intention of the undersigned that this Trust not violate the Rule Against Perpetuities, this Trust shall terminate in any event TWENTY (20)years from the date of death of the last surviving Trustee of the original Trustees named in this ' instrument. 5.2 In the case of any termination of the Trust, the Trustees shall transfer and convey the ' specific assets constituting the Trust Estate, subject to any lease, mortgages, contracts or other encumbrances on the Trust Estate, to the Beneficiaries as tenants in common in proportion to their respective interests hereunder, or as otherwise directed by all of the Beneficiaries, provided, ' however, the Trustees may retain such portion thereof as is in their opinion necessary to discharge any expense or liability, determined or contingent, of the Trust. ' SECTION SIX Equitable Housing Trust Page 3 of 5 Amendments 6.1 This Declaration of Trust may be amended from time to time b an instrument y y hu t in writing signed by all of the Beneficiaries and delivered to the Trustees, provided in each case that the amendment shall not become effective until the instrument of amendment or a certificate setting forth the terms of such amendment, signed by the Trustees,is recorded with the Registry of Deeds. ' SECTION SEVEN l Resignation and Successor Trustee 7.1 Any Trustee hereunder may resign at any time by an instrument in writing signed and acknowledged by such Trustee and delivered to all remaining Trustees and to each Beneficiary. Such resignation shall take effect on the later of the date specified therein or the date of the - recording of such instrument with the Registry of Deeds. 7.2 Succeeding or additional Trustees may be appointed or any Trustee may be removed by an instrument or instruments in writing signed by all of the Beneficiaries,provided in each case that a certificate signed by ANY TRUSTEE naming the Trustee or Trustees appointed or removed and,' ' in the case of an appointment,the acceptance in writing by the Trustee or Trustees appointed, shall be recorded in the Registry of Deeds. Upon the recording of such instrument, the legal title to the Trust Estate shall, without the necessity of any conveyance, be vested in said succeeding or ' additional Trustee or Trustees,with all the rights,powers, authority and privileges as if named,as an original Trustee hereunder. - 7.3 In the event that there is no Trustee, either through the death or resignation of a sole Trustee without prior appointment of a successor Trustee or for any other cause, a person purporting to be a successor Trustee hereunder.may record in the Registry of Deeds an affidavit, ' under pains and penalties of perjury, stating that he.or, she has been appointed by all of the Beneficiaries a successor Trustee. Such affidavit,,"when recorded together with an attorneys certificate under M.G.L. c. 183 Section 5B, stating that such attorney has knowledge of the affairs of the Trust and that the person signing the affidavit has been appointed a Trustee by all of the Beneficiaries, shall have the same force and effect as if the certificate of a Trustee or Trustees ' required or permitted hereunder had been recorded and persons dealing with the Trust or Trust Estate may always rely without further inquiry upon such an affidavit as so executed and,recorded as to the matters stated herein. At this level of development, density would be approximately 2.5 homes per acre. Each proposed residence ' shall be one and one-half stories in height, contain three bedrooms, a full basement and a garage. Architecture shall be classic Cape Cod and Colonial style, all as depicted on the plans submitted herewith. All homes will be served by a state of the art sewage treatment plant to ' accommodate all wastewater disposal requirements. Thirty two of the residences shall be dedicated as "affordable"under the provisions of ' Massachusetts General Laws, Chapter 40-B. These units will be located throughout the neighborhood and built with the same quality materials as the market rate homes. It is hoped that residents of the Town of Barnstable will have priority status with regard to the ownership ' of the affordable homes. An area of open space to be utilized for recreational purposes has been designed into the ' development plan. The 50.44 acre locus has no wetland areas or other environmental concerns. The sub-soil conditions are conducive to the proposed development. A review of the attached site plan and architectural plans best show the proposed scope and quality of the proposed project. ' The project site can best be understood by reviewing the Massachusetts GIS aerial photo of locus and the surrounding area. The subject property is located in a"commercial" area with ' several businesses situated in the immediate vicinity of locus. To the immediate West of locus is an office complex and a small portion of the Sea Oaks Condominium project. To the North, there is vacant woodland and a small portion of the Stratford Ponds complex. On the East, locus is bounded by the Sons of Italy lodge, vacant land and a child care center.
