THE WORK Contractor shall furnish all labor, supplies, materials and equipment to perform that work at the time or times and as further specified and described in this Agreement (the "Work"). The Work shall be performed diligently and in a first class manner, with new good quality supplies, materials, equipment and workmanship,all of which shall be free of defect or default. The Work shall be performed in such a manner as to minimize the possibility of any annoyance, interference, or disruption to the occupants of the Property and their invitees. All rubbish and debris caused by or in connection with the Work shall be promptly cleaned up nightly and placed in containers supplied by Contractor and approved by Owner, and shall be removed by Contractor as often as necessary or as requested by Owner in order to keep the Property clean, sightly and as attractive as possible. Upon completion of the Work,Contractor shall remove all such rubbish and debris, as well as all tools, construction equipment, machinery and surplus materials from the Property, and shall turn the Property over to Owner in a "broom clean" and "turnkey" condition, including glass surfaces. Contractor shall provide and pay for all labor, materials, tools, equipment, machinery, supplies, transportation, water, heat, gas, electricity and other utilities, facilities and services necessary for the proper performance and completion of the Work. No change order modifying or affecting the Work in any manner shall be effective unless in writing and signed by owner in the same manner as this Agreement, and no change order shall be effective unless in writing and signed by owner in the same manner as this Agreement, and no change order shall be effective unless it shall specifically state the amount of the extra charge, or the increase or decrease in the contract price. Owner shall have the absolute right to obtain a change order, provided that Owner offers to pay any reasonable additional charge, and provided that performance of the particular change by Contractor is feasible. If Owner has retained an Architect/Consultant, the Architect/Consultant shall;at Owner's option, administer this Agreement as Owner's representative,and shall have access to the Work at all times,and shall determine the amounts owing to Contractor. Contractor shall review, stamp with approval and submit any samples and shop drawings as directed by Owner or any Architect/Consultant hereunder. Il. COMMENCEMENT AND COMPLETION The work shall be commenced and completed at the times specified in this Agreement. If no such dates are specified,the Work shall be commenced within three(3)days after the date of this Agreement(or if not dated,then within three(3) days after both parties have signed and delivered this Agreement), and shall be completed as soon as reasonably practicable thereafter. Contractor's performance hereunder shall be excused for reasons relating to inclement weather conditions not reasonably anticipatable, shortage of materials,labor strikes,and other causes beyond Contractor's reasonable control(except for causes relating to Contractor's financial condition or its failure to arrange and pay for adequate labor and materials); provided, Contractor shall notify Owner within three days after a delay has occurred concerning the reasons therefore, and shall thereafter keep Owner reasonably advised concerning the status of the delay and Contractor's efforts to recommence the Work; provided further, Owner shall have an absolute right, notwithstanding any other provisions of this Agreement to the contrary, to cancel this Agreement if Contractor shall have failed to commence actual performance of the Work at the Property within three (3) days after the date of this Agreement, or shall have failed to diligently prosecute such Work to completion once it has been commenced. 3 III.COMPENSATION;BONDS Owner shall pay Contractor for the Work the amount or amounts, and at the time or times, set forth in this Agreement. Provided, no payments will be due until the Work(or the applicable portion) has been accepted by Owner(or Owner's Architect/Consultant, if any, has issued a certificate of payment), Owner has received satisfactory releases of liens from Contractor and all subcontractors, suppliers and materialmen,and satisfactory evidence that all of the same have been paid (including affidavits of payment), a notice of completion or other such notice has been filed under any applicable mechanic's lien laws, and a permanent certificate of occupancy, if required.by law, has been issued. Payments may be withheld hereunder: (1) on account of defects in the Work(including the materials incorporated therein and the performance thereof)not satisfactorily remedied;(2)as a set-off against losses or claims by Owner against Contractor for any breach or breaches of this Agreement, including without limitation, damage to the Property or injury to person; (3) failure of Contractor to pay any subcontractor, supplier or materialman or failure to provide satisfactory evidence of such payment;in the form of lien releases and affidavits of payment;(4)persistent failure to carry out the Work in accordance with this Agreement; or5 damage to Owner or another contractor caused ( ) g by Contractor. Provided Owner agrees to pay the cost thereof, Owner may at any time require that Contractor procure and submit to Owner performance and/or payment bonds in amounts and with companies reasonably satisfactory to Owner. SUPERVISION:EMPLOYEES Contractor shall be responsible for the supervision and direction of the Work by its employees and any approved subcontractors, suppliers and materialmen, and shall, if Owner shall request, provide supervisory personnel on.the Property acceptable to Owner to carry out this responsibility. Periodic inspections will be conducted by any designated supervisor of Contractor to ensure that all Work hereunder is properly performed. Contractor will inform Owner of the name of such supervisor responsible for the work and the supervisor shall have the authority to act as Contractor's agent in Contractor's absence. Unless first approved in writing by Owner, Contractor.shall not, and shall have no authority to, engage any subcontractors, suppliers, or materialmen to perform the Work, and shall instead engage only trained individuals directly emploved and supervised by Contractor. Neither Owner's approval of any subcontractors,suppliers or materialmen,nor the failure of performance thereof by such parties,shall relieve, release or affect in any manner any of Contractor's duties,liabilities or obligations hereunder,and Contractor shall at all times be and remain fully liable hereunder. Contractor agrees that each of its employees,and any subcontractors, suppliers and materialmen,will be properly qualified and will use reasonable care in the performance of their duties. If, however, Owner in Owner's sole opinion, determines, for any reason,that any particular employee,or subcontractor, supplier or materialman is unsatisfactory to Owner,then upon written notice from Owner to Contractor,Contractor shall remove said employee, subcontractor, supplier or materialman, and shall provide a qualified substitute. Contractor shall be an independent contractor with respect to the Work to be performed hereunder. All personnel furnished by Contractor will be deemed employees of Contractor and will not for any purpose be considered employees or agents of Owner, and Contractor shall comply with all employment laws pertaining thereto,including but not limited to Wage and Hour,Worker Compensation,Immigration and OSHA. 4 V. COMPLIANCE WITH APPLICABLE STATUTES,ORDINANCES AND REGULATIONS In performing the Work required under this Agreement,Contractor shall comply with all applicable federal, state, county, and municipal statutes, ordinances and regulations, including without limitation, any licensing, bonding, and permit requirements, at Contractor's sole cost and expense. If the Property was constructed during a period when asbestos was used in building construction, and if the Work will involve any area which may contain asbestos, Contractor shall comply with all applicable requirements of the United States Environmental Protection Agency, the Occupational Safety and Health Administration, and any other applicable laws, or requirements pertaining to asbestos. In such event, Contractor shall also comply with all reasonable instructions and requests issued by any asbestos consultant retained by Owner. If such compliance is impossible for reasons beyond its control, Contractor shall immediately notify.Owner of that fact and the reasons therefore. Contractor shall notify Owner and any Architect hereunder if any drawings or specifications do not comply with any applicable laws. Owner shall cooperate reasonably to the extent necessary for Contractor to obtain any required permits, but unless specifically stated elsewhere in this Agreement or any Addendum hereto, Owner shall have no obligation or duty to obtain any permits, easements, approvals or consents, or to provide any temporary or permanent shelters, or structures for Contractor or its employees. VI. LIENS AND ENCUMBRANCES Contractor, for itself,and on behalf of all subcontractors, suppliers,materialmen and others claiming by,through or under Contractor,hereby waives and releases any and all statutory or common law mechanics', materialmens' or other such lien claims, or rights to place a lien upon the Property or any improvements thereon in connection with any Work performed under or in connection with this Agreement. Contractor further agrees to execute a sworn affidavit respecting the payment and lien releases of all subcontractors, suppliers and materialmen, and a release of lien respecting the Work at such time or times and in such form as may be reasonably requested by Owner. Contractor shall indemnify and defend Owner from all liens for labor performed, materials supplier or used by Contractor and/or any other person in connection with the Work undertaken by Contractor hereunder, and shall not at any time suffer or permit any lien or attachment or encumbrance to be imposed by any subcontractor, supplier or materialman, or other person, firm or corporation, upon the Property or any improvements thereon, by reason of any claim or demand against Contractor or otherwise in connection with the Work. If any liens are filed as a result of the Work, Owner may, at its option and without investigating the validity of the same, after thirty(30) days.written notice to Contractor,pay the same and withhold or seek reimbursement of such amount from Contractor. VII.RELEASE To the extent permitted by applicable.law, Contractor agrees to look solely to its insurers, and does hereby release and waive any and all rights it has now,or may in the future have,to recover against Owner, its trustees, beneficiaries, general and limited partners, officers, agents, servants, affiliates, or employees (collectively the "Releasees') for loss or damage to property, or personal injury or death (including, but not limited to, claims for damage to property of Contractor and injury to, or death of, employees of Contractor and claims for contribution or indemnity or for reimbursement of.workers' compensation benefits), in any way relating to or resulting from the Work performed or to be performed under or in connection with this Agreement. Contractor hereby waives all rights of subrogation of its insurers with respect to claims against Releasees. . 5 VIII. SUCCESSORS AND ASSIGNS It is expressly understood and agreed that this Agreement is personal to Contractor and that Contractor shall have no right, power or authority to assign this Agreement or any portion thereof, either voluntarily or by operation of law,and that Contractor shall not have any right, power or authority to sublet, or subcontract or delegate the Work to be performed hereunder, or any portion thereof, without Owner's express written approval and consent being first had and obtained. Except for the foregoing limitations,this Agreement shall be binding upon and inure to the benefit of the parties and their successors and assigns, and without limiting the generality of the foregoing, Owner shall have the right to assign this Agreement in connection with any sale,transfer or hypothecation of the Property.. IX. INSURANCE i. Contractor shall at all times, at its sole cost and expense, obtain and maintain the following insurance which shall name OCW Retail-Hyannis,LLC, The Wilder Companies,Ltd., and their employees,partners,beneficiaries, agents and affiliates as additional insureds, and which shall insure Owner and Contractor against all of the various claims, liabilities and attorney's fees described in Article X hereof, including: (I) comprehensive general liability and automobile liability, each in the amount of $3,000,000 combined single limit for bodily injury, death or property damage per occurrence; (2) contractually assumed liability to cover the liability assumed by Contractor under Article X hereof, (3) applicable workmen's compensation in statutory limits, , and employer's liability insurance of at least $500,000 per occurrence, (4) completed operations; (5) Umbrella/Excess Liability policy with limits of $5,000,000 and providing coverage over an above the underlying General Liability, Automobile and Employer's Liability, and (6) any other insurance commonly used by contractors for the type of work performed pursuant to this Agreement. Insurance required under this Article shall be with companies rated A+ 15 or better in "Best's Insurance Guide". Contractor shall deliver to Owner, prior to commencement of any Services hereunder, copies of policies of such insurance or certificates evidencing the existence and amount of same with loss payable clauses satisfactory to Owner. No .policy shall be cancelable or subject to reduction of coverage except after thirty (30) days' written notice to Owner. X. INDEMNIFICATION Contractor shall defend, indemnify and hold harmless Owner and its trustees, beneficiaries, general and limited partners,affiliates,officers, agents, servants and employees,from and against any and all claims, demands, losses, damages, injuries, Iiabilities, expenses,judgments, liens, encumbrances, orders and awards (all of which are collectively referred to as "claims"),together with attorneys'fees and litigation expenses, on account of (1) injury to, or death of, any person, including agents, employees, subcontractors, suppliers or materialmen, (2) loss of, or damage to, property, (3) claims of subcontractors, suppliers, materialmen or workmen, (4) royalties, license fees and claims for patent infringement, or (5) claims against Owner for express or implied indemnity or contribution arising by reason of any of the above; but all of the foregoing shall apply only to the extent that the foregoing directly relate to or result from,the Work performed or to be performed,or a product supplied or to be supplied under or in connection with this Agreement. 6 XI.TERMINATION OF AGREEMENT If Contractor shall default under this Agreement, or shall fail diligently to commence the Work in g Y accordance with this Agreement, then Owner may, after twenty-four(24)hours notice to Contractor, elect: (1) To terminate this Agreement, and pay Contractor for the reasonable value to Owner of the Work performed prior to the date of termination, less any losses,damages, claims,or other amounts subject to set- off of which may be withheld from. the contract price hereunder, including without limitation, any and all reasonably foreseeable incidental and consequential damages arising from Contractor's breach or default hereunder, or(2)To terminate this Agreement,and complete the Work directly or through another contractor or contractors, and pay Contractor the contract price as described in Addendum A hereto, less all costs and expenses incurred in connection with the completion of the Work, and less all losses, damages, claims or other amounts subject to set-off or which may be withheld from the contract price hereunder, including without limitation,all reasonably foreseeable incidental and consequential damages arising from Contractor's breach or default hereunder. Termination of this Agreement shall be without prejudice to Owner's right to recover damages from Contractor, or other rights and remedies hereunder or available at law or equity. A failure by either party to observe and perform any provision of this Agreement to be observed or performed by that arty shall constitute a default and breach of this Agreement. 1 XII.TDAE All time limits prcvided in this Agreement and any Addendum or approved change order hereto are of the essence of this.Agreement. XIII.OTHER CONTRACTORS Nothing in this Agreement shall be deemed as a limitation on Owner's right to engage other contractors to perform work related to the Property. Upon request by Owner,Contractor shall coordinate the Work hereunder and cooperate with the work performed by such other contractors. XIV.NOTICES Every notice or other communication to be given by either party to the other with respect to this Agreement,shall be in writing and shall not be effective for any purpose unless the same be served personally or by United States mail,postage prepaid,addressed if to Owner as follows: c/o The Wilder Companies,Ltd., 800 Boylston Street, Suite 1300, Boston, MA 02199, Attention: Elvin Soto and to Contractor at the address first above set forth, or.at such other address or addresses as Owner or Contractor may from time to time designate by notice given as above provided. XV.ATTORNEY'S FEES In the event that any action,suit, or other proceeding is instituted to remedy,prevent,or obtain relief from a breach of this Agreement, or arising out of a breach of this Agreement, the prevailing party shall recover all of such parry's attorneys'fees incurred in each and every such action,suit,or other proceeding. XVI. WAIVER Any failure of Contractor or its insurer to comply in full with any of the provisions of this Agreement,and any failure by Owner to enforce the provisions of this Agreement p gr ent, shall in no way constitute a waiver by Owner of any contractual right hereunder,unless such waiver is in writing and signed by Owner. 7 XVII. VOIDABILITY In the event that any provision of this Agreement should be held to be void, voidable or unenforceable,the remaining portions hereof shall remain in full force and effect. XVIII.CHOICE OF LAW The rights and duties arising under this Agreement shall be governed by the laws of the Commonwealth of Massachusetts. XIX.LIMITATION OR LIABILITY No individual or corporate general partner or Owner, nor any officer, director, employee or other agent of the same shall have any personal liability in connection with this Agreement. In the event of a sale of the Property while this Agreement is in effect, the'purchaser shall be deemed to Have assumed this Agreement,and Owner shall thereafter be released from any liability accruing after the date of such sale. XX. WARRANTIES Contractor warrants and guarantees the work and all elements thereof against defects in materials and workmanship on new components furnished and installed by Contractor for a period of one year following the date of completion and acceptance thereof. Such warranty is in addition to all other warranties implied or otherwise available at law. XXI. SURVIVAL Except as expressly provided to the contrary herein,all provisions of this Agreement shall survive all performances hereunder.
