We discussed the matter briefly and you asked that I provide a° zoning analysis and also research the applicability of"off-site parking" requirements to the proposal. Further,you asked that I determine what, if any approvals, licenses, or permits,had been issued to the Elk's for the parking lot. At the meeting,I stated that Ziggy's believed that the proposal should only undergo "informal" site plan review as the matter was limited to building/zoning matters and, even within that context, everything that Ziggy's proposes complies with zoning and could be done "by right." This memorandum responds to your request. Summary Ziggy's use of the Elks' Property is allowed by right under zoning. No changes are being made to the pre-existing nonconforming use which is the existence of an automotive repair facility in the groundwater protection overlay district. Formal site plan review serves no purpose as the there is no change to the use of the Elks'parking lot as it is continuing to be used solely as a parking lot for passenger vehicles. Current Zoning and Uses of the Ziggy's Property Ziggy's property is located at 832 Bearse's Way, Hyannis. The Elks' property is located immediately adjacent to the northwest at 852 Bearse's Way. Both properties are essentially level with minor fluctuations in elevation. Almost all of the surface of both properties along the road to a depth of over 100 feet is impervious being either buildings or bituminous concrete serviced by fully functioning drainage structures. The relevant properties are located in the B-Business District and the Groundwater Protection Overlay District("GPO District"). Ziggy's currently engages in three types of activities on its property. Ziggy's operates a repair and automotive customization shop with room for sixteen vehicles inside the building.' While the repair and customization activities are a conforming use in the B-District, they are nonconforming for the GPO- Ziggy's does not perform oil changes,radiator flushes,or other types of maintenance that would generate significant quantities of liquid waste based upon its location and,essentially,an informal agreement that it is not pre-existing nonconforming for those activities. District. Ziggy's engages in retail sales of aftermarket automotive parts (some which it also installs) which also is a conforming use in the B-District and is not prohibited in the GPO-District. Ziggy's engages in the sale and rental of used cars which also is a conforming use in the B-District and is not prohibited in the GPO-District. See also Letter from Brian Wall to Thomas Perry, dated November 15, 2010 (signed acknowledgement by Commissioner Perry that storage of new and used vehicle inventory and employee parking is a permitted use at 852 Bearse's Way,Attached as Exhibit One). All of these activities occur solely on Ziggy's property. A parking plan which has been previously approved by the Town shows where Ziggy's currently repairs,stores,and displays vehicles and is attached as Exhibit Two. Current Uses of the Elk's Property The Elks'property is owned by a social club which uses the property primarily in the evening as a club house. Based upon my review of Town of Barnstable and Barnstable Registry of Deeds' files,the Elks' use has never been issued a zoning permit or variance. The Elks,however, do have a license to serve alcohol on their premises to members and guests. The Elks'property has never been subject to "site plan review" for its operations. However, in 2000,the Elks sought approval to have flea markets on the property on Sundays in the summer. Attached as Exhibit Three are the meeting minutes of the site plan meeting and the approved plan which includes 68 parking spaces on the Elks'property. Ziggy's Use of Elks'Property Ziggy's desires to use the Elk's property for employee and customer parking, and for the parking of five rental vehicles. Attached as Exhibit Four is a proposed parking plan for those vehicles on the Elks' property. The essence of the use is that Ziggy's will have an additional 22 spaces to use consisting of 5 employee spaces, 5 rental car spaces, and 12 customer spaces on the Elks'property. This should improve access/egress to Ziggy's property. i Handicap 1 1 0 No Change Rental 0 5 +5 Along Ziggy's property building, but on Elks'property Total 54 76 +22 Sale of Motorcycles at Ziggy's As previously discussed,Ziggy's sell after market automotive parts which it often installs. Many of these parts are on display in the retail section of the building. Recent trends in business have resulted in most of the aftermarket equipment being purchased online with Ziggy's assistance from suppliers rather than through traditional retail display. In an attempt to more appropriately use its retail space, Ziggy's will be seeking authority to display up to ten motorcycles in the indoor retail display area. Application of Zoning to Uses of Elks and Ziggy's Properties As addressed previously, all of Ziggy's operations are conforming for the B-Business District,but the automotive repair business is nonconforming for the GPO District. Ziggy's will not be performing its automotive repair business on the Elks'property. Rather, all of those activities will be performed on the Ziggy's property as they are today. The only activities on the Elks' property will be employee and customer parking and the parking of five rental vehicles immediately adjacent to the Ziggy's building. All of these activities are allowed in the applicable zoning district. In our meeting,you suggested that there may be "off-site" parking regulations that-are applicable to Ziggy's parking vehicles on the Elks'property. My review has found no such applicable regulations. There are, however, "Off-Street Parking Regulations" which allow for parking on"another lot within 300 feet of, and in the same zoning district as,the use for which the spaces are required." Sec. 240- 51.A. Based upon my review,the use of the Elks'parking lot is exempt from being required to make any changes to be used by Ziggy's. In particular, Section 240-53.F exempts lots which existed prior to March 11, 1999 such as the Elks'parking lot and the use by Ziggy's does not fall within any of the categories that would cause such exempt lot to be required meet current parking standards.3 Application of Site Plan Review Site plan review does not occur for every action that requires approval by the Town. Rather, site plan review is only required if a new activity fails within the specific provisions of Section 240-100. Here, the only issue is whether the use of the Elks' parking lot is a "new use" of the parking lot 4 Frankly, Ziggy's is only using the parking lot for parking which is what the lot has always been used for. Before he closes on the property, Mr. Carter seeks your determination that his intended use of the property is allowed by zoning. The subject property consists of, approximately, 1.08 acres. It is improved with an existing structure with 14,711 square feet of interior space and an asphalt parking lot. The property is situated in a Business Zoning District. The Building Commissioner interjected that this building consists of 20 - 30 bays. Conclusion: Continued. The Building Commissioner continued this application until 8117100 in order to allow Mr. Sprague the opportunity to appear in person and respond to questions. SPR 123-00 Elks of Hyannis-1549, 852 Bearses Way,Hyannis (R294-043) Mr. Al Souza appeared before the panel seeking approval to host outdoor flea markets on Sundays. 60% of the area would remain dedicated to parking and the remaining 40% would be the outside market. Items offered would include T-shirts and sweat shirts. Health inquired about food service. They would permission to serve food prepared inside. Discussion revealed that the applicant maintains as food service license. Mr. McKean also inquired about the trash.provision. A screened dumpster is located in the rear of the property. Planning advised the applicant to obtain an outdoor vendors license with the Town Manager's office. Engineering asked the applicant to sketch the lay-out with more detail. He inquired about aisle width. Mr. Pisch expressed concern regarding Bearses Way and sought reassurance that the market area would not be located too close to the road. The applicant responded that there is a 10-15' grassy area separating the road from the display area. In response to questioning by Engineering, the applicant advised that the patron parking would not be near the display area and therefore the installation of curb stops or barrels would not be necessary. Received a complaint late last week concerning the construction of a shed without a permit. Also, included was a complaint about the noise from a piece of equipment thought to be located in the shed and likely is an air compressor. This equipment runs into the late hours of the night interfering with the ability of the residential neighbors to sleep or otherwise enjoy their homes. Paul and I were given full access to the entire site and led around by one of the owners. I was informed that they recently obtained approval to detail their vehicles on site and that Cynthia(Health) was just here yesterday to check on the hazardous material in response to a complaint. Nothing I saw appears to be newly constructed. There was no noise upon our arrival around 10:30 AM. Men were busy repairing vehicles but no sound was audible at all from outside and inside there wasn't even a radio playing. I was informed that the business shuts down at 6 PM. His brother, William(the other owner) might sometimes be on site doing paperwork but no equipment is running. I saw no evidence of anything that would generate a constant noise inside or out. This inspection was unannounced and as such I can't accuse anyone of changing the typical business routine to impress us. I left my card and asked that the owner call me in order to discuss the matter and figure out what if anything was going on after 6 PM. FINDINGS: There was no work being done or recently completed that required a building permit or any kind of approval. EXTENSION TO PERFECT TITLE OR MAKE PREMISES CONFORM- If the Seller is unable to give title, or to make conveyance,or to deliver possession of the Premises,or if at the time of closing the Premises do not otherwise conform with the provisions hereof,the Seller must use reasonable efforts to remove any defects in title,or to deliver possession, or to make the Premises otherwise conform to the provisions hereof, as the case may be. In that event,the Seller may, if the Seller elects, extend the time for closing for a period not to exceed thirty(30)days,by giving written notice to the Buyer at or before the original time for closing. "Reasonable efforts", as used in this paragraph,do not require the expenditure of more than$2,000 by the Seller. 8. FAILURE TO PERFECT TITLE OR MAKE PREMISES CONFORM, ETC.- If at the expiration of the extended time the Seller has failed so to remove any defects in title,deliver possession,or make the Premises conform, as the case may be,then at the Buyer's option,the Seller must refund all deposits to the Buyer, after which all other obligations of the parties will cease and this agreement will be void and without recourse to the parties. ; 9. BUYER'S ELECTION TO ACCEPT.TITLE-The Buyer has the election,at either the original or any extended time for closing,to accept such title as the Seller can deliver and to accept the Premises in their then condition, and to pay the full purchase price without reduction. In that event, if the Premises have been damaged by fire or other casualty insured against and have not been fully restored,the Seller must pay over or assign to the Buyer at the closing all amounts recovered or recoverable on account of the insurance, less any amounts reasonably expended for any partial restoration. 10. ACCEPTANCE OF DEED,-The Buyer's acceptance of the deed-by the Buyer or through its nominee-will be deemed full performance and discharge of every obligation in this agreement,except those that are,by their terms,to be performed after the closing. 1.1. USE OF PURCHASE MONEY TO CLEAR TITLE-To enable the Seller to make conveyance,the Seller may, at the time of closing, use all or any portion of the purchase money to clear the title of encumbrances or interests. All title clearing instruments must be -3- delivered simultaneously with the deed,with the exception of mortgage discharge(s)from reputable lending institutions,which may be obtained expeditiously and recorded in due course. 12. INSURANCE.-Until the closing,the Seller must maintain its fire and extended coverage casualty insurance now in effect on the Premises. 13. ADJUSTMENTS-Real estate taxes, insurance premiums and water pollution control charges will be adjusted at the closing as of 12:00 a.m. on the day of closing, according to any amounts due to the Seller and/or Buyer determined by the status of any reimbursement payments due Seller or credits due Buyer based,on the manner in which these matters have been handled to date under the Lease. The net adjustments will be added to or deducted from,as the case may be,the purchase price. Rents under the Lease shall be paid through the day of closing. If the amount of real estate taxes cannot be determined at the time of closing,they will be apportioned on the basis of the taxes assessed for the preceding fiscal period. The parties must, upon the written request of either party, reapportion as soon as the new tax rate and valuation can be ascertained. If the taxes which are to be apportioned are later reduced by abatement, the abatement amount,less the reasonable cost of obtaining it,will be apportioned between the parties which have made the payments and would be entitled to the benefit of the abatement. Neither party is obligated to institute or prosecute proceedings for an abatement. 14. DEPOSIT-Nutter McClennen&Fish, LLP, as escrow agent(the"Escrow Agent")shall hold the Deposit made hereunder in accordance with Section 3 (referred to in this Section 14 as the"deposits")in an interest bearing,FDIC insured account. The duties of the Escrow Agent are determined solely by this Agreement and are purely ministerial in nature. If any dispute arises between the parties as to whether or not the Escrow Agent is obligated to deliver the deposits(or any interest on the deposits),the Escrow Agent is not obligated to make any delivery,but may hold the funds until receipt of a written authorization signed by all persons having an interest in the dispute,directing the disposition of the funds. In the absence of a written authorization,the Escrow Agent may hold the funds until the rights of the parties have been finally determined in an appropriate proceeding. Moreover,the Escrow Agent may bring an appropriate proceeding for leave to deposit the funds pending a determination of the rights of the parties. If threatened with litigation,the Escrow Agent may interplead all interested parties in an appropriate action and may deposit the funds with the clerk of the court; thereupon the Escrow Agent will have no further liability under this Agreement. Nutter McClennen&Fish, LLP shall thereafter be entitled to represent Seller in such dispute as fully and completely as though Nutter McClennen&Fish,LLP had never been the escrow agent holding the deposits. The Escrow Agent may retain counsel or act as its own counsel in any action under this Agreement. Seller and Buyer shall reimburse the Escrow Agent, solely for its role as escrow agent and not as Seller's counsel,for all costs and expenses incurred by it in connection with any court proceeding under this Agreement,including reasonable attorney's fees and disbursements. The Escrow Agent may retain out of the funds it holds under this Agreement an amount sufficient to pay these costs and expenses. -4- The Escrow Agent is not liable for any mistake of fact or error of judgment,or for any acts or omissions,unless caused by its willful misconduct. The parties to this Agreement each release the Escrow Agent from any act done or omitted to be done by the Escrow Agent in good faith in performance of its obligations under this Agreement. ENFORCEMENT OF AGREEMENT -If litigation is commenced by either Party to enforce this agreement, the costs and reasonable attorney's fees of the prevailing party in the litigation must be paid by the non-prevailing party. -5- 19.
