PURCHASE; (a) The SELLER hereby agrees to sell and the BUYER hereby agrees to purchase the Unit in the PURCHASE PRICE; Condominium,together with the Unit's undivided Percentage Interest in both the common areas and DEPOSIT facilities of the Condominium, as more particularly described in the Master Deed,upon terms and conditions and contained herein. (b) The BUYER agrees to pay the SELLER the Purchase Price,and the SELLER hereby acknowledges receipt of the Deposit by check(subject to collection).The balance of the Purchase Price shall be paid on the time of delivery of the deed(hereinafter defined)in cash,or by certified,cashier's, treasurer's or bank checks)or by attorney's conveyancing account check. (d) The Deposit shall be held by AMG Realty,LLC(the"Escrow Agent")in a non interest-bearing; escrow account and shall be duly accounted for on the Closing Date. 5 7. CLOSING DATE. The SELLER shall deliver the Deed to the Unit-and the BUYER shall pay the balance of the Purchase Price at 2:00 p.m.on the 22th day of September 2011,at the Barnstable Registry of Deeds,or at the ` office of the lender's attorney or at such time and place as is mutually agreed(the"Closing').It is agreeId that time is of the essence of this agreement. 8. BUYER'S The BUYER shall have the election,at either the original or any extended time for performance,to accept ELECTION TO such title as the SELLER can deliver to the said premises in their then condition and to pay therefore t e ACCEPT TITLE purchase price without deduction,in which case the SELLER shall convey such title,except that in the! event of such conveyance in accord with the provisions of this clause,if the said premises shall have been damaged by fire or casualty insured against,by the organization of unit owners or by the SELLER then the SELLER shall,on delivery of the deed,unless said premises have previously been restored to their former condition,pay over or assign to the BUYER all amounts recovered or recoverable by the SELLER on account of such insurance,and give the BUYER a credit against the purchase price equal to any amounts otherwise so recoverable which are retained by the holder of a mortgage on the Unit,less any amounts reasonably expended by the SELLER for partial restoration. 12.FORCE MAJEURE In the event that the SELLER's performance hereunder is prevented;delayed,retarded or hindered by act of God,fire,earthquake,hurricane,flood,explosion,action of the elements,war,terrorism,invasion, insurrection,riot,mob violence,sabotage,inability to procure of general shortage of energy,labor, equipment or materials,requisitions,laws,orders of the government or civil or military authorities,failure of governmental or governmental authorities to act,casualty or damage by accident not caused directly by the SELLER,or any other cause whether similar or dissimilar to the foregoing not within the reasonabl control of the SELLER(collectively,a"Force Majeure Event'),then in addition to any other extensions provided herein,the Closing Date shall be extended for a period of time equivalent to the period of sucl'i delay,up to a maximum extension of three(3)months,provided BUYER can maintain their mortgage commitment and rate lock at no additional expense. , 13. ACCEPTANCE OF The acceptance of a deed by-the BUYER or his nominee as the case may be,shall be deemed to be a DEED full performance and discharge of every agreement and obligation herein contained or expressed,except such as are,by the terms hereof,to be performed after the delivery of said deed. 14. USE OF To enable the SELLER to make conveyance as herein provided,the SELLER may,at the time of delivery PURCHASE of the deed,use the purchase money or any portion thereof to clear the title of any or all encumbrances oar MONEY TO interests,provided that all instruments so procured are recorded simultaneously with the delivery of said CLEAR TITLE deed, t. 15. ADJUSTMENTS Taxes for the then current fiscal year and common expenses for the then current month shall be 4 apportioned,as of the closing date and the net amount thereof shall be added to or deducted from,as tl�te case may be,the purchase price payable by the BUYER at the time of delivery of the deed. At closing, 'BUYER shall pay to the 540 Main Street Condominium Trust a two-month's capital reserve payment.At the closing,the BUYER shall execute and deliver to the SELLER the Tax Letter Agreement included i> the Condominium Materials,and if the BUYER's Mortgagee will collect tax escrow payments from th BUYER,the BUYER shall use its best efforts to cause the BUYER's mortgagee to execute and deliver to the SELLER a counterpart of said Tax Letter Agreement. 18. ADJUSTMENT (a)Town of Barnstable real estate taxes for the then current period and Condominium Common R t OF UNASSESSED AND Charges for the then current month attributed to the Unit shall be apportioned as of the Closing Date',and ABATED TAXES the net amount thereof shall be added to or deducted from,as the case may be,the Purchase Price payable by the BUYER.If the amount of said taxes is not known at the time of the Closing Date,to es shall be apportioned on the basis of the taxes assessed for the preceding period,with a re-apportionment when the actual amount of said taxes becomes known.If the taxes for the preceding period are not = available then the parties shall apportion the taxes on the basis of a reasonable estimate,with a re- apportionment when the actual amount of said taxes becomes known. 19..BROKER. The BUYER warrants and represents to the SELLER that the BUYER was not introduced to the Unit,or to the Condominium,or to the SELLER,by any real estate broker,except for AMG Realty,LLC.If the representation and warranty made hereinabove in this Paragraph 19 by the BUYER shall prove untrue, the BUYER agrees to indemnify and hold the SELLER harmless from and against any claims for a real estate brokerage commission or finder's fee(including but not limited to legal fees and expenses).T�e provisions of this Paragraph shall survive delivery of the deed and shall remain in force and effect after the Closing or earlier termination of this Agreement. Seller warrants and represents to BUYER that SELLER has not contacted any real estate broker not listed in this Agreement to whom a commission is due in connection with this transaction. Seller agrees to indemnify Buyer against and to hold Buyer harmless from any loss,damage,cost or expense, including reasonable attorney fees,incurred by Buyer as a result of any claim for a brokerage commission or fee which may be asserted against Buyer in connection with this transaction by any broker.The provisions of this paragraph shall survive the delivery of the deed and shall remain in fu11 force and effect after the Closing or earlier termination of this Agreement. Seller shall be responsible I for the payment of broker's commission to AMG Realty,LLC. f 20.DEPOSIT All deposits made hereunder shall be held in escrow by AMG Realty,LLC, as escrow agent subje�t to the terms of this agreement and shall be duly accounted for at the time for performance of this Agreement. In the event of any disagreement between the parties,the escrow agent shall retain all deposits made under this Agreement pending instructions mutually given by the SELLER and the BUYER or court order. 21. BUYER's If the BUYER shall fail to fulfill the BUYER's agreements herein,all deposits made hereunder by the DEFAULT; BUYER shall be retained by the SELLER as liquidated damages,and this shall be the Seller's sole artd DAMAGES exclusive remedy at law and in equity for any breach of the this Agreement by BUYER.The parties j acknowledge and agree that SELLER has no adequate remedy in the event of BUYER's default under this Agreement because it is impossible to compute exactly the damages which would accrue to SELLER in such event.Therefore,the parties have taken these facts into account in setting the amourit of the deposit hereunder and hereby agree that(i)the deposit hereunder is the best estimate of such j damages which would accrue to SELLER in the event of the BUYER's default hereunder,(ii)said deposit represents damages and not a penalty against BUYER,and(iii)the parties have had the benefit of counsel with regard to the provisions of this Paragraph 21. 22. LIABILITY OF If the SELLER or BUYER executes this Agreement in a representative or fiduciary capacity,only the TRUSTEE, principal or the estate represented shall be bound,and neither the SELLER not BUYER so executing,I SHAREHOLDER, nor any shareholder or beneficiary of any trust,shall be personally liable for any obligation,express or BENEFICIARY,etc. implied,hereunder. 1 23. WARRANTIES AND The BUYER acknowledges that the BUYER has not been influenced to enter into this transaction nor i^ REPRESENTATIONS has he relied upon any warranties or representations not set forth or incorporated in this Agreement or previously made in writing,except for the following additional warranties and representations,if any made by SELLER:NONE 24. MORTGAGE In order to help finance the acquisition of the Premises,the BUYER shall apply for a SBA 504 loan from CONTINGENCY a conventional bank or other institutional lending company. Said loan shall be in the amount of 90%o:r CLAUSE' the Purchase Price at prevailing rates,terms and conditions.If despite the BUYER's diligent efforts a firm,written commitment for such loan cannot be obtained on or before September 15,2011,the BUYER may terminate this Agreement by written notice via mail or facsimile to SELLER arid/or the Broker or SELLER's Attorney as agent for the SELLER,prior to the expiration of said time,whereupon,:'` f any payments made under this Agreement shall be forthwith refunded and all other obligations of the . parties hereto shall cease and this Agreement shall be void without recourse to the parties hereto.In no event will the BUYER be deemed to have used diligent efforts to obtain such commitment unless the BUYER submits a complete mortgage loan application conforming to the foregoing provisions on or before three(3)days from the ate the BUYER;s receipt of a fully executed Purchase and Sale Agreement.BUYER is deemed to have exercised due diligence by applying to one(1)Lender only. 25. CONSTRUCTION OF This instrument,executed in multiple counterparts,is to be construed as a Massachusetts contract,into AGREEMENT take effect as a sealed instrument,sets forth the entire contract between the parties,is binding upon and enures to the benefit of the parties hereto and their respective heirs,devisees,executors,administrators, successors and assigns,and may be cancelled,modified or amended only by a written instrument I executed by both the SELLER and the BUYER.If two or more persons are named herein as BUYER their obligations hereunder shall be.joint and several.The captions and marginal notes are used only las a matter of convenience and are not to be considered a part of this agreement or to be used in determining the intent or the parties to it. 26. NOTICE Any notices required under this Q Agreement shall be deemed sufficient if delivered by certified first class U.S.Mail,postage prepaid,return receipt requested,postmarked as of the date required for notice hereunder,or by facsimile with confirmation of the transmission completion,by BUYER to SELLER or to SELLER's attorney,at the address noted above;or by SELLER to BUYER or BUYER.'s attorney,a!t the address listed above. 31.ACCESS The SELLER agrees to allow the BUYER,his/her agents or designees to have I 8 e access to the premises�or the purposes of having inspections,showing the property to prospective mortgagees and taking measurements,etc. Such access shall be only by appointment and limited to three in number,in addition ' to access set forth in this Agreement. .32. STANDARDS Any matter or practice arising under or relating to this Agreement which is the subject of a Title Standard or a Practice Standard of the Massachusetts Real Estate Bar Association shall be governed b " said Standard to the extent applicable. 33. Information furnished to the BUYER concerning the operating expenses of the Condominium and real estate taxes for the unit is thought to be reliable but the SELLER does not warrant the accuracy of projections or expectations.The SELLER has no way or assuring what valuation or tax rate will be imposed in the future,not what the maintenance or operating costs of the Condominium will be in the future.The SELLER expressly disclaims any representations and warranties not expressly made in this Agreement in writing concerning the condition of the Unit,the operating costs or real estate taxes with respect to the Unit,the Condominium or any other matter. The BUYER acknowledges that the cost of maintaining the common areas and facilities and the Building will tend to increase as a result of inflation,changed circumstances or other causes beyond the control of the SELLER or the Board of Managers of the Condominium Association and as the Building ages,and may also increase if the Board of Managers or the Condominium Association choose to vote for items which are not now in the budget.
