1 | P a g e DECOMMISSIONING EVALUATION, COST ESTIMATE, AND MEMORANDUM OF UNDERSTANDING FOR LARGE-SCALE GROUND MOUNTED PHOTOVOLTAIC INSTALLATION DECOMMISSIONING BOND 810 Wakeby Road Solar Project Marstons Mills - Barnstable, Massachusetts ADE Project 3064.04 February 1, 2023 This Decommissioning Plan Evaluation and Memorandum of Understanding provided by the Town of Barnstable has been prepared on behalf of TJA Clean Energy (the ‘Client’) for the proposed Wakeby Road Large-Scale Ground Mounted Photovoltaic Installation located at the 810 Wakeby Road property in Barnstable, Massachusetts (the ‘site’). This evaluation has been prepared to estimate the costs to remove certain physical components of the proposed project and restore the site to a stable condition. Please note this evaluation has been completed based upon the draft plan entitled “Site Development Plans for 810 Wakeby Solar Project” drafted by Atlantic Design Engineers Inc. (Atlantic) and dated February 1, 2023. The expected lifetime of a Large-Scale Ground Mounted Photovoltaic Installation (LSGMPI) based on currently accepted standards and warranties is approximately 20 years. Per §240.44.2 of the Town of Barnstable Zoning Bylaws, upon abandonment or discontinuation of use, the owner shall be responsible for physical removal of the ground- mounted solar installation within 150 days from the date of discontinued operations. The owner or operator shall notify the Building Commissioner by certified mail of the proposed date of discontinued operations and plans for removal. Decommissioning shall consist of, but not be limited to, the following: 1) Contact the local electrical distribution company and schedule a date for shutdown and disconnection from the utility grid as well as provide notice to the Town of such. 2) Physical removal of all large-scale, ground-mounted solar photovoltaic installations, structures, equipment, security barriers and transmission lines from the site. 3) Proper disposal of all solid or hazardous materials and wastes (if any) from the site in accordance with local, state, and federal waste disposal regulations. 4) Stabilization or revegetation of the site as necessary to minimize erosion. The Building Commissioner may allow the owner or operator to leave landscaping or designated below-grade foundations in order to minimize erosion and disruption to vegetation. We estimate physical removal the above components and restoration of the site will take approximately 10 business weeks to complete. The project contains copper, aluminum and other metals which will also be recycled. Racking materials and fencing will be pulled from the ground, folded for transport, and potentially sold to a scrap yard. The facility owner will be responsible for all decommissioning costs and will obtain all permits or approvals required by the Town prior to commencing decommissioning work. Pursuant to §240-44.2.E.5.c of the Town of Barnstable Zoning Bylaw, the Applicant is amenable to providing financial surety, in a form and amount to be determined/approved by the Town based on the decommissioning cost estimate below. The estimated Year 1 Base cost for decommissioning is $281,000. The estimate decommissioning cost utilizes prevailing wage rates obtained from the Commonwealth of Massachusetts Executive Office of Labor and Workforce Development of the Department of Labor Standards (DLS) provided as Exhibit B. The estimate does not consider costs associated with reseeding disturbed areas following decommissioning or salvage value for the resale used material and equipment (as applicable). Please refer to the Decommissioning Estimate Calculation Sheet attached as Exhibit A for an itemized breakdown of the costs associated with the decommissioning of the proposed Wakeby Road Solar Project. THIS MEMORANDUM OF UNDERSTANDING FOR SOLAR DECOMMISSIONING BOND (this “MOU"), dated as of Wednesday, February 1, 2023, is by and between TJA Clean Energy, with a mailing address of 150 John Vertente Blvd, New Bedford, MA 02745 (“Project Owner”), and the Town of Barnstable, a Massachusetts municipal corporation with an address of 367 Main Street, Hyannis, MA, 02601 (“Town”; and together with Project Owner, the “Parties”). WHEREAS, Project Owner is constructing an approximate 4,990 KW AC ground mounted solar array at 810 Wakeby Road in Barnstable, Massachusetts (the “Project”), WHEREAS, the Town’s solar bylaw requires the Project Owner to provide financial assurance to cover the cost of removal and disposal at the end of the Project’s life; and WHEREAS, Project Owner and Town have agreed to a decommissioning bond for purposes of satisfying the solar bylaw financial assurance requirement and desire to memorialize the terms and conditions for such bond. NOW THEREFORE, for good and valuable consideration, the Parties agree as follows: 1. Project Owner will provide a decommissioning bond in the initial amount of $281,000 (the “Year 1 Base”) within 10 business days of the execution of this MOU, naming the Town as the obligee, to cover the full cost of decommissioning the project if after 150 days from (a) the end of the project life, (b) termination of its permits, or (c) substantial non-use for 12 months, whichever first occurs, Project Owner has failed to remove the installation and stabilize or revegetate the site (“Decommissioning Obligation”). The bond shall be due and payable upon the surety company’s Decommissioning Evaluation, Cost Estimate, & MOU Wakeby Road Solar Project 810 Wakeby Road, Marstons Mills-Barnstable, MA February 1, 2023 3 | P a g e receipt of a letter from the building commissioner of the Town confirming that Project Owner has not met the foregoing Decommissioning Obligation, subject to standard review by the surety company of evidence substantiating such deficiency and completion of the applicable claims process. 2. Commencing on Jan. 1, 2029, and every five years thereafter, the bond amount will adjust as follows and the Town will notify the Project Owner in writing of the new bond amount for each such period: ➢ Years 6 – 10; $325,000 or Year 1 Base plus Prevailing Wage Adjustment, whichever is higher (“Year 6 Base”); ➢ Years 11 – 15; $376,000 or Year 6 Base plus Prevailing Wage Adjustment, whichever is higher (“Year 11 Base”); ➢ Years 16 – 20; Year 11 Base plus Prevailing Wage Adjustment (“Year 16 Base”); ➢ Years 21 – 25; Year 16 Base plus Prevailing Wage Adjustment (“Year 21 Base”); and ➢ Years 26 – 30; Year 21 Base plus annual increases for Prevailing Wage Adjustment. “Prevailing Wage Adjustment,” for any period, shall mean a dollar amount that is the product of the prior base amount multiplied by the percent increase in prevailing wage (total rate) for journeymen electricians in the Town of Barnstable, as published by the Department of Labor Standards (“DLS”), from the prior measurement period date to the current measurement period date.1 3. The Project Owner will deliver a bond or bond rider updating the amount of the initial (or subsequently adjusted) bond to the Town in the amount of the updated cost within 30 days of receipt of the Town’s notice per paragraph 2, above, or provide notice that it does not agree with the updated cost as set forth in the Town’s notice. 4. If the Project Owner does not agree with the amount stated in the Town’s notice, the Project Owner may request non-binding mediation which shall be completed by March 15 of that year. 5. The Town will consider the bond amount recommended by the mediator/s or in its absolute discretion may reject the same. The Town shall update its notice per paragraph 2 and the Project Owner shall provide a bond in the amount of the Town’s updated notice not later fifteen days from the date of such updated notice. 6. The surety company shall be a U.S. based company that shall have a Moody’s bond rating of BBB- or better. The bond shall be immediately replaced if the issuer’s rating falls below that rating. 7. Failure to adhere to these provisions shall entitle the building commissioner to revoke all Town permits for the project in his or her absolute discretion; provided that in the event of a failure by 1As of the date of this MOU, the DLS published Barnstable journeymen electrician total rate is $76.48 (Effective date 09/01/2023). As an example, the Prevailing Wage Adjustment calculation to determine the Year 6 Base, assuming a DLS published Barnstable journeymen electrician total rate on January 1, 2029, of $88.41 (a 15.6% increase over the current $76.48 total rate), would be: $281,000 * 1.156 = $324,836. Under this example, the Year 6 Base would be rounded up to $325,000. Notice will be effective upon posting. 8. Bonds will be non-cancellable without 30 days’ written notice to the Town of the intent to cancel the bond for any or no reason. 9. This MOU shall be binding on the parties, their successors and assigns, and shall remain in full force and effect until the Decommissioning Obligations have been completed by either the Project Owner or the Town, as the case may be. 10. This MOU shall be governed by the laws of the Commonwealth of Massachusetts without reference to choice of law provisions and may be executed in mult iple counterparts, each of which shall be deemed an original and all of which, together, shall constitute one and the same instrument and the venue for any litigated disputes arising hereafter shall be in the Superior Court of Barnstable County. For construction projects lasting longer than one year, awarding authorities must request an updated wage schedule no later than two weeks before the anniversary of the date the contract was executed by the awarding authority and the general contractor. For multi- year CM AT RISK projects, the awarding authority must request an annual update no later than two weeks before the anniversary date, determined as the earlier of: (a) the execution date of the GMP Amendment, or (b) the execution date of the first amendment to permit procurement of construction services. The annual update requirement is not applicable to 27F “rental of equipment” contracts. The updated wage schedule must be provided to all contractors, including general and sub-contractors, working on the construction project. • This wage schedule applies only to the specific project referenced at the top of this page and uniquely identified by the “Wage Request Number” on all pages of this schedule. • An Awarding Authority must request an updated wage schedule if it has not opened bids or selected a contractor within 90 days of the date of issuance of the wage schedule. For CM AT RISK projects (bid pursuant to G.L. c.149A), the earlier of: (a) the execution date of the GMP Amendment, or (b) the bid for the first construction scope of work must be within 90-days of the wage schedule issuance date. • The wage schedule shall be incorporated in any advertisement or call for bids for the project as required by M.G.L. c. 149, § 27. The wage schedule shall be made a part of the contract awarded for the project. The wage schedule must be posted in a conspicuous place at the work site for the life of the project in accordance with M.G.L. c. 149 § 27. The wages listed on the wage schedule must be paid to employees performing construction work on the project whether they are employed by the prime contractor, a filed sub-bidder, or a sub- contractor. • Apprentices working on the project are required to be registered with the Massachusetts Division of Apprentice Standards (DAS). Apprentices must keep their apprentice identification card on their persons during all work hours on the project. An apprentice registered with DAS may be paid the lower apprentice wage rate at the applicable step as provided on the prevailing wage schedule. Any apprentice not registered with DAS regardless of whether they are registered with another federal, state, local, or private agency must be paid the journeyworker's rate. • Every contractor or subcontractor working on the construction project must submit weekly payroll reports and a Statement of Compliance directly to the awarding authority by mail or email and keep them on file for three years. Each weekly payroll report must contain: the employee’s name, address, occupational classification, hours worked, and wages paid. Do not submit weekly payroll reports to DLS. For a sample payroll reporting form go to http://www.mass.gov/dols/pw. • Contractors with questions about the wage rates or classifications included on the wage schedule have an affirmative obligation to inquire with DLS at (617) 626-6953. • Contractors must obtain the wage schedules from awarding authorities. Failure of a contractor or subcontractor to pay the prevailing wage rates listed on the wage schedule to all employees who perform construction work on the project is a violation of the law and subjects the contractor or subcontractor to civil and criminal penalties. • Employees not receiving the prevailing wage rate set forth on the wage schedule may file a complaint with the Fair Labor Division of the office of the Attorney General at (617) 727-3465.
