My husband is the tenth generation Crocker to live in this house uninterrupted (The Old Crocker homestead built in 1670). The family continues to own approximately ten acres,which is now divided between David's sister, our daughter and us. The first summer that we spent here, we started a good size family garden. Being an old farm that had grown vegetables as well as raise animals for hundreds of years we had good soil to work with and we had excellent results. In fact we had a surplus even after feeding all our family members, so we put a table out front of our property on Rte. 6A to offer the community fresh organically grown produce. This was done using the honor method leaving a box fastened to the table for the money. This went very smoothly and we were able to meet new neighbors and vacationers who seemed to enjoy having this opportunity. The following summer(2014) my husband and I doubled our garden size. We hired a local carpenter who built a beautiful roadside farm stand/shed for us. We were able to sell our surplus once again only with much more convenience for us and to our customers. The farm stand was enthusiastically received and appreciated by so many people in the community that my husband and our sons constructed a parking area at the corner of Pilot's Way and 6A. This enabled our customers to safely pull off of route 6A and access our farm stand. We are now cultivating many different types of vegetables and fruit. This coming season we will be increasing our garden size as well as planting more variety. However,there are some plants which are difficult to grow, such as corn, apples and peaches which we would like to add to our farm stand. Crocker, Jr. of Barnstable, County of Barnstable, Massachusetts hereinafter called "Lessor" and D.W. Aquafarm, Inc., a Massachusetts corporation duly organized by law and having an usual place of business in Hyannis, County of Barnstable, Massachusetts hereinafter called "Lessee". SECTION ONE DESCRIPTION OF PREMISES The Lessor leases to the Lessee an area of approximately 15,000 square feet at the rear of the Lessee's premises in Barnstable and more particularly described in Exhibit "A" hereto attached and made a part hereof, together with a right of way over Pilot's Way, a private way, to and from the highway to the leased premises. SECTION TWO USE OF PREMISES The Lessee shall use said premises for the purpose of growing thereon vegetables and other produce by hydroponic methods and for the raising of fish in pools. No other use shall be made of said premises other than those related to the aforesaid use. SECTION THREE TERM The initial term of this Lease shall be for three (3) years commencing as soon as the necessary permits are granted from the Town of Barnstable but no later than June 1, 1993. The Lessee shall have the option to renew the Lease for an additional term of three (3) years following the expiration of the initial term and a second option to renew for an additional term of four (4) years following the expiration of the first option's term. SECTION FOUR RENT The annual rent for the initial term shall be Six Thousand ($6,000.00) Dollars payable monthly at the rate of$500.00 per month. The annual rent for the first option period shall be Eight Thousand ($8,000.00) Dollars payable monthly at the rate of$667.00 per month. The annual rent for the second option period shall be Ten Thousand ($10,000.00) Dollars payable monthly at the rate of$833.00 per month. SECTION FIVE W OF TITLE AND QUIET POSSESSION Lessor covenants that he owns the said leased premises and has the full right to make this Lease and that the Lessee shall have quiet and peaceable possession of the demised premises during the term thereof. SECTION SIR DELIVERY OF POSSESSION If the Lessor, for any reason cannot deliver possession of the demised premises to the Lessee at the commencement of the lease term or if the Lessee is unable to obtain the necessary permits and approval for use intended for the premises, then this Lease shall be void or voidable and neither the Lessor or Lessee shall be liable to the other for any loss or resulting damages. SECTION SEVEN USES PROHIBITED The Lessee shall not use or permit the demised premises, or any part thereof, to be used for any purpose or purposes other than the purpose or purposes for which the demised premises are leased without written permission. } The Lessee shall not use, store, maintain or apply chemicals or toxic materials in and upon the premises which are not permitted or approved by local, state and federal agencies authorized to regulate the same. The Lessee shall not permit any hazardous water materials as defined by Chapter 2 1 E of the Massachusetts Laws to be stored, used or maintained on the leased premises. The Lessee shall not do anything in the use of the premises which would adversely affect the Lessor's or other premises and wells or those of the abutters or abutter's abuttors. The Lessee shall not commit or suffer to be committed any waste on the demised premises or any nuisance. Any trash or garbage generated by the Lessee shall be carefully contained and promptly removed. SECTION EIGHT ABANDONMENT OF PRENUSES The Lessee shall not vacate or abandon the premises at anytime during the term hereof or extension of this Lease; if the Lessee shall abandon, vacate or surrender the demised premises, or be dispossessed by process of law or otherwise, any personal property belonging to the Lessee and left on the premises shall be deemed to be abandoned, at the option of the Lessor. SECTION NINE LESSOR'S RIGHT TO ENTRY The Lessee shall permit the Lessor and the agents and employees of the Lessor to enter in an upon the demised premises at all reasonable times for the purpose of inspecting the same. Entry into the Building to be constructed shall be by appointment. SECTION TEN SUBLETTING AND ASSIGNMENT The Lessee may not sublet or assign this Lease without the written consent of the Lessor, which consent shall not be unreasonably withheld. SECTION ELEVEN TAXES AND ASSESSMENTS As additional rental hereunder, the Lessee shall pay and discharge as they become due all taxes, assessments, charges, license fees, municipal lies, levies and excises on or against the building or buildings to be constructed, the personal property thereon and the 15,000 square feet of land comprising the demised premises. All taxes and charges shall be prorated at the commencement and expiration of the term hereof. Until such assessment is made, the Lessee shall pay a proportionate share of the tax bill of the Lessor based on the increase of the assessed valuation because of the value of the new construction and improvements made to the demised premises by the Lessee. If the Lessee shall in good faith desire to contest the amount of any tax or assessment, the Lessee shall be permitted to do so and if successful, shall be entitled to a rebate on any taxes on charges that have been paid. SECTION TWELVE CONSTRUCTION OF NEW BUILDING The Lessee shall, at Lessee's sole expense, prepare plans and specifications for a new building to be erected on the premises approximately 56' x 120' in size to be used as a greenhouse and storage facility. Said greenhouse shall contain pools of fish and a hydroponic system for growing vegetables and other foods. Such plans shall be submitted to the Lessor for his written approval, which approval shall not be unreasonably withheld. The Lessee shall have the right to make such alterations, enlargements, improvements and changes in the building which may from time to time be deemed necessary by the Lessor provided that prior to making such alterations, improvements or changes, the Lessee shall notify Lessor. The Lessee may, during the term of the Lease and any extension thereof, construct an additional building or buildings on the demised premises if deemed necessary to the use intended for the premises, subject to prior written notice to the Lessor. SECTION THIRTEEN UTILITIES The Lessee shall provide for and pay for all utilities including electricity, gas, water, heat, light, power, telephone service and other public utilities of every kind. The Lessee shall pay for all other costs and expenses of every kind whatsoever of or in connection with the use, operation and maintenance of the premises and all activities conducted thereon and the Lessor shall have no responsibility of any kind for any thereof. The Lessee shall provide and pay for power lines and gas lines to bring electricity and gas to the premises as well as digging a well for water and will do everything necessary and required to accomplish same. The Lessor shall grant easements therefor.when required to do so. The Lessee shall provide and pay for a septic system, if required by the Town of Barnstable, to service the buildings to be constructed and the operation conducted in the premises. The said system shall conform with all rules and regulations of the Town of Barnstable and Commonwealth of Massachusetts. SECTION FOURTEEN ACCESS TO PREMISES The Lessor shall provide to the Lessee a right of way over Pilot's Way to and from the highway to the leased premises. Said right of way shall be for the Lessee, its employees, agents and representatives to use in the normal conduct of*the farming operation conducted on the demised premises. ' The Lessee covenants and agrees that it will not permit the use of the said right of way by its employees, agents or representative to interfere with the use of the right of way by others legally entitled to use same. The Lessee will maintain the right of way in good condition and will promptly repair any damage caused by its.use of the way. The Lessee will limit the use of said right of way by its employees, agents or representatives to certain hours of the day and to the size of the vehicles using the way so as to not disturb the quiet enjoyment of the Lessor or the abuttors of their premises. SECTION FIFTEEN INDEMNIFICATION OF LESSOR Lessor shall not be liable for any loss, injury, death, or damage to persons or property which at any time may be suffered or sustained by Lessee or by any person whosoever may at any time be using or occupying or visiting the demised premises or be in, on, or about the same, whether such loss, injury, death, or damage shall be caused by or in any way result from or arise out of any act, omission or negligence of Lessee or of any occupant, subtenant, visitor, or user of any portion of the premises, or shall result from or be caused by any other matter or thing whether of the same kind as or of a different kind than the matters or things above set forth, and Lessee shall indemnify Lessor against all claims, liability, loss or damage whatsoever on account of any such loss, injury death, or damage. t SECTION SIXTEEN ATTORNEYS FEES If nay action at law or in equity shall be brought to recover any rent under this Lease, or for or on account of any breach of, or to enforce or interpret any of the covenants, terms or conditions of this Lease, or for the recovery of the possession of the demised premises, the prevailing party shall be entitled to recover from the other party as part of the prevailing parry's costs reasonable attorney's fees, the amount of which shall be fixed by the court and shall be made a part of any judgment or decree rendered. SECTION SEVENTEEN REDELIVERY OF PREMISES Lessee shall pay the rent and all other sums required to be paid by Lessee hereunder in the. amounts, at the times, and in the manner herein provided and shall keep and perform all the terms and conditions hereof on its part to be kept and performed, and, at the expiration or sooner termination of this Lease, peaceably and: quietly quit and surrender to Lessor the premises in good order and condition subject to the other provisions of this Lease. SECTION EIGHTEEN INSURANCE (a) Insurance coverage of premises. Lessee shall, at all times during the term of this Lease and at Lessee's sole expense, keep all improvements which are now or hereafter a part of the premise insured against loss or damage by fire and the extended coverage hazards the full replacement value of such improvements, with loss payable to Lessor and Lessee as their intel, may appear. .tom• v (b) Personal injury liability insurance. Lessee shall maintain in effect throughout the term of this Lease personal injury liability insurance covering the premises and its appurtenances in the amount of Five Hundred Thousand ($500,000.00) Dollars for injury to or death of any one person and One Million ($1,000,000.00) Dollars for injury to or death of any number of persons in one occurrence, and property damage liability insurance in the amount of One Hundred Thousand ($100,000.00) Dollars and insurance on all boilers and other pressure vessels. Such insurance shall specifically insure Lessee against all liability assumed by'it hereunder, as well as t liability imposed by law, and shall insure both Lessor and Lessee but shall be so endorsed as to create the same liability on the part of the insurer as though separate policies had been written for Lessor and Lessee. SECTION NINETEEN DEFAULT If the Lessee shall neglect or fail to perform and observe any of the covenants in this instrument, which on its part are to be performed and such default shall continue for a period of thirty (30) days after the mailing of a written notice, postage prepaid from the Lessor to the Lessee specifying such default,.or if the Lessee shall be declared bankrupt or insolvent according to law, or if any assignment shall be made of any of its property for the benefit of creditors, the, and in any of the said cases, the Lessor or those having their estate in-said premises, lawfully may immediately or at any time thereafter, and while such neglect or default continues and without further notice or demand, enter into and upon the premises or any part thereof in the name of the whole and repossess the same as of their former estate and expel the said Lessee and those claiming under it, and remove their effects (forcibly if necessary) without being taken or deemed guilty of any manner of trespass and without prejudice to any remedies which might otherwise be used for arrears of rent, or preceding breach of covenant and that upon entry as aforesaid the said term shall cease and be ended. SECTION TWENTY-ONE EFFECT OF LESSEE'S HOLDING OVER Any holding over after the expiration of the term of this Lease, with consent of Lessor, shall be construed to be a tenancy from month to month, at the same monthly rental as required to be paid by Lessee for the period immediately prior to the expiration of the term hereof, and shall otherwise be on the terms and conditions herein specified, so far as applicable.
